politic and corporate of the State of Florida created pursuant to Part III, Ch. 163 Fla. Stat., whose address
is P.O. Box 4748, Clearwater, Florida 33758, hereinafter called the GRANTOR, for and in consideration
of Ten and 00/100 Dollars ($10.00), and other valuable consideration the receipt of which is hereby
acknowledged, does bargain, sell, convey and grant unto ARCHWAY CLEARWATER GARDENS, LLC,
a Florida limited liability company, whose address is 7575 Dr. Phillips Blvd #390, Orlando, Florida 32819,

successors and assigns forever, the real property, situate, lying and being in Pinellas County, Florida, more

without reimposing same.
TO HAVE AND TO HOLD unto the said GRANTEE, its successors and assigns forever, and said
GRANTOR warrants and shall defend the title against the lawful claims of all persons claiming by, through,
or under it, but against none other.
TOGETHER with all and singular the tenements, hereditaments and appurtenances thereto

by the COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF CLEARWATER, FLORIDA,
a public body corporate and politic of the State of Florida ("Grantor"), to ARCHWAY CLEARWATER
GARDENS, LLC, a Florida limited liability company ("Grantee").
For and in consideration of the sum of Ten and No/ 100 Dollars ($10.00) cash and other good and valuable
consideration to Grantor paid by Grantee, the receipt and sufficiency of which are acknowledged, Grantor
GRANTS, SELLS, ASSIGNS and CONVEYS to Grantee all of Grantor's right, title, and interest in and to
the following described properties, rights, and estates to the extent related to the real property described on
Exhibit "A" attached to this Assignment (the "Real Property"), the following being defined collectively
as the "Property":
1. all equipment, furniture, fittings, fixtures, and articles of personal property owned by
Grantor and located on, the Real Property;
2. to the extent assignable, any intangible personal property owned by Grantor and used solely
in connection with the Real Property; and

ASSIGNMENT AND ASSUMPTION OF LEASE
THIS ASSIGNMENT AND ASSUMPTION OF LEASE (this "Assignment") is made and entered
into as of April , 2024 (the "Effective Date"), by and between the COMMUNITY
REDEVELOPMENT AGENCY OF THE CITY OF CLEARWATER, FLORIDA, a public body
corporate and politic of the State of Florida ("Assignor") and ARCHWAY CLEARWATER GARDENS,
LLC, a Florida limited liability company ("Assignee").
RECITALS
WHEREAS, Assignor is the owner of certain real property described in Exhibit "A" attached hereto
and incorporated herein by reference, together with the improvements situated thereon, fixtures affixed
thereto and all other appurtenances related thereto (collectively, the "Property");
WHEREAS, simultaneously with the execution and delivery of this Assignment, Assignor is
granting and conveying the Property to Assignee, pursuant to that certain Agreement for Development and
Purchase and Sale of Property dated as of August 23, 2021 (as amended and assigned, the "Contract")
between Assignor, as seller, and Assignee, as buyer;
WHEREAS, Assignor has heretofore entered into that certain Community Gardens Lease dated as
of February 21, 2024 (the "Lease") with CLEARWATER COMMUNITY GARDENS, INC., a Florida
non-profit corporation, as tenant, relating to the Property; and
WHEREAS, Assignor desires to assign, transfer, set over, convey and deliver to Assignee all of
the rights and benefits of Assignor in and to the Lease.
NOW, THEREFORE, in consideration of the terms, covenants and conditions as set forth below,
and for other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, Assignor and Assignee hereby agree as follows:
TERMS
1. Recitals. The foregoing Recitals are true and correct and are incorporated herein by
reference.
2. Assignment of Lease. Assignor does hereby assign, transfer, set over, convey and deliver
to Assignee, its successors and assigns, all of the rights, powers, privileges and interests of Assignor in and
to the Lease, a copy of which is attached hereto as Exhibit "B".
3. Assumption of Lease. By acceptance hereof, Assignee hereby assumes and agrees to keep,
fulfill, observe, perform and discharge every duty, debt and obligation that may accrue or become
performable, due or owing from and after the Effective Date under terms, provisions and conditions of the
Lease.
4. Assignee's Indemnity of Assignor. Assignee agrees to indemnify, defend and hold
Assignor harmless from and against all liabilities, losses, claims, demands and reasonable fees and
expenses, including, without limitation, reasonable attorneys' fees, which Assignor may suffer or incur by
reason of any act or cause of action occurring or accruing on or after the date hereof and arising out of any
breach of the Lease. Assignor agrees to cooperate in good faith with Assignee in defending such claims
and agrees to raise available defenses.

5. Absolute Conveyance. Assignor does hereby acknowledge and agree that the conveyance
to Assignee contained herein shall be an absolute conveyance of all of Assignor's right, title and interest in
and to the Lease, and Assignor hereby relinquishes all rights that it may have to the same; provided,
however, that in no event shall the provisions of this Assignment be deemed to include the right to any
rental or other income attributable to the period prior to the closing, which the parties acknowledge belongs
to Assignor. Notwithstanding the foregoing, Assignor shall reserve and retain all rights to collect the any
outstanding rent as of the Effective Date, provided, however, Assignor shall have no right to evict the tenant
or terminate the Lease.
6. Successors and Assigns. This Assignment is binding upon and shall inure to the benefit of
the parties hereto, and their respective successors and assigns.
7. Counterparts. This Assignment may be executed in a number of identical counterparts,
each of which for all purposes is deemed an original, and all of which constitute collectively one
Assignment.
8. Governing Law. This Assignment has been entered into and shall be construed and
enforced in accordance with the laws of the State of Florida without reference to the choice of law principles
thereof.

BEFORE ME, the undersigned authority, this day personally appeared Jesus Nino (hereinafter
referred to as "Affiant"), who first being duly sworn, deposes and says that:
1. Affiant is a person over the age of eighteen (18) and is competent to execute and deliver
this Title Affidavit (this "Affidavit") with respect to that certain real property located in the State of
Florida, described on Exhibit "A" attached hereto and herein incorporated by reference (the "Property").
2. Affiant is Executive Director of the COMMUNITY REDEVELOPMENT AGENCY
OF THE CITY OF CLEARWATER, FLORIDA, a public body corporate and politic of the State of
Florida ("Seller"), and in such capacity is authorized to execute this Affidavit on behalf of the Seller.
3. Except in connection with that certain Community Gardens Lease entered into on
February 21, 2024, by and between the Seller, as landlord, and Clearwater Community Gardens, Inc., a
Florida non-profit corporation, as tenant, no person or entity, other than Seller, is in possession of all or
any portion of the Property or has any right to possess or purchase all or any part of the Property;
4. (a) there has been no construction on or improvements to the Property of any kind or
nature within ninety (90) days immediately preceding the date hereof for which payment has not been
made; and (b) all bills, if any, for labor, materials and services supplied or furnished within ninety (90)
days immediately preceding the date hereof to or for the Property (or of any improvements thereon) have
been paid in full; and (c) no person or entity has the right to assert a lawful claim of lien against the
Property or any portion thereof for labor or services furnished, or for materials supplied pursuant to the
provisions of Chapter 713, Florida Statutes;
5. With the exception of that certain Declaration of Restrictive Covenants dated March 20,
2024 and recorded on March 29, 2024 in O.R. Book 22749, Page 576 of the Public Records of Pinellas
County, Florida, to Affiant's knowledge, no documents have been recorded in the Public Records of
Pinellas County, Florida, the County wherein the Property is located, subsequent to March 11, 2024 at
8:00 a.m., which is the Effective Date of that certain First American Title Insurance Company, File No.
110191022, issued by or through its agent Shutts & Bowen, LLP (collectively, the "Title Company"), and
as updated and/or endorsed from time to time (the "Commitment"), as from time to time endorsed and
updated (the "Effective Date"), that could adversely affect the marketability of title to the Property; and
6. This Affidavit is sworn to and subscribed on the personal knowledge of Affiant and
delivered for the purpose of inducing Title Company to issue a title insurance policy or policies without
exception for lien, possession or gap filings and may be relied upon only by the Title Company.
7. Section 1445 of the Internal Revenue Code provides that a mortgagee who forecloses on
a U.S. real property interest must withhold tax if the mortgagor is a foreign person. To inform Lender
that withholding of tax is not required upon the foreclosure of said U.S. real property interest owned by
Seller, the undersigned hereby certifies the following on behalf of the Seller:
(a) Seller is not a foreign corporation, foreign partnership, foreign trust or foreign
estate (as those terms are defined in the Internal Revenue and Income Tax Regulations);
