Clearwater, FL 33755 ("Grantor"), to THE RING WORKSPACES, LLC, whose address is
607 West Bay St. Tampa, FL 33606-2703 ("Grantee").
The Grantor, for and in consideration of Ten and No/100 Dollars ($10.00), and other
good and valuable consideration paid by the Grantee, the receipt of which is acknowledged,
hereby conveys to the Grantee, its successors and assigns forever, the following described
parcel of land located in Pinellas County, Florida, to wit:
See Exhibit "A"
TO HAVE AND TO HOLD, the same in fee simple forever.
This Conveyance is made with no liens or encumbrances known to the Grantor, and
subject only to any reserved easements, property taxes for the year of closing, covenants,
restrictions, and public utility easements of record.
PROVIDED, HOWEVER, that Grantor reserves unto itself and its successors and assigns,
and Grantee by acceptance hereby gives and grants unto Grantor and its successors and
assigns, a non-exclusive, perpetual easement over, under, on, upon, through and across
the Property conveyed hereby, for purposes of the installation, construction, maintenance,
repair, modification, relocation, replacement, operation, and use of all utility improvements,
including water mains and lines, potable and fire suppression water transmission facilities,
hydrants, valves, vaults, manholes, sewer lines, drainage pipelines, booster pumps, pump
stations, tanks, telephone lines, electrical lines, cable television lines, fiber optic lines, data
transmission lines, gas mains, and all other necessary and appurtenant equipment under,
across and above ground and for the purpose of debris removal, as deemed reasonably
necessary by Grantor (collectively, the "Utility Improvements").
This instrument is executed pursuant to Fla. Stat. § 692.01 & 692.02.

The adjacent Property Owner (The Ring Workspaces, LLC) approached the City about declaring surplus a
portion of City -owned property. During the due diligence process, City staff and the Property Owner
discovered that the City had an old land swap agreement in place where it appears that the City never
conveyed it's portion of property under the Agreement.
Apparently, the Agreement was part of the City's effort to realign Laura Street to connect with Hendricks
Street back in 1973. The City agreed to take a triangular piece of property from the Bank of Clearwater.
In exchange, the City was to deed to the Bank a 10' wide strip of land, and the Bank would also secure a
right-of-way deed from the Lykes Bros. Inc. (Documents Attached).
Recorded Deeds were discovered related to the other Parties obligations under the Agreement, but no
deed was found in the public records related to the City's 10' strip that was to be conveyed to the Bank.
The Property Appraiser shows the strip as a "plat discrepancy". The Ring Workspaces, LLC is the successor
in interest to the Bank of Clearwater as the owner of the adjacent parcel.
City staff have reviewed the request, and since there are existing utilities as well as the possible need for
future utilities in the strip, it is recommended that the City quit -claim deed the 10' strip to the Ring, while
reserving an easement for public utilities.
It is presumed that the Agreement was approved by City Council back in 1973 since it was executed by
the City Manager of the time. As such, the attached, proposed deed may be executed administratively.

The following constitutes a letter of agreement between the City
of Clearwater, party of the first part (hereinafter referred to as the "City"),
and Bank of Clearwater, party of the second part (hereinafter referred to as
the "Bank"), and the attached map is included herein and made a part of this
agreement.
WHEREAS the City desires to realign Laura Street to connect with
Hendricks Street by way of the City's parking lot (formerly Atlantic' Coast Line
Railroad right -of --way) the respective parties hereby signify their agreement
to the following:
1. The Bank will deed to the City a triangular piece of property
of approximately 900 square feet located at the southwest
corner of the parcel owned by the Bank north of Laura Street
and east of the City's parking lot. (Parcel A on attached map.)
The City will deed to the Bank a strip of land 10' wide
containing approximately 900 square feet located immediately
west of the parcel owned by the Bank and north of the relocated
Laura Street. (Parcel B onattached map.)
3. The Bank has been authorized to secure a right-of-way deed
from Lykes Bros. Inc. covering a piece of property of approxi-
mately 600 square feet located at the northeast corner of _the
parcel owned by Lykes Bros. Inc. south of Hendricks Street
and west of the City Panting Lot. (Parcel C on attached map.)
4. The City will terminate its lease dated February 15, 1971, on
the following property formerly owned by the Bank and now
owned by Lykes Bros. Inc. , Lots 1 and 2, Block 8, Gould
and Ewings First Addition according to the map or plat'thereof
as recorded in Plat Book 1, page 24 of the Public Records of
Hillsborough County, Florida, of which Pinellas County was
formerly a part. The City will forfeit any proceeds to which
it would otherwise be entitled under terns of the lease.
All costs of construction of streets, paving, curbing, sidewalks, etc.,
as shown on the attached map will be borne by the City. All deeds and legal
instruments required by this agreement will be prepared by the Citykttorney
and will be executed by the parties at the earliest possible date.
