CITY shall also require that prior to commencing work on R13ST�R��D'S right-of-way, contractor shall submit to RAILROAD°s Chi�f Engineer and obtain his or her approval for: (1) Data r�garding methods and procedures for performing work on RAILROAD'S right-of-way and (�) Plans and Specifications for any shoring and sF�e�:�ing upon and adjacen�t �to RAILROAD°S right-of-way. CITY shall faxrther r�equire that its co�tractor abi�e by-the RAILROAD's Chief Eaac�ineEr's instrua�ions relatinq to safety of railroad operations and give RA3I,ROAD°S Division Engineer or its authorized �ep��ser��a.icive at least sixteen (16 ) days advance notice of any araticigaat�d need for �lagmen or watchmen. Vertical - 22.0 feet above the top of �the highest rail of RAILROAi3'S �rack. CITY shall require that its contractor obtain written au�hority from tlne RAILROAD if at anytime it desires to establish and use a temporary a�.-grade crossing of RAILROAD�s tracks, or to use any existing unprotected grade crossing, and, i� re�uired by � RAiLROAD, execu�e R�ILROAD's standard form of prgvate gxade crossing agr�ement wi�h re�pect to the crossing c�esired. CITY shall pay such hills �ithin 30 days after receip�. � SECTio� 5. CITY shall acquire all necessary easements required for �he Project, whether purchased, appropriated or othervaise ob�ained. RA�LROAD, Insofar as it has the righ� to do so, and subject to i�s �rinr approval of the CITY's construction plans, hereby grants CzTY for a periad of nine (9) months from the date of this Agr�ement and no longer: (a) a temporary nonexclusive right-of- r� entry �hrougka, on, over axad upon those parcels of RAILROAD'S praper�y as si�own on CiTY°s Project Plans and Riqht-of-Way Plans (the "Project Property1°) for the cons�ruction of the improvements; (bj nec�:ssary �.em�orary nonexc2usive licenses to cross Railroad property adjoini.ng �the Project Pr4p�rty for ingress to and egress �rom said Prc�ject P�operty, excluding ingress or egress via grade �rassings, provided 'that such licenses for ingress anci egress shall he �a�e�ci.sed along suah rc,u��:s and upon such terms as may be deiin�d and imposed by �he RAii�ROAD'S Chief Engineer or its authorized representative; and {c) �c�mporary construction easements as designat�� a� CITY°r Righ�-o�'-Way Plans for the purpose of the p�eviously desc�ibedl i.mprovements. Said easements, by prior mutual agreement between the parties, sltall be identified and distinquished as exclusive and nonexclusive easements on CITY Project Plans and Right-- of-Way Plans. CITY shall furnish for RAILROAD°s Chief Engineer's review and approval descriptions and , plat plans for•said exclusive and nonexclusive easements. The parties shall endeavor to mutually agree to the price to be paid by CITY �o RAILROAD �or said easements (representing the fair market �alue thereof, plus damages to the residue, less all benefits) prior to �ermination of the aforesaid nine months period. In the �� event �he parti�s cannot agree to �he price for such easements `� � px��.or to the end of the nine month period, the CITY will within 90 days ins�itute an eminent domain proceeding to acquire the easements. With respect to those parcels identified and distinguished in the deed of easem�rat as nonexclusive, RAILROAD shall except and reserve unto itself, its successors, assigns and licensees all rights to construct, reaonstruct, relocate, operate, maintain, repair, renew and remave faci�.ities in, upon, over, under or across tYte iana involved, so lang as suah use and occupancy do not interfere with CITY use, as contemplated herein. Any such use of said land by R�1�„xLROAD which may be det�imental to the CITY use shall require w�it�en ap��oval by the CITY. The deed oE easement �� � �ha�.�. further provide thab �t�e involved impravement shall. be � I' � � • - 7 - constructed, maintained, repaired, renewed, reconstructed and/or removed in accordance with the provisions of this Agreement, and the PZans for the involved improvement, which Agreement and Plans are to be provided to both parties; and the provisions of said Agreement shall survive the delivery of the.deed of easement. It is the inic�nt of the parties to convey to CITY easements which closely approximate those which CITY could acquire through an eminent domain proceeding. SECTION 6. Wor}t provided for in this Agreement shall be commenced within a reasonable amount of time after the date on which this Agreement becomes effective and all necessary funds for which CTT3i is responsible ha�e been properly certified and made aVailable, and such �aork sha13 be completed within a reasonable time. Preparing plans and buyinr� and assembling materials shall be cons�rued as comgliance with the "reasonable amount of time" provisian. Neither �his paragraph or any other provision of this agreement sitall be �ons�rue� as begng gor the ben�Pit of the contractor or any oth�r third person. SECTION 7. It is understood that the construction costs of the Projec�t are to be �inanced from funds provided by CITY. All plans, speci�ica�ions, estimates o� cost, awards of contracts, acceptance o� work, and proaedures in general are subject at all times to all xules, regulations, orders and approvals applying to said improyement. CITY sha1�. reimbu.rse RAILROAD for construction costs and for preliminary and constiruction engineering costs in f� -s- accaraance with the Federal Highway Administration procedures set for�h in 23 CFR Section 140.900, et sea., and 23 CFR Sectian 646.200, et seu. In the event that delays or difficulties arise in securing necessary approvals or in securing necessary rights-of-way or settling damages or damage claims, and in the opinion of CITY, such delays or difficulties render it impracticable to utilize funds from the current appropriation for the construction of the Project, �hen, at anytime before a construction contract is executed by CTTY, CITY may serve gormal notice of cancellation upon RAILROAD, and upon RAII120AD�s raceipt of such notice, this Agreement shall be of no further force and ef�ect. CITY shall reimburse RAILROAD for �11 costs and expenses that were incurred by it pursuant to this ���eement p�aor to such cancellation. In the event any costs incurred by laAILi20AB pursuaflt to this Agreement are not reimbursab2e urader the rules �und regulations of the Federal Highway Ac�mina:�tration, CITY shali �°eimburse RAILROAD for all such costs. SEC�ION 8, Insuranceo In adcia.tion to the insurance requir�d of �kiae contractor by the CITY, CITY shall require contracto� �o purchase a��d nain'tain Railroad Protec�ive Insurance pursuant to the �o13.owing guidelines: (a.) In ccann�ction with highwa?� projeats for the elimination of hazaxa�a at Rail-Hiqhway crossings anc� other highway construction prajects, �aho�.ly or partly within RAILROAD right-of-way, RAILROAD Protec�ive Y,i.abi�.ity Insurance shall be purchased on behalf of F2AILEtOAD by the contractor. � � - 9 - (bj CITY shall require its aontractor to obtain before work is commenced and to maintain until work is completed and accepted by Railroad, a RAILROAD Protective Liability Policy of Insurance in the na�ne of RAILROAD and said policy to be on the ISO/RIMA Form of Railroad Protective Insurance ISO Form CG 00 35 with endorsement No. CG 28 31, Limits of liability shall be in the amount of at least $2,000,000 per occurrence for bodily injury or death and property damage, subject to a limit of not less than $6,000,000 per annual policy period. However if improvement is located on a Passenger Service route or hazardous material iden�ified route, the limits shall be $5,000,000/$10,000,000, respectively. The policy of insusance specified in this section shall be countersi�ned by a resident agent of the State of Florida in accardance with the applicable sta�tute of the State af Florida. The polac� shali � stabmi�.ted to and approved by RAILROAD before work on its right-of-way cammences. To provide RAILROAD adequate pratecta:on on.Force Accoun� Work, it will be necessary to purchase insurai�ce as� accordance g�ith 49 CFR S�ction 646.101, et seQ. , and �he amouxet of such insurar►ce coverage and the premium �o be paid ther�io� �*il.l be included in R�I�ROAD's Force Account Estimate. aE�TiL1K �.
