ADDENDUM
TO THAT CERTAIN CONTRACT FOR SALE OF REAL PROPERTY by the City
of Clearwater, Florida dated November 22, 2005 (herein "contract") between the
City of Clearwater, Florida, a Municipal corporation of the State of Florida (herein
"Seller"), and Bethel Christian Center, Inc., a Florida not for profit corporation
(herein "Buyer")(collectively "Parties"), regarding real property legally described
as follows:
Lots 6,7 and 8, Block "B", FIRST ADDITION TO NORWOOD, as
recorded in Plat Book 5, Page 79, Public Records of Pinellas
County, Florida.
WITNESSETH:
WHEREAS, at the time Royal W. Miller, as President of Bethel Christian Center,
Inc. executed and submitted the herein described contract for acceptance and
approval by Seller, it was intended that title to the above described real property
be conveyed to Bethel Christian Center Church, Inc., also an active Florida not
for profit corporation in which Royal W. Miller is a registered officer and agent;
and,
WHEREAS, buyer now seeks to correct the above-described oversight and
proposes to assign all of its right, title and interest in said contract to Bethel
Christian Center Church, Inc.; and,
WHEREAS, Seller will suffer no harm and is not opposed to Buyer assigning its
right, title and interest in said contract to Bethel Christian Center Church, Inc.;
and,
WHEREAS, said Bethel Christian Center Church, Inc. (hereafter "Assignee") is
agreeable to accepting assignment of said contract and all of the terms and
provisions thereof; and,
WHEREAS, paragraph 21 of said contract currently prohibits buyer assigning the
contract;
NOW, THEREFORE, the parties and Assignee all covenant and agree each with
the other that paragraph 21 of said contract is hereby amended to allow buyer to
assign all of its right, title and interest in said contract to Assignee; and that
Assignee is agreeable to accepting such assignment as herein provided; and that
Seller is agreeable to allowing said assignment; providing, however, that
assignee takes title and closes the herein described transaction within fifteen (15)
days of the effective date. All other terms and conditions of said contract remain
unchanged and in full force and effect.
