EASEMENT
FOR AND IN CONSIDERATION of the swn of One Dollar ($1. 00) cash
in hand paid to it, the receipt of which is hereby acknowledged, and the benefits
to be derived therefrom, the CITY OF CLEARWATER, FLORIDA, a municipal
corporation, does hereby grant and convey to FLORIDA POWER CORPORATION,
a Florida corporation, a utility easement lying in the Southwest 1/4 of

FLORIDA POWER CORPORATION sh;3.ll have the right to enter upon the
above-described premises and to construct, install and maintain thereon any
electrical lines and to inspect and alter such lines from time to time.
The CITY OF CLEARWATER agrees not to utilize the easement
granted herein in any way or manner which would create a dangerous condition
with respect to the utility installed, or create any interference with the
safe and efficient construction, operation or maintenance thereof, without
first giving written notification to FLORIDA POWER CORPORATION, together
with written plans of such proposed utilization of the easement area.
The CITY OF CLEARWATER covenants that it has the right to convey
this easement, and that FLORIDA POWER CORPORATION shall have quiet
and peaceful possession and use of this easement.
IN WITNESS WHEREOF, the City of Clearwater has caused these
presents to be executed in its naIne by its City Manager, City Clerk,
counter-signed by its Mayor-Commissioner, and approved as to form and
correctness by its City Attorney, and its corporate seal to be hereunto
