AGREEMENT

after called "Trust",
WITNESS:
WHEREAS, the Trust is the assignor of record of certain
rights of ingress and egress over certain property in Pine11as
County, Florida, now owned by the city of Clearwater, Florida,
which property is described hereinbelow, and
WHEREAS, in exchange for the City of Clearwater, Florida

granting access to the Trust's property from Landmark Drive,
the Trust wishes to relinquish to the city of Clearwater all
rights of ingress and egress across the property herein described.
NOW THEREFORE, in consideration of the exchange detailed
hereinabove and the mutual promises and covenants of the Trust

and the City of Clearwater, Florida, the Trust hereby agrees:
1. That effective as of the date of this Agreement, the
Trust hereby relinquishes and conveys to the city of Clearwater,
Florida, all right, title and interest in and to the following
described land:

Quarter (SW 1/4) of Section 21, Township 28
South, Range 16 East.
2. This Agreement may be recorded in the Public Records
of Pine11as County, Florida, by the city of Clearwater, Florida,
to terminate an interest held by the Trust by virtue of an agree-
ment dated May 28, 1968, by JOHN H. WILLIAMS and NANCY E. WILLIAMS,
his wife, as recorded in o. R. Book 2843, page 348, Public Records
of pine11as County, Florida.
IN WITNESS WHEREOF, the Trustee(s) of the CHIEF CHARLEY'S,
INC. EMPLOYEES PROFIT SHARING TRUST have executed the same on
the day and year first above written.
