CONDITIONS AND L\M\TAT'ONS (a) It is mutuaily understood that this purchase Agreement is subject to approval and execution by the City Manager of the City of Clearwater within twenty one (21) days following receipt by the City Engineering DepartmentlAdministrative Division of dupilcate onginals of this purchase Agreement executed by Seiler. A fuily executed original shail be returned to Seller within ten (10) days of approvai by the City Manager. $ 50,00 (c) Estimated transaction costs to be paid by PURCHASER (b) Seller acknowledges being informed that ihe City, or its consuitant, wiil be obtaining i1en subordination agreements from Soilefs mortgagee, K any; and should said mortgagee require that Seller provide a mortgage reductior payment in an amount up to the cash consideration abOve described, the City check shall be payable jointiy to Seller and saie mortgagee. (c) purchaser agrees, and Seller authorizes, restoration to the present or equai condition, any constructio impacts whatsoever to Seliefs property up five feet contiguouS to the easement premises. CLOSING DATE - POSSESSION Ciosing of this transaction shall occur, and Seller shail convey and deilver possession of a perpetual Drainage a Utility Easement to the City, upon a date to be determined by the City which shail be on or before six (6) months foilowing I Acceptance Date as shown in paragraph VII. N. closing the City shail deliver to Seller a City check in the fuil amount to paid to the Soiler as expressed in paragraph lI(a) abOve, if any; and subject to provisions of paragraph 111. Prior to dat' closing and possession as described herein, Seller shail remove any personai property from the easement premises S, wishes to retain that has nol been purchased bY the City as a condition of this contract.
