WHEREAS, Northwood Estates, a co-partnership under the Florida
Uniform Partnership Act, is the owner of the real property in Pinellas County,
Florida, described in Exhibit "A" hereto attached and by this reference made
a part hereof and the Order of AHEPA Supreme Lodge, a Georgia corporation
is the owner of the real property described in Exhibit "B" hereto attached and
by this reference made a part hereof; and
WHEREAS, all of said real property is within the corporate limits
of the City of Clearwater and the said owners desire to place certain restrictions
on said property, which shall be covenants running with the land, for the
protection of themselves, persons and corporations purchasing said property
from them or their heirs, executors, successors or assigns, and the City
of Clearwater, Florida, a municipal corporation;
NOW, THEREFORE, KNOW ALL MEN BY THESE PRESENTS, that
in consideration of the foregoing premises and other good and valuable con-
sideration between the parties, receipt of which is hereby acknowledged, the
undersigned, as owners of the real property described in Exhibits "A" and "B"
do hereby adopt and promulgate the restrictive covenants hereinafter set
forth:
1. There shall be no dredging by the developers in the Lake Chautauqua
marsh areas and no fill removal unless final approval is received from all
City, County, State, Federal or other applicable regulatory authorities for
said work.
2. The location of County Road 102 North of the lake area shall be
subject to the staff approval of the City of Clearwater in order that environmental
damage may be minimized.
3. That attached hereto, marked Exhibit "C" and by this reference
made a part hereof, is the l'Northwood Estates Comprehensive Land Use Plan"
setting forth thereon the present zoning classifications for the various tracts.

4. That complete and acceptable individual community impact
statements will be presented with the site plan for each tract in order to
properly locate retention ponds; control excavation and filling; and insure proper
setbacks from all natural drainage areas; and adequately assess all
environmental impacts related to the proposed developments.
5. That the existing tree barrier on the North side of Tract D will be
preserved and that the maximum height of buildings on the North end of Tract
D will be two stories.
6. That density be reserved, out of the total density allowed for the
East tracts as identified on Exhibit "C" for the acreage reserved for the
Pinellas County Board of Public Instruction, should said Pinellas County Bca rd
of Public Instruction not take the tract, all in a manner similar to the reservation
provided for Tract I as set forth in note #2 on Exhibit "C".
7. That in the event Tract E-I and Tract E-2 zoned CP and PS shall
not be used for commercial and professional purposes but rather shall be
rezoned and used for residential purposes, then and in that event, the residential
density thereon shall not exceed 7.5 units per net acre and it is covenanted
that residential usage shall be deleted from CP and PS zoned areas.
8. That Tract H though bearing a zoning classification of RM-28
is hereby covenanted and limited to a maximum of sixteen dwelling units per
acre and that no building in said Tract H will be erected within a minimum
setback of 100 feet (range to be from 100 feet to 200 feet as approved by
Planning Department of the City of Clearwater) measured from the Western
and Southern property lines of said Tract H, or from the shoreline of Lake
Chautauqua whichever would provide for the greater building setback. Further,
that within Tract H there will be no parking areas within the above 100 feet (plus)
setback area.
9. That Owner will within six months from the date hereof provide
to the City of Clearwater access to Tracts Nand J in the form of an easement
a minimum of thirty feet wide over the proposed right-of-way of County Road
102, same to be public land owned by the City of Clearwater.

10. These covenants and restrictions shall be binding on all parties
and all persons claiming under them and no exception, variation or termination
of these restrictions will be authorized or effective without the prior written
approval and consent of the City of Clearwater.
