Lots 4,5,6,7 and 8 GIBSONS CLEARWATER HEIGHTS SUBDIVISION, Clearwater,
Florida, as recorded in Plat Book 4, Page 99 of the Public Records of Hillsborough County,
Florida of which Pinellas County was formerly a part;
(hereinafter referred to as the "Property") to COMMUNITY REDEVELOPMENT AGENCY of
the CITY OF CLEARWATER, by deed recorded in Official Records Book 6592, Page 1787 of
the Public Records of Pin ell as County, Florida, which contains the following reservation:
"Subject to the reservation by said party of the first part [Pinellas County] of an
undivided 3/4 interest in, and title in and to, an undivided 3/4 interest in all the

described real estate and an undivided Y2 interest in all the petroleum that is or
may be in or under said land with the privilege to mine and develop same."
(Said reservation is hereinafter referred to as the "Oil and Mineral Reservation"),
WHEREAS, pursuant to 9270,11, Florida Statutes, the Community Redevelopment
Agency of the City of Clearwater has requested that Pinellas County release said Oil and Mineral
Reservation; and
WHEREAS, Pinellas County is willing to release the Oil and Mineral Reservation to the
Community Redevelopment Agency of the City of Clearwater;
NOW THEREFORE, in consideration of the premises, and ONE DOLLAR ($1.00) the
receipt and sufficiency of which is hereby acknowledged, Pinellas County does hereby remise,
release, set over, transfer and quit-claim to the Community Redevelopment Agency of the City

This Memorandum of Agreement for Development and Disposition of Property

FLORIDA, a public body corporate and politic of the State of Florida (the" Agency"), whose
address is 112 S. Osceola Avenue, Clearwater, FL 32521. and. INFORMATION
MANAGEMENT RESOURCES, INC., a Florida corporation (the "Developer"), whose
address is 26750 U.S. Highway 19 North, Clearwater, FL 34621.
This Memorandum. pertains to an Agreement for Development and Disposition
of Property (IMR - Site n Project), by and between the Agency and the Developer, dated as of
OC7{)f} El~ ;;'1 , 1998 (the ~Development Agreement"), which provides, among other things,
for the sale of property within a project site as described in Exhibit" A" attached hereto and
made a part hereof for the development and construction of the lMR - Site n Project, as same

1. You have confirmed that all documents required to be executed by the Seller in
connection with the closing of the subject transaction (the "Seller's Closing
Documents") have been delivered to you and have been properly executed, witnessed,
and notarized, and that all exhibits (including legal descriptions acceptable to both of
us) have been appended to the Buyer's Closing Documents and Seller's Closing
Documents.
2, We ha.....e agreed upon a "marked-up" Commitment in form and substance satisfactory
to Buyer and Commonwealth Land Title Insurance Company which is attached
hereto as Exhibit B, and that you are in a position to issue, pending the actual
disbursement of the Closing Funds, the title insurance policy to the Buyer in form
identical to the t1marked-upu Commitment within thirty (30) days after the date of
closing.
Upon the satisfaction of all of the above requirements and upon telephonic notice from the
undersigned, you will proceed as follows:

instructions. We will instruct you to either continue to hold the Buyer's Closing Documents and the
Closing Funds pending the closing or to return the Buyer's Closing Documents to our office and the

2, Seller is selling certain real property (the "Property") located in
Pinellas County, Florida, which is more particularly described as follows:
Lots 4, 5, 6, 7 AND 8, CLEARWATER HEIGHTS, according to the plat
thereof as recorded in Plat Book 4, Page 99, of the Public Records of
Hillsborough County, Florida of which Pinellas County was formerly a
part,
3, There have been no improvements, alterations or repairs made by
Seller to the Property within the past ninety (90) days for which the cost, or any part
thereof, remains unpaid,
4. There are no mechanics', or materialmens' or laborers' liens against
the Property, or any part thereof, which liens would have been created or incurred by
virtue of an obligation of the Seller, and no contractor, subcontractor, laborer, or
materialman, engineer, land engineer or surveyor has any lien or right to a lien against
the Property, or any part thereof, by virtue of any unpaid obligation created or incurred
by the Seller,
5, There are no claims, demands, contract rights, liens or judgments
outstanding against the Property and that the Seller is not indebted to anyone for the
Property,
6, There are no easements or claims of easements on the Property not
shown on the Public Records of Pinellas County, Florida,
7, There are no outstanding rights or claims of any parties in
possession not shown on the Public Records of Pinellas County, Florida, and that there
are no parties other than the Seller in possession of said real property,

8, There are no outstanding taxes or special assessments which are
not shown as existing liens by the Public Records of Pinellas County, Florida.
9, Mfiant on behalf of the Seller acknowledges that Section 1445 of
the Internal Revenue Code provides that a transferee (buyer) of a U,S, real property
interest must withhold tax if the transferor (seller) is a foreign person. To inform the
transferee (buyer) that withholding of tax is not required upon the disposition of a U.S.
real property interest by the Seller, the undersigned hereby certifies the following on
behalf of the Seller:
A. Seller is not a foreign corporation, foreign partnership, foreign
trust, or foreign estate (as those terms are defined in the Internal Revenue Code
and Income Tax Regulations);
B, Seller's U,S, employer identification number is 59-2911475;
The undersigned understands that this certification may be disclosed to the Internal
Revenue Service by the transferee and that any false statement contained in this
paragraph could be punished by fine, imprisonment, or both,
10, Affiant has received and reviewed Commonwealth Land
Title Insurance Company Commitment No. 864-120286 and is familiar with the
contents thereof,
11. There have been no documents recorded in the public records of
Pinellas County, Florida, subsequent to September 23, 1998 at 8:00 A.M, which affect
title to the property insured and that Affiant has not entered into any contracts for the
sale, disposition or leasing of the property described in the commitment other than as
provided in the commitment issued by Commonwealth Land Title Insurance Company,
if any,
12, This Affidavit is made for the purpose of inducing Commonwealth
Land Title Insurance Company to issue an Owner's Title Insurance Policy insuring
