Payment of the principal amount of this Note is deferred while the undersigned remains fee simple owner and occupant of the noted property. Transfer of ownership or other disposition of the property shall constitute a default of the deferment and will cause this Note to become due and payable. Failure of the City to exercise such option shall not constitute a waiver of such default. During the deferred term, this Note will not accrue interest. Upon default of the deferment, the amount payable hereunder shall be calculated in accordance with Attachment "N" to O.M.B. Circular No. A-I02 providing for the prorata division of proceeds from the disposition of property purchased in part with Community Development Block Grant Funds provided by the United States Department of Housing and Urban Development. The undersigned reserves the right to prepay at any time all or any part of the principal amount of the Note without the payment of penalties or premiums. Any payment of this Note prior to default of the deferment shall be applied to the principal due on the Note.
