as If Scrivens" , and CITY OF CLEARWATER, FLORIDA, a municipal corporation,
hereinafter referred to as IfCityll,
WITNESSETH:
WHEREAS, Scrivens is the owner in fee simple of a parcel of real
property situated in Clearwater, Pinellas County, Florida, described as
follows:
The West 7 feet of Lot 1 and all of Lot 2 of A
SURVEY OF REED'S LOTS, according to map
thereof recorded in Plat Book 9, page 107 of the
Public Records of Pinellas County, Florida,
otherwise known as 711 Maple Street, Clearwater,
Florida;
and
WHEREAS, the City is the owner of a frame, single family residential
structure which is presently situated at 507 Oak Avenue, Clearwater, Florida,
and is also the owner in fee simple of the following described parcel of real
property situated in Clearwater, Pinellas County, Florida:
Lot 11 and the North 19.2 feet of Lot 12, Block G,
Fairmont Subdivision, according to the map or plat
thereof as recorded in Plat Book 9, page 85 of the
Public Records of Pinellas County, Florida;
and
WHEREAS, the parties have covenanted and agreed to make an
exchange by way of mutual sale and conveyance of their said respective
properties, now it is covenanted and agreed between the parties as
follows:

1. That Scrivens, in consideration of the property hereby agreed to
be conveyed by the City to Scrivens, and the sum> of money to be paid by the
City to Scrivens, as hereinafter provided, shall sell and convey to the City
by warranty deed, free from all encumbrances, the described real property
presently owned by Scrivens, with any and all buildings thereon, save and
except that one family frame residence presently located at 502 North Myrtle
Avenue, Clearwater, Florida. Scrivens further covenants and agrees at
their sole expense to remove the residential structure presently located at
502 North Myrtle Avenue from said premises as provided in Paragraph 6
hereof, and to pay all costs and expenses to connect said structure to the
then existing utility services available to said premises.
2. The City, in consideration of the property hereby agreed to be
conveyed by Scrivens to the City, shall sell and convey to Scrivens, by bill
of sale or warranty deed, the described single family residential structure,
presently located at 507 Oak Avenue, Clearwater, Florida, and the herein
described real property of the City, in fee simple, free from all encumbrances,
and subject only to restrictions and easements of record, and shall pay to
Scrivens the surrs of money hereinafter provided. As a part of this transaction
Scrivens shall, at their sol~ expense, cause to be moved, as provided in
Paragraph 6 hereof, the described single family residential structure from
its present location at 507 Oak Avenue, Clearwater, Florida, to the herein
described real property presently owned by the City, and do those things
which are necessary to place said relocated structure in compliance with all
building codes, ordinances and regulations of the City of Clearwater; and
also shall pay all costs and expenses to connect said structure to the then
existing utility services available to said premises.
3. The premises belonging to Scrivens, being agreed to be of
greater value than the property and premises belorging to the City by the
sum of FIFTEEN HUNDRED DOLLARS ($l, 500. 00), the City, upon the

execution of said conveyances and the conclusion of this transaction, shall
pay to Scrivens the sum of FIFTEEN HUNDRED DOLLARS ($l, 500. 00),
representing the difference in the value.as agreed; and the City shall also
pay to the First National Bank of Clearwater, as Escrow Agent for Scrivens,
the additional sum of FOUR THOUSAND FIFTY DOLLARS ($4, 050. 00), said
sum representing the cost of relocating the two structures as herein provided;
and the relocation of the said structures shall be subject to the approval of
the City Building Inspection Department. For the purposes of this transaction,
the parties hereto have assigned the sum of $8,000.00 as the value of the
property presently owned by Scrivens, being conveyed to the City; and the
sum of $6,500.00 as the value of the single family residential structure and
the herein described real property presently owned by the City, being conveyed
to Scrivens. The City hereby agrees to waive in favor of Scrivens, the cost
of relocating the gas and water meters and sanitary sewer taps which will
be required in the relocation of the two hereinbefore described residential
structures.
4. Upon the signing of this Agreement, the parties hereto shall cause
to be ordered from an approved title insurance company, commitments for
title insurance in the amounts and values above specified, which commitments
for title insurance shall show marketable, unencumbered, fee simple titles
to said properties in Scrivens and the City respectively, except as herein
otherwise provided. The parties shall have a reasonable time after the
delivery of said commitments for the examination thereof, and within said
period shall notify one another in writing of any objections to said titles.
If this notification is not given within a reasonable time, then said titles
shall be conclusively deemed to be acceptable to the parties. In the event
that the title of Scrivens or the City is not good and marketable, said party
shall have a reasonable time thereafter to perfect the title; and if the defects
are not cured within such time, then the other party may rescind and cancel
this contract, or waive the defects and accept the property without deduction
on account of said defects.

5. Upon the closing of this transaction, the said Scrivens shall then
relocate the herein described residential structures from their present locations
at 507 Oak Avenue and 502 North Myrtle Avenue, Clearwater, Florida, respectively,
to the premises described as Lot 11 and the North 19.2 feet of Lot 12, Block G,
Fairmont Subdivision; and the said Scrivens do hereby covenant and agree to
hold the City harmless from any and all loss which may arise from the re-

6. The said Scrivens shall be allowed a period of thirty (30) days from
date of closing of this transaction in which to complete the relocation of the
hereinabove described structures.
7. Taxes for 1961, and prior years on each parcel shall be paid by
the party transferring and conveying said property. Taxes for 1962 shall
be prorated between the parties hereto as of the date of delivery of warranty
deeds as afore said.
8. Possession of the properties covered by this Agreement shall be
delivered as of the date of delivery of the warranty deeds and the conclusion
of this transaction.
9. This is a direct transaction between the City and Scrivens and both
parties warrant that they have not incurred any obligation or responsibility
for the payment of a broker' s or sales commis sion to anyone.
10. In connection with this transaction the parties hereto mutually
covenant and agree that the payment of all charges and expenses in connection
with this transaction shall be borne and paid in the following manner:
(a) Each party shall pay for all title insurance charges and all necessary
State of Florida and Federal Documentary Stamps required to be affixed to the
warranty deed in connection with the property being conveyed by them.
(b) The City shall pay necessary charges and expenses up to a maximum
amount of $65.00 required to satisfy the existing mortgage to the First National
Bank of Clearwater, on the premises presently owned by Scrivens, including

the cost to rewrite a new mortgage in favor of the First National Bank of
Clearwater in an amount not to exceed $2,000.00 on the property to be acquired
by Scrivens from the City.
11. The obligations and benefits under this contract shall extend to
the personal representatives, successors, heirs and assigns of the respective
parties hereto.
12. A1Lwords used herein in the singular number shall include the
plural, and the present tense shall include the future, and the masculine
gender shall include the feminine and neuter.
