I am not preparing a City-Owned Property data sheet because the conveyed lands
will be dedicated as right-of-way for the new bridge, It may be May before I can
provide the final title insurance policy and additional closing documentation,
W.A,G.1. is not required to vacate the property until April 23, 2001, at which time
the City will deliver another $100,000 or $125,000 (if approved by the City
Commission on 2/1/01),

BEFORE ME, the undersigned authority, personally appeared W.A.G.I. A DIVISION OF
W AGENVOORD ADVERTISING GROUP, INC., A DISSOLVED FLORIDA CORPORATION ("Affiant")
who being by me fIrst duly sworn, on oath, deposes and says:
1. That Affiant is the owner ofthe following described property (the "property"):
SEE EXHIBIT "A" ATTACHED HERETO AND MADE APART HEREOF
2. That Affiant is in possession of the property and the property is free and clear of
all liens, taxes, encumbrances, leases and claims of every kind, nature and description
whatsoever except for mortgage or mortgages, if any, described in the deed given between the
parties named herein, and except for real estate and personal property taxes for the year 1999.
3. That there have been no improvements, alterations or repairs to the above
described property for which the costs thereof remain unpaid, and that there are no claims for
labor or material furnished for repairing or improving the same, which remain unpaid, except the
following:
NONE
4. That there are no mechanic's, materialmen's or laborer's liens against the above
described property.
5. That the personal property contained in the building on said property, or on the
said premises, and which, if any, is being sold to the Purchaser mentioned below, is also free and
clear of all liens, encumbrances claims and demands whatsoever.
6. That Affiant, in the operation of said building and property, complied in all
respects with the Sales Tax Law of the State of Florida.
7. That Affiant knows of no violations of Municipal Ordinances pertaining to the
above described property.
8. That this Affidavit is made for the purpose of inducing CITY OF CLEARWATER, A
FLORIDA MUNICIPAL CORPORATION ("Purchaser") to purchase said property from Affiant.
9. Affiant agrees that in the event the current real estate and personal property taxes
vary in amount from the figures used in making the prorations in closing the transfer and
conveyance of the above described property to the purchaser(s) then a new proration and a
correct and proper adjustment will be made upon demand.
10. That no judgment or decree has been entered in any court of this State or the
United States against said Affiant which might result in a lien on the above described property
and which remains unsatisfied,
11. That no child support order has been entered against Affiant, the payments of
which are more than fifteen (15) days delinquent.
12. That there are no matters pending against Affiant that could give rise to a lien that

Warranty Deed to Buyer and that Affiant has not and will not execute any instrument that would
