Dear Ms. Goudeau:
On November 9, 1993, we filed our notice of intent to accept the
proposal from Walter T. Krumm Ventures, Inc., or its assigns,
including but not limited to Atriul!-- at Clearwater, Limited,
relating to the sale of the first two floors of the Park street
Garage, air space above the garage, and an easement over the first
two floors of the garage. The notice of intent to accept this
proposal was contingent upon the receipt of no other proposals by
5:00 p.m. Eastern Standard Time on December 6, 1993, in accordance
with the notice of disposition of community redevelopment property
pUbliShed by the Community Redevelopment Agency of the city of
Clearwater and Section 163.380, Florida statutes.
This will certify that no other proposals have been received
relating to the sale of this property within the time established
by the notice. Accordingly, the matter will be ready for final
action by the Community Redevelopment Agency after December 9,
1993, or 30 days after the filing of the notice of intent to accept
the proposal.
This matter will be scheduled for consideration and action by the
Community Redevelopment Agency at its meeting of December 13, 1993,
at which time the following items will appear on the agenda (not
necessarily in the following order):
~ Option to Purchase the lower two floors of the
garage and the underlying real property.
~ Easement Agreement from the CRA to Atrium at
Clearwater, Limited, for ingress and egress
over the lower two floors of the garage to the
upper floors

~ Easement Agreement from the City to the CRA
for ingress and egress over the roadways and
driveways on the police station property to
the parking spaces east and south of the
garage, and the use of those parking spaces by
the city.
~ Second Amendment to Development Agreement.
~ Amendment to the Maintenance and Operation
Agreement for the garage.
~ Easement for Crosswalk.
~ Escrow Agreement wi th the law firm of
Richards, Gilkey, Fite, Slaughter, Pratesi and
Ward, containing the terms for the closing in
escrow.
~ Resolution 93-5, relating to the redemption or
defeasance of any outstanding Tax Increment
and Lease Revenue Bonds, Series 1986, in the
event the option to purchase the lower two
floors of the garage is exercised.
