ASSIGNMENT OF CONTRACT
In consideration of the sum of One Dollar ($1.00 and other good and
valuable consideration), the CITY OF CLEARWATER, FLORIDA, a Florida municipal
corporation, hereby sells, transfers and assigns to the COMMUNITY REDEVELOPMENT
AGENCY OF THE CITY OF CLEARWATER, a Florida redevelopment agency, all of its
right, title and interest in and to that certain Contract for Sale and Purchase
dated September 5, 1991, by and between the CITY OF CLEARWATER, FLORIDA, a
Florida municipal corporation, and ALLIED STORES GENERAL REAL ESTATE COMPANY, a
Delaware corporation, successor by merger to CLEARMAS REALTY CORP., a Florida
corporation, pertaining to the property described in Schedule A attached thereto.

ASSUMPTION OF OBLIGATIONS UNDER CONTRACT
The COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF CLEARWATER, a Florida
redevelopment agency, in consideration of the above and foregoing Assignment of
Contract to them, hereby assumes and agrees to perform each and every covenant
and obligation of the CITY OF CLEARWATER, FLORIDA, accruing under the contract,
