THIS DEED, Made this 2nd day of June , A. D., 19 70,
between SEABOARD COAST LINE RAILROAD COMPANY, a Virginia corporation, herein-
~; after called "Grantor"; and the CITY OF CLEARWATER, a municipal corporation
under the laws of the State of Florida, hereinafter called "Grantee"; and
UNITED STATES TRUST COMPANY OF NEW YORK, Corporate Trustee under the First
(formerly General) Mortgage, dated March 1, 1950, made by the former Atlantic
Coast Line Railroad Company, to which Seaboard Coast Line Railroad Company
is successor by merger, hereinafter called "Trustee";
(Wherever used herein the term "Grantee" shall be construed
in the singular or plural as the context may require or
admit.)

WITNESSETH: That Grantor, for and in consideration of the sum of
Two Hundred Twenty-Six Thousand Four Hundred Seventy-Seven Dollars ($226,477.00)
to it paid by Grantee, the receipt of which is hereby acknowledged, has
granted, bargained, sold and conveyed unto Grantee, its heirs or successors
and assigns, forever, all that certain tract or parcel of land situate, lying
and being in the City of Clearwater, County of Pinellas, State of Florida,
and described as follows, to wit:
For point of reference, commence at the northeast corner of
Section 16, Township 29 South, Range 15 East and run thence South
880 58' 40" West, along the north line of said Section, 614.19
feet to a point on the easterly boundary line of Grantor's main
track right of way, and the point of beginning: From the point of
beginning thus described, continue South 880 58' 40" West, along said
Section line, 120.31 feet to a point on the westerly boundary line
of said right of way; thence South 30 06' 40" West, along said
westerly boundary line, 632.80 feet to a point on the westerly
extension of the south line of Laura Street; thence North 880 49'

10" East 60.17 feet; thence South 3 06' 40" West 262.68 feet to a
point on the north line of Cleveland Street, as established by
City Ordinance; thence South 20 41' 47" West, along said westerly
boundary line, 369.03 feet to a point on the south line of Park
Street; thence North 880 27' 40" East 60.18 feet to a point on
said easterly boundary line; thence North 20 41' 47" East, along
said easterly boundary line, 369.13 feet to an angle point; thence
North 30 06' 40" East, along said easterly boundary line, 894.67
feet to the point of beginning; containing 2.61 acres, more or
less, and being shown outlined in yellow on print of Drawing No.
G-3-46, prepared by L. Butler, Registered Engineer No. 1468,
Registered Surveyor No. 78, attached hereto and made a part hereof;
SUBJECT, However, to rights of way of public streets which extend
across said land; SAVING AND EXCEPTING, However, unto Grantor, its
successors and assigns, rights of way and easements 16 feet in
width, i.e., 8 feet wide on each side of the center line of spur
tracks of Grantor which extend onto portions of said tract or
parcel of land adjacent to Drew Street and Hendricks Street, the
center line of said tracks being as located on said print; said
rights of way and easements to remain in effect so long as the

present parties being served by said tracks desire rail service,
thereafter said rights of way and easements shall cease and deter-
mine and the Grantee, its successors and assigns, shall hold the
land hereinbefore described freed of such rights of way and
easements.

TOGETHER with all and singular the rights, members, hereditaments
and appurtenances to said premises belonging, or in anywise incident or
appertaining.
TO HAVE AND TO HOLD all and singular the premises before mentioned
unto Grantee, its successors and assigns, in fee simple forever; SUBJECT,
However, in addition to the foregoing, to all conditions, covenants, restric-
tions, reservations and easements affecting said land.
Except as to the matters referred to in the preceding paragraph,
Grantor hereby binds itself, its successors and assign~ that it is seized
of said premises in fee and that the same are free from encumbrances, and to
fully warrant and forever defend all and singular said premises unto Grantee,
against it and its successors and assigns and all other persons lawfully
claiming or to claim the same or any part thereof.
The property hereinabove conveyed is subject to the lien of the
First Mortgage of the former Atlantic Coast Line Railroad Company, dated
March 1, 1950, as supplemented and modified, under which mortgage United
States Trust Company of New York is Corporate Trustee, and Trustee joins
herein for the purpose of releasing and does hereby release the property
hereby conveyed from the lien of said mortgage pursuant to the provisions of
Section 6.01 of Article Six thereof.
The recitals of fact made herein are to be taken only as recitals
made by Grantor and not by Trustee.
IN WITNESS WHEREOF Grantor and Trustee have caused these presents
to be duly executed and their respective corporate seals to be hereto affixed
and to be attested by their respective Assistant Secretaries the day and
year first above written.
