Dear Mr. Stierheim:
The transaction whereby Senior Citizens Services, Inc., a Florida
non-profit corporation, sold the above described property to the City of
Clearwater has been closed this date.
The contract of sale provided that the Seller would have the right to
retain possession of said premises until September 1, 1973, and if the Seller
exercises this right to retain possession for any period after the date of
closing, then the Seller shall be responsible for and pay the insurance and
maintenance of the premises and any ad valorem real property taxes on
said property during said period.
This letter is to reaffirm that the Senior Citizens Services, Inc. hereby
covenants to promptly and timely pay the insurance and maintenance for said
premises and any property taxes on the property from this date until possession
thereof is surrendered to the City which shall be on or before September I, 1973.
Senior Citizens Services, Inc. further covenants and agrees to maintain public
liability insurance on said premises in the minimum amount of $100,000.00
insuring and protecting the City of Clearwater during any period which it retains
pos ses sion of the premises.

3. That there has been no labor performed or materials furnish-

unpaid bills for labor or materials against said property.

fecting the title to the property hereinbefore described.
5. That it is hereby warranted that no notice has been received
of any public hearing regarding assessments for improvements by any gov-
ernment within the past ninety (gO) days, and it is hereby warranted that
there are no unpaid assessments against the above property for improve-
ments thereto by any government, whether or not said assessments appear
of record.
6. That the representations embraced herein are for the purpose

AGREEMENT FOR PURCHASE
AND SALE OF REAL ESTATE
THIS AGREEMENT, made and entered into this ~d day of

a Florida non-profit corporation, hereinafter referred to as Seller, and the
CITY OF CLEARWATER, FLORIDA, a municipal corporation, hereinafter
referred to as Purchaser;
WITNESSETH
That in consideration of the payments and covenants herein provided,
and other good and valuable considerations, Seller agree s to sell and Purchas er
agrees to buy the following described real estate situate in Pinellas County,
Florida, to wit:
North 75.0 feet of Lot I and Lot 2, Block 5, A. C. Turner's
Subdivision, according to the map or plat thereof as recorded
in Plat Book K, page 475 of the Public Records of Pinellas
County, Florida, together with the submerged land as described
in I.!. F. Deed # 17486.
The total purchase price for said property shall be the sum of One
Hundred Twenty Thousand Dollars ($12.0,000.00) payable at the times and in
the manner following:
$12.,000.00 cash to be paid upon execution of this agreement, receipt
of which is hereby acknowledged, and the balance of $108,000.00 upon closing
which shall be on or before thirty (30) days from date hereof.
IN CONSIDERATION WHEREOF, Seller agrees to convey said property
to said Purchaser by good and sufficient Warranty Deed, with a fee simple,
marketable title, free and clear of all encumbrances of record.
Seller shall give to Purchaser within fifteen (15) days, an abstract
of title or title insurance, certified to the date of this Agreement or later,
evidencing a good record unencumbered title. Purchaser shall have fifteen
(15) days after delivery of abstract or title insurance commitment for
examination and acceptance thereof and/or to notify Seller, in writing, of any
objections to said title. If no notification is received by Seller within said
time, then said title shall be conclusively deemed to be acceptable to Purchaser.

In event Seller's title is not good and marketable of record, it shall have
a reasonable time thereafter to perfect same, and if such defects are not
cured within such reasonable time, then Purchaser may demand the return of
all earnest monies paid by it and cancel this contract, or waive the defects and
accept the property without deduction on account of said defects. If Purchaser
shall default under this contract, the earnest money deposit shall be retained
by Seller in lieu of liquidated damages and/or as rental for the premises.
Taxes for 1972 and prior years shall be paid by Seller, and taxes for
1973 shall be prorated as of date of delivery of possession. Seller shall affix
the required documentary tax stamps on the Deed and Purchaser will record
same.
The Purchaser hereby grants to Seller the right to retain pos ses sion of
said premises until September 1, 1973. If the Seller exercises this right to
retain possession of said premises for any period after the date of closing,
then the Seller shall be responsible for and pay the insurance and maintenance
of the premises and any ad valorem real property taxes on said property during
said period.
This Agreement shall be binding on the succes sors and assigns of the
parties hereto.
