THIS AGREEMENT made and entered into this 3/;::..:--" day of
August, A. D. 1965, by and between PEACE MEMORIAL HOMES, INC., a
Florida non-profit corporation, and FLORIDA PRESBYTERIAN COLLEGE,
INC., of the first part hereinafter called the Vendors, and CITY
OF CLEARWATER, a municipal corporation, of the second part herein-
after called' tlie'Pu~chaser,
WIT N E SSE T H :
That in consideration of the mutual promises and coven-
ants herein contained, and other valuable considerations passing
between the parties hereto, the Vendors agree to sell and the
Purchaser agrees to buy the following described property situate,
lying and being in Pine11as County, Florida, to-wit:
Lot Five (5) of Jeffords and Smoyer's
First Addition to Clearwater, Florida,
according to the corrected map or plat
thereof as recorded in Plat Book 4,
Page 10, of the Public Records of Pine11as
County, Florida;
Less and except the East fifteen feet (E 15')
thereof heretofore conveyed to the City of
Clearwater for street purposes.
The total purchase price of said property shall be the
sum of FIFTY THOUSAND DOLLARS ($50,000.00) payable at the times
and in the manner following:
$10,000.00 to be paid in cash on the closing of the sale.
Balance of $40,000.00 to be represented by a purchase
money mortgage payable $10,000.00 per year over a
period of 4 years, with interest on the unpaid balance
at the rate of 4% per annum. Allor any part of the
unpaid balance secured by purchase money mortgage may

containing full covenants of warranty a fee simple marketable
title to the real estate above described, free and clear of all
encumbrances whatsoever except as herein otherwise provided.
It is understood that the Vendars will receive the full
purchase price of FIFTY THOUSAND DOLLARS ($50,000.00) net, with
no deductions whatsoever for any purposes. Taxes for 1964 and
prior years shall be paid by the Vendors; taxes for 1965 shall be
assumed by purchaser.
This sale shall be closed not later than October 1, 1965,
and Purchaser shall be permitted to go into possession on or after
date of this contract.
The property being sold consists of a home and the

Igrounds adjacent thereto, and Purchaser agrees to maintain the
grounds from and after the signing of this contract. Purchaser may
raze building at any time without penalty.
Vendors warrant that no real estate dealer is involved
in this sale and that there will be no real estate commission to
pay.

Quit Claim Deed from Nell S. Harrison, dated November
30, 1965
Mortgage Deed from the City of Clearwater, Florida to
Florida Presbytfilrian Collfilge, et al dated November 15, 1965.
Also attached hereto is Closing Statement showing all of the above expenses.
Also attached is City of Clearwater Check # 10047 in the amount of $285.05
payable to the Clerk of the Circuit Court and City of Clearwater Check # 10048
in the amount of $80.00 payable to the Pinellas County Tax Collector.
After the mortgage has been recorded, it should be returned to this office for
transmittal. The state documentary stamps for the notes involved in this
transaction will have to be purchased in such denominations as to allow $7. 50
be affixed to each note (there are 8 separate notes). We are retaining the
original notes in our office unless you need to take them to the Court House
with you at the time the rest of the papers are recorded.
We are also attaching hereto Title Opinion of Guy L. Kennedy, Jr. in reference
to subject purchase, Abstract of Title No. 6567 covering the property and
copies of the mor tgage deed and the eight notes involved in this transaction.

Gentlemen:
In accordance with your request, I have examined the following
ABSTRACT OF TITLE purporting to reflect the title to the captioned property:
ABSTRACT OF TITLE NO.. 6567, prepared by Pinellas
County Title Company, Clearwater, Florida, consisting of
PAGES ONE (1) through ONE HUNDRED THIRTY-FIVE
(135) inclusive, covering the period of time from the earliest
public records of Hillsborough County, of which Pinellas County
was formerly a part, through September 30, 1965, the date
of the last certification thereof.
Based on such examination, I find that title to said property appears
to be vested as follows:
An undivided 1/2 interest in PEACE MEMORIAL PRESBYTERIAN
CHURCH, INC., for the use and benefit of its affiliated non-profit
corporation, PEACE MEMORIAL HOMES, INC., whose address
is 400 Drew Street, Clearwater, of the County of Pinellas and
State of Florida, and
An undivided 1/2 interest in FLORIDA PRESBYTERIAN COLLEGE,
INC., a Florida non-profit corporation, whose address is 4400
54th Avenue South, St. Petersburg, of the County of Pinellas
and State of Florida.

Title to said property is subject to the following exceptions and
obj ections:
(1) SURVEY: Exception is taken to any state of facts which
might be disclosed by an accurate survey of the premises.
(2) PARTIES IN POSSESSION: Exception is taken to the rights
of any persons in possession if other than the above named
Owners.
(3) ZONING ORDINANCES: This property is located within the
corporate limits of the City of Clearwater, Florida, and is

(4) REAL PROPERTY TAXES for the calendar year 1965.
(5) EASEMENT: Subject to restrictions and easements of record
and any road rights of way.

unrecorded liens by mechanics or materialmen in connection
with the erection of any improvements upon said captioned
premises.
(7) Subject to any rights or claims of the St. Petersburg Bank and
Trust Company as Trustee pursuant to the Trust Indentures
of Mortgage as shown on Pages 112 through 130 of said Abstract.
(8) Page 101 of said Abstract sets forth the Quit Claim Deed from
Nell S. Harrison, a widow, to the City of Clearwater, F1Qrida,
conveying the East 15 feet of Lot 5 of Jeffords I & Smoyer IS
First Addition to Clearwater. Said deed contains the following
clause: 'IThe above described property is conveyed to the City
of Clearwater to be used for street purposes. If said property
should ever be used for any purpose other than as a public street
or way then and in that event, title to said property shall revert
to the grantor or her successors in title. "
The deed of conveyance in this transaction should specifically
include any and all interest of the record owners in and to any
of the right of way of Osceola Avenue. adjacent to said property
in the corporate limits of the City of Clearwater, Florida.

(9) Your attention is called to Page 92 of said Abstract which
sets forth the conveyance of the premises from Sylvester E.
Couch, widower, to Joshua J. Couch, which deed was recorded
in Deed Book 262, page 451, of the Public Records of Pinellas
County, Florida. In said conveyance the Grantor, Sylvester E.
Couch, reserved from said conveyance a life estate for and
during his natural life. Subsequent thereto on January 7, 1943,
as shown by entry on Page 99 of said Abstract, James Joshua
Couch, joined by his wife, Margaret W. Couch, conveyed the
described property to Nell S. Harrison. The Abstract furnished
does not set forth any furth deed of conveyance executed by
Sylvester E. Couch, a widower, or any death certificate of

--certificate of Sylvester E. Couch, if now deceased, or a
conveyance of any interest which he has in said property to
the City of Clearwater should be obtained and recorded to
properly perfect the record title to this property.
In my opinion, a WARRANTY DEED properly drawn and executed
by the above set forth record owners would convey good and merchantable title
to this property subj ect to the exceptions and objections noted above.
