AGREEMENT

THIS AGREEMENT is entered into this /3 day of
1992, by and between the CLEARWATER GARDEN CLUB, a F10r
Corporation not-for-profit, whose mailing address is 40 Seminole
street, Clearwater, Florida 34615-3860 (as "Grantor"), and the
CITY OF CLEARWATER, FLORIDA, a Florida Municipal Corporation,
whose mailing address is city Clerk's Office, P. O. Box 4748,
Clearwater, Florida 34618-4748 (as "Grantee").
WITNESSETH: That Grantor, for and in consideration of
Grantee, at Grantee expense not to exceed Seven Hundred Fifty
and---No/lOO's---Dollars ($750.00), constructing at the East
entry of Grantor's building a concrete entry ramp and five (5)
foot wide walkway connecting the ramp to the circular driveway'at
the front entrance to Grantor's building, as per sketch
identified as Exhibit "A" attached hereto and by reference
incorporated herein. said ramp and walkway shall be constructed
in compliance with all applicable building codes, with
construction to commence not later than ninety (90) days
following acceptance of this agreement by the city commission of
the City of Clearwater, and completion not later than thirty (30)
days thereafter. Grantee assumes no liability whatsoever for
maintenance of either the entry ramp or walkway, or the use of
either 9Y membership of the Grantor or any other persons, and
Grantor agrees to hold Grantee forever harmless from any
liability of any kind regarding these improvements.
NOW, THEREFORE, Grantor does hereby agree to grant, bargain
and sell to Grantee for the sum of Seven Hundred Fifty and---
No/100's---Dol1ars ($750.00), its successors and assigns forever,
the following described land located in the County of Pinellas,
State of Florida, together with all improvements thereon, as per
sketch identified as Exhibit "B" attached hereto and by reference
incorporated herein:
From the intersection of the West line of Ft. Harrison
Avenue and the North line of Eldridge Street, run North
16000'00" East to a point which shall be 157 feet due
North of said line of Eldridge Street, thence run North
16000'00" 157.42 feet along said West line of Ft. Harrison
Avenue to the intersection of the South line of Seminole
Street for a POINT OF BEGINNING; thence run North 89051'59"
West 17.42 feet along said South line of Seminole street;
thence run South 25024'48" East 25.33 feet to the said West
line of Ft. Harrison Avenue; thence North 16000'00" East
23.76 feet along said West line of Ft. Harrison Avenue back
to the POINT OF BEGINNING.
containing 199 square feet MOL.
The above tract lying and being in section 9, Township 29S,
Range 15E, and being in the city of Clearwater, Florida.

Bearings for Ft. Harrison Avenue and Seminole street are
based on a survey prepared for Clearwater Garden Club by
Lloveras, Baur & stevens, Job No. 22971 dated 8/21/91.
CONVEYANCE: conveyance shall be by General Warranty Deed,
free and clear of all encumbrances, to be delivered within
fifteen (15) days of approval of this Agreement by the city
commission of the city of Clearwater. If this Agreement is not
approved by city commission action on or before July 2, 1992,
this Agreement shall be null and void in all respects and both
parties shall be relieved of any further obligations hereunder.
ENTIRE AGREEMENT: This contract constitutes the entire
agreement between the parties, and any changes, amendments or
modifications hereof shall be void unless the same are reduced to
writing and signed by the parties hereto.
IN WITNESS WHEREOF, the parties hereto have caused this
Agreement to be executed the day and year first above written.
