THE CITY OF CLEARWATER ("Agreennent"), is made and entered into this � day of �tr'�''��
2011, by and between COURT STREET ENTERPRISES, INC., a Fl�rida corporatian, having its
prir�cipal place of business at 8 Cambria Street, Suite 303, Clearwater, Florida 33'767, as ta 2/3rds
ownership and JOSEPH J. HIRSCHFELD, AS TRUSTEE, as to 1/3�d �wnership, whase address is:
7105 Pe�ican Drive, Tar-npa, Florida 33634, (herein "Seller") and the CITY OF CLEARWATER,
�'L.ORI�DA, a Florida municipality, 112 South Osceola Avenue, C�earwater, Florida 33756 (h�rein
Buyer or City ), (collectively Parties ).
WIITNESSETH:
WHEREAS, the Parties have heretofare entered into �he Agreement for the sale and purchase
of re�l property �s describ�d therein; and
WHEREAS, paragraph 14 of the Agreement afforded the Buyer a Right of Inspection for a
period of fifty (50) days follawing the EfFective Date, June 2D, 2q11, which shall expire on August 9,
2011; �nd
WNEREAS, paragraph 9�f the Agreement provides for an �xtensian af up ta sixty (60) days
should a Party be unable ta comply with any provision within the time allowed, and correspondingly no�
be prepared to close in the timeframe set forth therein; and
WFiEREAS, Buyer has made all reasonable and diligent efforts ta comply with the sixty (60) day
Right of Insp�ction period, b�t environmental conditians have arisen which require additiona9
inve�tigatoon, and therefore B�yer has request�d, and Seller agrees to grant, a sixty (60) day extensia�
f�r Buyer to complete its environmental investigation; and
IVO'lIV THER�FORE, in consideration af the foregoing and the mutual covenants containe�
hereinafter, IT IS AGREED AS F�LLOWS:

reference.
2. CLOSING DATE: This transaction shall close an or before one hundr�d twenty (120) days
following the EfF�ctive Dafie, or by na later than October 1$, 2011. Buyer agrees to make a goad faith
eff"ort to close as so�n as posseble ��ter its investigation has conciuded.
3. PROPERTY CONDITION/BUYER RIGHT OF' INS�ECT'IQN: The Buyer's Right of Inspection is
her�by extended far a period of sixty (60) days, and therefare shall expire on October $, 2011.

4. All terms and conditions of the Agreement shall remain in full force and effect unless expressly
amended herein.
