TIMES PUBLISHING COMPANY (4)SECOND AMENDMENT TO C�NTRACT FOR PURCHASE OF REAL PROPERTY BY THE CITY OF CLEARWATER, FLORIDA This AMENDMENT to that certain CONTRACT FOR PURCHASE OF REAL PROPERTY BY THE CITY OF CLEARWATER ("Agreement"), is made and entered inta this � day of October, 2011, by and between TIMES PUBLISHING COMPANY, a Flarida corporatian, having its principal place of business at 490 First Avenue South, St. Petersburg, Florida 33701, (herein "Seller" or "Times") and the CITY OF CL.EARWATER, FLORIDA, a Florida municipality, 112 South Osceola Avenue, Clearwater, �lorida 33756 (herein "Buyer' or "City"), (collectively "Parties"). WITNESSETH: WHEREAS, the Parti�s have heretofore entered into the Agreement for the sale and purchase of real property as described therein, having been previously amended to extend the Buyer Right of Inspection to October 3, 20� 1 and Closing Date to October 18, 2011; and WHEREAS, circumstances revealed in the course of Buye�s Inspection warrant an additional extension for Buyer to complete its due diligence, for the Parties to negotiate applicable modifications to the Agreement based on Buye�'s findings, and to adjust the Closing Date, as necessary; and WHEREAS, the Parties mutually agree to extend the Buye�s Right of Inspection to October 24, �D11 and the Clasing Date to occur on or before Navember 8, 2011; and NOW THEREFORE, in consideration of the faregoing and the mutual covenants contained hereinafter, IT IS AGREED AS FOLLQWS: 1. RECITALS. The foregaing recitals are true and correct and are incorporated herein by reference. 2. CLOSING DATE: This transaction shaN close on or before November 8, 2011. Buyer agrees to make a goad faith effort to close as soon as possible after its investigation and due diligence has concluded. 3. PROPERTY CONDITIQN/BUYER RIGHT �F INSPECTION: The Buye�'s Right of Inspection is hereby extended for a period of twenty-ane (21) days, and therefore shall expire at close of busin�ss an October 24, 2011. 4. BUSINESS LEASE CONTRACT ADDENDUM Para ra h 30 is hereby amended to add the following to the end of the paragraph. "In accardance with the Buyer's due diligence findings, the Lease shall be amended subsequent to the execution of this Agreement to include generally; Buyer's Right of Entry to pursue remediation of environmental conditions during Sellers tenancy, and a release by Seller (covering the period of its tenancy) for any and all claims related to or resulting from environmental conditions existing, whether knawn or discavered after the Closing Date ("Lease Amendments"). The Lease Amendments are a material inducement for the Buyer to enter into this Agreement. Page 1 of 2 5.
