THE CITY OF CLEARWATER, FLORIDA
This AMENDMENT to that certain CONTRACT FOR PURCHASE OF REAL PROPERTY BY
THE CITY OF CLEARWATER ("Agreement"), is made and entered into this �►'3 day of August,
2011, by and between TIMES PUBLISHING COMPANY, a Flarida corparation, having its principal
place of business at 490 First Avenue South, St. Petersburg, Florida 33701, (herein "Selle�" or "Times")
and the CITY OF CLEARWATER, FLORIDA, a Florida municipality, 112 South Osceola Avenue,
Clearwater, Florida 33756 (herein "Buyer" or "City"), (collectively "Parties").
WITNESSETH:
VIiFiEREAS, ihe Parties have heretofore entered into the Agreement for the sale and purchase
of real property as described therein; and
WHEREAS, paragraph 14 of the Agreement afforded the Buyer a Right of Inspection for a
period of farty-five (45) days following the Effective Date, June 20, 2Q11, which shall expire on August
4, 2011; and
WHEREAS, paragraph 9 of the Agreement provides for an extension of up to sixty (60) days
should a Party be unable to comply with any provision within the time allowed, and correspondingly not
be prepared to close in the timeframe set forth therein; and
WHEREAS, Buyer has made all reasonable and diligent efforts to comply with the forty-five (45)
day Right af Inspection period, but environmental conditions have arisen which require additional
investigation, and therefore Buyer has requested, and Seller agrees to grant, a sixty (60) day extension
for Buyer to complete its environmental investigation; and
NOW THEREFORE, in cansideration of the foregoing and th� mutual covenants contained
hereinafter, IT IS AGREED AS FOLLOWS:
1. REGITALS. The foregoing recitals are true and correct and are incarporated herein by
reference.
2. CLOSING DATE: This transaction shall close on or before one hundred twenty (120) days
following the Effective Date, or by no later than October 18, 2011. Buyer agrees to make a good faith
effort to close as soon as possible after its investigation has concluded.
3. PROPERTY CONDITION/BUYER RIGHT OF INSPECTION: The Buyer's Right of Inspection is
hereby extended for a period of sixty (60) days, and therefore shall expire on October 3, 2011.
4. Afl terms and conditions of the Agreement shall remain in full force and effect unless expressly
amended herein.
