THIS AGREEMENT is made by and between: WAGI. a Division of Waaenvoord Advertisina Grouo. Incorporated
hereinafter referred to as SELLER and the CITY OF CLEARWATER, hereinafter referred to as PURCHASER.
WITNESSETH
For and in consideration of the mutual covenants and conditions herein contained, SELLER hereby agrees to sell and
PURCHASER hereby agrees to buy the following property or interest therein, upon the following terms and conditions:

III. CONDITIONS AND LIMITATIONS
(a) It is matually understood that this Purchase Agreement is executed by PURCHASER subject to approval of the
Clearwater City CCluncil and as required by Section 119.07, Florida Statutes. Final acceptance shall denote final
approval of the purchase pnce and all terms and conditions contained in this Purchase Agreement and
constitutes the effective date of this agreement. A closing on this contract shall not be transacted prior to final
acceptance. Notice of final acceptance shall be evidenced by the signature of the Purchaser in Section VII
herein and delivery to SELLER not sooner than 30 days from the date of the negotiator's signature in Section
VI.
(b) SELLER is responsible for all taxes due and owing on the property as of the date of closing.
[X] SELLER agrees that all current taxes for the year in which this agreement is made on the property
acquired shall be prorated and SELLER agrees to pay his and/or her share of said prorated taxes as
of the date of closing.
[] SELLER agrees to pay all taxes for the current year.

SELLER is responsible for delivering unencumbered title to PURCHASER at closing. Any sums which
PURCHASER must expend to clear encumbrances shall be deducted at closing from the purchase price shown
in Section II.

SELLER does hereby agree to grant Right of Entry for Asbestos Survey ami Right of Entry on the
remainder property to demolish the commercial building remnants on SELLER's property. These
right of entry's are attached hereto as Exhibit C and D.
SELLER retains all fixtures and equipment from the subject radio station/commercial building.
Any fixtures or personal property that remains after surrender of possession of the property and
building will be considered abandoned and will be removed by PURCHASER with no further
claim for payment or possession of such fIxtures and personal property by SELLER.
SELLER agrees to remove and dispose of any known hazardous materials on site at SELLER
EXPENSE.
