AND SALE OF REAL ESTATE
THIS AGREEMENT, made and entered into this

hereinafter referred to as Seller, and the CITY OF CLEARWA TER, FLORIDA,
a municipal corporation, hereinafter referred to as Purchaser;
WITNESSETH:
That in consideration of the payments and covenants herein provided,
and other good and valuable considerations, Seller agrees to sell and Purchaser
agrees to buy the following described real estate situate inPinellas County,
Florida, to wit:
Description as set forth in Exhibit A attached hereto and made
a part herein as if fully rewritten.
The total purchase price for said property shall be the sum of
Two Hundred Fifty Thousand Dollars ($250,000. 00) payable at the times and
in the manner following:
The total purchase price of $250,000 shall be paid at the time of
~
closing, which closing shall take place on the 10th day of January, 1977,
unless such closing date is extended by mutual agreement of the parties to
this agreement.
IN CONSIDERATION WHEREOF, Seller agrees to convey said property
to Purchaser by good and sufficient Warranty Deed, with a fee simple,
marketable title, free and clear of all encumbrances of record.
Seller shall provide Purchaser with a title insurance commitment,
and the title owner's policy premium shall be payable by the Seller at the
time of closing. Upon acceptance and execution of this agreement, the
Seller agrees to provide the Purchaser with a title insurance commitment
which can be examined at least seven (7) days prior to the date of closing.
If within that seven (7) day period the Seller receives no notice of any objections
to the title, then such title shall be deemed to be acceptable to the Purchaser.

All taxes are to be paid current to the date of closing by the SeHer.
Purchaser agrees to purchase and affix the required documentary stamps and
record the Deed.
It is understood between the parties to this agreement that there shall
be no real estate commission payable on this transaction.
This agreement shall be binding upon the respective heirs, administrators,
executors, successors and assigns of the parties, and such agreement may
not be assigned by either party.
