REAL ESTATE CONTRACT
STEVENS DESIGNER HOMES, a Florida General Partnership,
as SELLER, and CITY OF CLEARWATER, FLORIDA, as BUYER, in con-
sideration of the sum of $10,000.00, received from BUYER on this

Hundred Twenty Thousand and no/l00 ($120,000.00) Dollars, of
which the above stated consideration is a part, hereby agree that
the SELLER shall sell and the BUYER shall buy the following
described real property in Pinellas County, Florida, upon the
terms and conditions set forth herein:
PARCEL #1 of the Attached Exhibit IIAII, IIA-ll1,
IIA-211, and IIA-311.
(Containing 3.11 Acres More or Less)
1. TERMS AND CONDITIONS:
This contract is contingent upon SELLER deeding to the
City of Clearwater forty-five (45%) percent of Parcel #2 of the
attached Exhibit II All simultaneously with the closing of this
contract in complete satisfaction of its open space assessment
and recreation facility land assessment connected with the
SELLER'S development of Parcel #3 in accordance with plans filed
with the Buyer. The parties agree that the balance of PARCEL #2
will be deeded to the CITY OF CLEARWATER, FLORIDA, as a gift from
STEVENS DESIGNER HOMES. Parcel #2 in its entirety shall be free
and clear of any liens or encumbrances except easements and
restrictions of record and taxes for the year 1986 and subsequent
years.
Title Insurance outlined in Item 4 of this contract shall
include both Parcel #1 and Parcel #2.
Both deeds shall be specifically subject to the Florida
Power easement as recorded in Deed Book 1517, Page 164 (Exhibit
IIBII attached).

2. RESTRICTIONS, EASEMENTS, LIMITATIONS:
Buyer shall take title subject to restrictions and
easements of record and taxes for the year 1986 and subsequent
years.
3. CLOSING DATE:
This transaction shall be closed on or before September
11, 1986.
4. EVIDENCE OF TITLE:
No later than seven (7) days prior to closing, SELLER
will pay for and deliver to BUYER evidence of title in the form
of a title insurance commitment issued by a title company
regularly doing business in the area, agreeing to issue to BUYER
upon the recording of the deed to BUYER, a title insurance policy
in the amount of the purchase price, insuring title of the Buyer
to the real property, excepting only such standard conditions and
exceptions as usually are printed in policies issued by that
title insuror, subject only to liens, encumbrances, exceptions or
qualifications set forth in this contract and those which shall
be discharged by SELLER at or before closing. If the evidence of
title shall meet the requirements as specified, BUYER shall, on
or before the closing date herein specified, pay the balance of
the purchase price. If BUYER shall not do so within that time,
SELLER shall have the option of compell ing BUYER to do so or of
terminating this contract; and if SELLER shall elect to terminate
this contract, the amount paid as consideration for this contract
shall not be refunded, but shall be forfeited by BUYER as
liquidated damages.
If title is found defective, and the BUYER within five
(5) days shall notify the SELLER in writing, specifying the
defect(s), SELLER shall have sixty days after receipt of that
notice to cure the defect(s), and will in good faith exercise due
diligence to do so. If the defect(s) are cured within that time,
BUYER shall have five days after notice of the curing thereof to

pay the purchase price; and if BUYER shall not do so within that
time, SELLER shall have the option of compelling BUYER to do so
or of terminating this contract; and if SELLER shall elect to
terminate this contract, the amount paid as consideration for
this contract shall not be refunded, but shall be forfeited by
BUYER as liquidated damages. If the defect(s) are not cured
within that time, BUYER shall have five days after expiration of
that time to pay the balance of the purchase price, not-
withstanding the defect(s), and if BUYER shall not do so within
that time, SELLER will promptly refund the full amoutn of the
consideration paid for this contract and this contract shall
terminate.
5. CONVEYANCE:
SELLER will promptly execute and deliver to BUYER a good
and sufficient warranty deed, containing all the usual common law
covenants of title, conveying that property to the BUYER in fee
simple, upon receipt of the balance of the purchase price and
execution and delivery of purchase money mortgage, if any.
6. CLOSING COSTS:
SELLER will pay for the drafting of this contract, the
drafting of the deed, documentary stamps to be affixed to the
deed, the cost of recording any purchase money mortgage and
intangible tax on any such mortgage. BUYER will pay the cost of
drafting any purchase money mortgage and note required, the cost
of documentary stamps affixed to the note and the cost of
recording the deed. If this contract calls for assumption of an
existing mortgage, BUYER will pay all costs in connection with
such assumption.
7. PRORATIONS:
The real property tax for the year in which the balance
of the purchase price is paid will be prorated between the
parties. Any tax proration based on an estimate may, at request
of either party, be subsequently re-adjusted upon receipt of tax

forth in the closing documents.
The premium on any hazard
insurance pol icy in force covering any improvement on the pro-
perty will be prorated between the parties, or the policy will be
canceled, as BUYER may elect.
If the property is occupied by a
tenant when the balance of the purchase price is paid, or the
date of delivery of possession, whichever is sooner. Cash due at
closing shall be increased or decreased as may be required by
said prorations.
8. RISK OF LOSS:
The loss or damage of the premi ses by fi re or other
casualty until delivery of the deed is assumed by SELLER.
9. DEFAULT:
Either party failing to comply with the terms of this
contract will pay all expenses, including a reasonable attorney's
fee, incurred by the other party because of that failure.
10. OTHER PROVISIONS:
This contract is not assignable by BUYER.
