the existing drainage ditch known as
Stevenson's Creek dry up, be diverted up-
stream or otherwise cease to flow over
said easement for a continuous period of
6 months, then said easement shall
determine. Should the grantor ever
desire to use said drainage easement or
any portion thereof for parking or other
purposes, it may, at its o~m expense,
install subterranian drainage of a size
and type to be approved by the grantee
but any such use by the grantor shall in
no wise interfere with the construction,
maintenance, building and repairing of
such drainage.
This grant is made to said grantee as a
right of way for said ditch which is not
to exceed 20 feet in width across said
premises and only so much of said width
is to be used in the construction of said
ditch as shall be absolutely necessary for
said ditch purposes.
And the said party of the first part as against itself
and claimants under it, does hereby fully warrant the title to
said land and will defend the same against the lawful claims of
all such persons whomsoever.

root width or Barry Road from and coterminous with the western
border or the existing pavement of Barry Road in the 1st Addition
to Gates Knoll SUbdivision, to the intersection of the said Barry
Road with Highland Avenue, which paving shall include all necessary
costs and expenses for engineering, and installation or drainage,
paving, curbs (and sanitary sewer and water main ir subsequent development
plans for the area south of said portion or Barry Road so require).
Allor said construction work shall be performed and completed in
accordarnewith the minimum specifications and standards ror said work
prescribed by the City of Clearwater Engineering Department.
5. As between the Purchaser and Seller, ~ny and all
costs incurred pursuant to compliance with paragraph (4) hereof
shall be borne equally by the Purchaser and Seller, except that
the cost or the installation of a sanitary sewer and/or water
main shall be borne in full by the Seller; and the costs of drainage
shall be borne equally except to the extent that engineering reports
nay indicate that drainage facilities in excess of those normally
?equired for a road of this nature on level ground are required to
~ffect the drainage of the upland area to the South of Barry Road
lnd any such cost attributable to such excess drainage requirements
hall be borne in full by the Seller.
6. To guarantee the performance of the obligations or
aragraph (4) hereor the Purchaser and Seller shall, within thirty
30) days hereafter, each post with the City a $3,000.00 cash
~rformance bond (total $6,000.00) which shall be refunded when
loh work is fully and timely completed in accordance with all of
le terms and provisions of this agreement._

reasonably required to pay for the completion of said construction

7. In connection with the operation of the internal
dispensing pharmacy within the proposed medical office bUilding,
there shall be no exterior point of purchase signs or other
external evidence of the existence of such pharmacy within said
building.
8. In the event that said proposed zoning variance shall
not be approved and granted, or if this Agreement shall not be
approved and executed by each and all of the parties hereto, or if
the proposed sale of said tract from the Seller to the Purchaser
shall not be consummated, for any reason, within sixty (60) days
hereafter, then this agreement shall be null, void and of no effect
and any and all considerations passing hereunder shall be refunded.
9. The obligations and benefits under this contract shall
extend to and be binding upon the SUccessors and assizns of the
parties hereto.
IN WITNESS WHEREOF the parties hereto have caused these

ADDENDUM
WIT N E SSE T H:
This Addendum to that certain Agreement among Clearwater
Medical Arts, Inc., a Florida Corporation, Standard Development
Company, a Florida Corporation, and the City of Clearwater, a
Florida Municipal Corporation, dated September 8, 1960.
1. Paragraph 4 of said Agreement, dated September 8,
1960, is hereby modified by the City upon the request of the
other parties to said Agreement to extend the completion date
for the paving of Barry Road from September 8, 1961, to January 1 ,
1962.
IN WITNESS WHEREOF, the City has caused these presents

Dear Mr. Stewart:
He: Clearwater Medical Arts, Inc.
Confirming our telephone coversation just concluded,
Clearwater Medical Arts, Inc., a Florida Corporation, Standard
Development Company, a Florida Corporation, and the City of Clear-
water entered into an Agreement, dated September 8, 1960, which
has now been fully executed except as to the requirements for the
paving of Barry Road east fram South Highland Avenue to the first
addition to Gates Knoll Subdivision, which was to be completed in
accordance with Paragraph 4 of said Agreement by September 8, 1961.
A $6,000.00 cash performance bond has been posted with the City to
guarantee performanoe of this unexeouted portion of said Agreement.
For various reasons, as outlined in our conversation,
actual construction of this Medical Arts Building has been delayed
though we are still hopefUl of completing the projeot by January 1,
1962, when Many of the stockholders' ourrent leases will be expiring.
It will be financially to our advantage to delay paving on this road
until the final stages of construction in order to prevent damage to
the road incurred by oonstruotion equipment and to permit oontracting
for the paving of the road, driveway. and parking area under one
oontraot. I am aocordingly, in behalf of Clearwater Medioal Arts,
Inc. and Standard Development Company, requesting an extension of
four months until January 8" 1962, for the completion date of the
paving of Barry Road, and I enolose an Addendum to said Agreement,
in triplicate, confirming this with the request that if the City
Commission approves the same, you return two executed copies to
me.
Thank you for your oooperation and assistance in this
matter.
