AMENDMENT TO RESTRICTIONS

WHEREAS, certain Restrictions were executed and recorded on
October 18, 1972, in Official Record Book 3902, Page 964, of the Public
Records of Pinellas County, Florida, with regard to real property in Section
19, Township 29 South, Range 16 East, Pinellas County, Florida, as therein
recited; and
WHEREAS, said Restrictions were subsequently amended by the City
Commission effective October 12, 1976, and recorded in Official Record Book
4466, Page 710, of the Public Records of Pinellas County, Florida; and
WHEREAS, said Restrictions cannot be amended, changed or modified
without the prior written consent of the City Commission of the City of
Clearwater; and
WHEREAS, the present owner of a portion of said property so restricted,
as hereinafter described, has requested the City of Clear water to consent to
an amendment of said Restrictions applicable to the following described portion
of said property:

From the NE corner of the SE 1/4 of Section 19, Township
29 South, Range 16 East, run N 89 "28157" W along the North
boundary of the NE 1/4 of the SE 1/4 of said Section 19, a
distance of 100 feet to the West right-of-way line of U. S.
Highway 19 and the P. O. B.; thence run N 89 "28157" W along
said North boundary, a distance of 1009.47 feet to a point;
thence run S 01"'07'361' W, a distance of 240.0 feet to a point;
thence run S 89 "28'57" E, a distance of 1009.47 feet to a point;
thence run N 1"26'51" E along the Western right-of-way line of
U. S. Highway 19 a distance of 240.0 feet to the P. O. B.;

NOW, THEREFORE, the City of Clearwater, by its hereinafter
designated officials, does hereby consent to the amendment of said Restrictions
so as to change restrictive covenant No. 2 to read as follows:
"2. The North 6 acres (t..) of said real property which is
more specifically described by the attached Exhibit IIAII,
shall be limited to usage as a site for an appropriate commercial
use, with any structure limited to two stories in height and with
site and sign plans for any such proposed commercial use to
be submitted to and reviewed by the Planning and Zoning Board
and approved by the City Commission. "

The parties hereby ratify and reaffirm all of the remaining restrictive
covenants and provisions as contained in said original Restrictions recorded
in O. R. Book 3902, Page 964, of the Public Records of Pinellas County,
Florida, as amended and recorded in O. R. Book 4466, Page 710, of the
Public Records of Pinellas County, and further agree that said restrictions
and covenants shall be perpetual and shall apply to and be forever binding
upon the owners, their grantees, heirs, executors, administrators, successors
and assigns and all parties claiming through them, and that said restrictions
and covenants shall not be further amended, changed or modified without
the written consent and approval of the City Commission of the City of
Clearwater, Florida, a municipal corporation.
