INDEMNIFICATION AGREEMENT
FOR AND ~N CONSIDERATION of the acceptance by the

City of Clearwater of an easement over certain real estate, a
copy of said easement p~~ng attached h~reto and by reference
made a part hereof~ and the acceptance by the City of Clearwater
of a Bill of Sale conveying to the City of Clearwater portions
of a certain sanitary sewer collection system, a copy of said
Bill of Sale being attached hereto and by reference made a part
hereof, the Undersigned~ METZ & WHITE, INC., a Florida corpora-
tion~ EMIL METZ, joined by his wife, HELYN J. METZ~ and RICHARD
E. METZ, joined by his wife, BEVERLY A. METZ, do individually,
jointly and severally, acknowledge that there is in existence
at the present time an obligation due the American National
Bank, Clearwater, Florida, encumbering in part the personal
property conveyed in the attached Bill of Sale and the easement
conveyed by the attached Easement~ that said mortgage was dated
March 20, 1967, payable to the Third City National Bank at
Clearwater, in the original principal amount of $15,000.00,
recorded in o. R. 2571, page 112, public records of Pinellas
County, Florida; that there is at the present time a remaining
unpaid balance on said note and mortgage.
THE UNDERSIGNED do, individually, jointly and severall ,
agree to pay said obligation as it falls due and without default,
and do indemnify the City of Clearwater against any loss whatso-
ever which may be sustained by the said City of Clearwater by
virtue of its having accepted the aforesaid easement and Bill
of Sale, which said loss shall have been occasioned by the

the Third City National Bank at Clearwater, now known as the
American National Bank, Clearwater, Florida.

KNOW ALL MEN BY THESE PRESENTS: That METZ & WHITE,
INC., a Florida corporation, and EMIL METZ, individually, of the
County of Pinellas, State of Florida, parties of the first part, for
and in consideration of the sum of One Dollar to them paid by the
CITY OF CLEARWATER, FLORIDA, a municipal corporation, party of the
second part, the receipt whereof is hereby acknowledged, has granted,
bargained, sold, transferred and delivered, and by these presents
does grant, bargain, sell, transfer and deliver unto the said party
of the second part, its successors and assigns, the following goods
and chattels:
The entire sanitary sewer collection system as
shown on plans prepared by C. A. Peterson, Inc.,
Professional Engineering Consultants, for Mr. Emil
Metz and approved by the Florida State Board of
Health under Serial #rw-922; provided that this
conveyance shall not include the sanitary sewer
disposal plant and lift station which forms a
part of said system.
Said sanitary sewer system was built, constructed
and installed in the real property situated and
adjacent to the Northeast corner of the inter-
section of Nursery Road and Belcher Road in
Pinellas County, Florida.
TO HAVE AND TO HOLD the same unto the said party of the
second part, its successors and assigns forever.
And the said parties of the first part for themselves
and their heirs and successors covenant to and with the said party
of the second part, its successors and assigns, that said parties
of the first part are the lawful owners of the said goods and
chattels; that they are free from all encumbrances; that they have
good right to sell the same as aforesaid and that they will warrant
and defendant the sale of the said property, goods and chattels
hereby made, unto the said party of the second part, its successors
and assigns, against the lawful claims and demands of all persons

whomsoever; provided that there is at the present time a mortgage
against said property in favor of the American National Bank,
Sunset Point Road, Clearwater, Florida, formerly known as the
Third City National Bank at Clearwater, which said mortgage is
specifically retained as an obligation of the Grantor herein,
which said obligation Grantor specifically agrees to pay.
IN WITNESS WHEREOF, the said parties of the first part
have caused these presents to be executed this 15~day of
November, A. D. 1968.

pressed as the act and deed of said corporation and individually.
