and State of Florida, Party of the First Part, and CITY OF CLEARWATER, a municipal
corporation, organized and existing under the laws of the State of Florida, with its
principal office and place of business in the County of Pinellas and State of
Florida, Party of the Second Part:
WITNESSETH, that the said Party of the First Part, for and in considera-
tion of the sum of ONE DOLLAR ($1.00) AND OTHER VALUABLE CONSIDERATION to it in
hand paid, the receipt whereof is hereby acknowledged, has granted, bargained, sold

Dear Mr. Seher:
This is to confirm our understanding of Friday, March 6; also
this letter will serve as a firm commitment that Florida Power Corpora-
tion will convey to the City of Clearwater the lands described in the
deed which you prepared.
This commitment is made with the full arid complete understanding
that as consideration for the lands the City will hold the Company harm-
less from any special assessments levied against the property arising
from the construction of Druid Road. Also, as a further consideration,
the Company will be held harmless from any special assessments affecting
our access road to the Bay View Substation site which is described as
the East 100 feet of the NE~ of NE~ of SW~ of SE~ of Section 18, Town-
ship 29 South, Range 16 East, less right-of-way for Druid Road. It is
also our understanding that should any damages result to our access
road by reason of the construction of Druid Road, the City will reimburse
the Company for any expenses that it might incur in the restoration of
said access road.
As indicated to you in our conversation, the lands to be con-
veyed to the City are subject to the Company's Indenture of Mortgage
and the supplements thereto. Therefore, before this transaction can be
finalized, it will be necessary that we obtain approval from our Board
of Directors, and it would appear that the deed to this property can be
forwarded to you shortly after April 1, 1970.
Please be assured that we are happy to cooperate with the City
in this matter.

Dear Mr. Seher:
In accordance with our letter of March 9, 1970, we attach
deed whereby the Company conveys to the City of Clearwater a portion
of the right-of-way requirements for Druid Road in Section 18, Town-
ship 29 South, Range 16 East.
We also attach in duplicate letter agreement which provides
that the Company will be held harmless from any special assessments
that might otherwise be levied against lands abutting Druid Road and
owned by the Company as of April 8, 1970. It will be appreciated if
you will arrange to have this letter agreement executed by the City
officials.
This letter will serve as a firm commitment that the Company
will upon receipt of the letter agreement initiate the appropriate
procedures to have these lands released from the Indenture of Mortgage
and the supplements thereto. Upon receipt of the release, we will
have same placed upon the public records of Pinellas County advising
you as to the recording information. This usually requires 90 days
to complete.
Please be assured that we are happy to cooperate with the
City in this matter.
