Harrison Avenue between Haven Street and Drew Street, and along Cleveland Street and Gulf-to-Day Boulevard from the beginning of the causeway across Clearwater Harbor, east past Greenwood Avenue to a point on Cleveland Street and Gulf-to-Bay Boulevard which is due north or due south from the new Central Office location of the Company depending upon whether the new Central Office location id north or south of Cleveland Street and Gulf--to-Bay Boulevard, and along such other streets, avenues, alleys and public places as the City Commission may hereafter, in conformity to the reasonable requirements of public safety, necessity or convenience, designate. Upon all other streets, avenues, alleys and public places of the City of Clearwater, the Company shall have the right and privilege of constructing, operating and maintaining its system upon pole lines with open wire; provided, however, that this grant is made subject to the right of the City to at all times control the distribution of space in, over, upon, under and across the streets, avenues, alleys and other public places of said City; to make such reasonable: regulations affecting and governing the use of said streets, alleys, avenues, and other public places by said Company for its property and appliances as may in the opinion of the City and its governing body be required for the reasonable protection of the public health, safety and accommodation of the community, and when the public necessity so requires, to demand the removal, re- construction or relocation cf such property and facilities. Failure to disapprove such application in writing within the time limited shall constitute approval thereof. In the event that it be found that any facilities of the Company have been installed in violation of the texms of this section, the Company shall rel- move the same at its.sole cost, charge and expense. Section . Tile Company, its successors and assigns, shall at all times during the life of this franchise grant to the City free of expense to said City the following facilities: (a) Such telephone circuits throughout its underground cable system, not to exceed six (6) telephone circuits, together with such ducts through any of ita underground conduits, as either said circuits or said ducts may be re- quired for use in the operation of a telephone police and fire alaam system. (b) So much of the space on the top cross-'am of each of its doles within the corporate limits of said City as may reasonably be required by said City for use in the operation of a telephone police and fire alann system and for circuits or wires for the coordination of traffic lights and signals as now or hereafter located and established by the City. (c) Eight (6) police call box telephones arranged on two circuits to be installed in weatherproof boxes or other suitable equipinent furnished by said City in which the telephone instruments may be safely and securely housed, to- gether with all related equipment. Said telephones shall, be connected to police headquarters but need not be connected with the Company's exchange. feci.lities. Six trunks shall be provided to service said switchboard. The Company will. make a survey each five years (dating from the effective date of this franchise) for the purpose of detezn'lining the reasonable requirements of the City for telephone service for its public offices located in its City Hall. In the event such survey shows that a larger capacity switchboard is required to render such service the Company will furnish the same with all related equipment as above described, including additional trunks if required, during the suc- ceeding five year period. (f) One straight line telephone located in each of the City's fire stations presently existing (of which there are .five) or hereafter established., which shall he connected with the Companyrs exchange facilities, and if the City requests, shall be direct 3,y connected one with the other. (g) Ten (10) straight line telephones with one on-premise extension for each. (h) An allowance upon an annual basis of one additional straight line business telephone for each 1,000 additional telephones installed and in service and operated by the Company idthin the corporate limits of said City at December 31, of the year preceding the year for which the allowance is made over and above a.,000 telephones installed and in service and operated. The computation of the number of telephones for the purpose of determining the City's right to said addi- tional telephones shall be made by the Company from its records and reported to the City during the month of January of each year and the Company shall, upon request, submit its records and files to such examination by representatives of the City designated by the City Commission or other governing body of said City as may be reasonably/required to determine the accuracy of the computation made by the _ f Company. ' (i) Any additional telephones or facilities to those above listed which the City may desire for the transaction of its pubUa business shall be furnished at the following rates: .. (1) For each additional straight line or party line telephone and the extensions connected therewith the _ rate and charge established for straight or party line residence telephones and extensions thereto in " t. i the area where located. (2) For trunk lines connected with private branch exchange switchboards one and one-half times the straight line residence rate applicable to the territory where situated. All facilities furnished pursuant to this grant shall be used by the City for proper municipal purposes only and each of said telephones the use of which is granted to the City shall be installed in a proper public office maintained by ?f • the City for the transaction of its public business. Such telephones shall be used for exchange or local service only, and in the event the same are used by any person whomsoever for the purpose of making toll or long distance calls, the charges for such toll or long distance calls shall be paid by the City. Section 14. In the event said City shall, hereafter acquire such property by purchase, condemnation or any other method, this grant i and franchise shall ipso facto terminate as of the date of the conclusion of ouch transaction. The City in no way Surrenders any general powers it may now have or may hereafter have or acquire over the use of the streets, avenues, alloys and public places within its limits by the Company, or jurisdiction and control over such matters and things. Section 11. That the said City shall have the right, and the said Company as a condition precedent to the taking effect of this grant, does give and grant to said City the right, at and afLer the expiration of the term of this franchise, to purchase the telephone system or other property used by said Company within the 3-bUts of said City, under or in connection with this franchise or right, or such part of such property as said City may desire to purchase, at a valuation of the property, real and personal, desired, which shall be fixed by arbitration as may be provided by law, if the said Company and the City Commission of said City shall be unable to arrive at a valuation agreeable to both parties, Section 12. In the event that any action shall be instituted or prose- cuted directly or'i>ndirectly by said Peninsular Telephone Company, or by any of its stockholders or creditors, to scat aside, or have declared void any of the terms of this grant, or in the event the Company violates or defaults in the performance of any of the provisions of this Ordinance, the City Commission or other governing body of said City may forthwith declare a forfeiture, annulment and termination of this grant and franchise, and may institute such action at law, suit in equity E +. or other uppropriato legal proceedinr, as may be necessary to enforce such for-- feiture, annulment and termination.
