WHEREAS, the City has been unable to obtain liability insurance in at least one area of potential tort claims; and WHEREAS, the cost of providing liability insurance has risen steadily; and WHEREAS, the City Commission wishes to clarify and provide for the defense and indemnification of all City employees; and WHEREAS, the concept of both defense and indemnification with respect to certain public officials has already been addressed in Section 111. 06, Florida Statutes; Section 111.065, Florida Statutes and Section 111. 08, Florida Statutes; and WHEREAS, it is appropriate for the municipality to provide similar protection for the persons defined as employees in this ordinance to encourage continued participation in municipal government and to protect those defined employees when they act on behalf of the City and within the scope of their authority or position, and the harm addressed in any law suit is not intentional in character; and WHEREAS, pursuant to Article VIII, Section 2 (b) of the Florida Constitution, as implemented by Chapter 166 of the Florida Statutes, the City possesses the power to provide for such defense and indemnification; and WHEREAS, the State Legislature has not passed any law prohibiting such legislation or preempting the area; NOW, THEREFORE, BE IT ORDAINED BY THE CITY COMMISSION OF THE CITY OF CLEARWATER, FLORIDA: Ord. #192N "1- 5/3/79 d, W. ¦o N. 0kr Section 1. That Chapter 2, Administration, of the Code of Ordinances of the City of Clearwater, Florida, 1962, is hereby amended by enacting a new Article V, Indemnification of City Employees, to read as follows; ARTICLE V - INDEMNIFICATION OF CITY EMPLQYEES Section 2-88. Definition. Employee. Unless the context otherewise requires, the term "employees" shall mean any person -holding or that did hold a position by election, appointment or employment in the service of the City, whether or not compensated, or a volunteer expressly authorized to participate in a City sponsored program or on a City sponsored board, but shall not include an independent contractor. The term "employee" shall include a former employee or his estate or judicially appointed personal representative. Section 2-89. Defense and indemnification of City employees. 1. (a) The City shall save harmless and protect and defend all employees in any civil action or proceeding in any State or Federal court arising out of any alleged act or omission which occurred or is alleged in the complaint to have occurred while the employee was acting within the scope of his public employment or duties, or which is brought to enforce a provision of Section Nineteen Hundred Eighty-one, Nineteen Hundred Eighty-three or Nineteen Hundred Eighty-five of Title Forty-Two of the United States Code. Nothing in the above paragraph shall authorize the City to indemnify or save harmless any employee with respect to punitive or exemplary damages, fines or penalties. (b) In amplification of subparagraph (a), all such employees shall be entitled to be represented by the Office of the City Attorney, provided, however, any such employee may be represented by private counsel where the City Commission determines that representation by the City Attorney would be inappropriate or that a conflict of interest exists requiring private counsel. Reasonable attorney fees and litigation expenses shall be paid by the City to such private counsel from time to time during the pendency of the civil action or proceeding, (c) Except as otherwise provided in subparagraph (a), the City shall indemnify and save harmless its employees in the amount of any judgment obtained against such employees in any State or Federal court, or in the amount of any settlement of a claim provided that the act or omission from which such judgment or settlement arose, occurred while the employee was acting within the scope of his public employment or duties. `Ord. ,#1924: -2- 5/3/79 .1'' ? .l?l •Y• i? .t I i ' ;, r, ? .?.• , a:"?'"'s? ,"??'?'"`?%';? ?.,.r? ? ° ??t?± ?' rte,. •?' ,;?`''? ?_ '' % r , • • ? ? ?}Lf ?It rr t j .1 R 1?F Y S ' ' The duty to defend or indemnify and save harmless as prescribed ;` f??'_ by this section shall be conditioned upon (1) delivery to the City ; , y`:Y<;ryes } Attorney or Assistant City Attorney by the employee of the original or a copy of any summons, complaint, process, notice, demand or pleading within five (5) days after the employee is served with same, and (2) the full cooperation of the employee in the defense of such action or proceeding and in defense of any action or <i proceeding against the City based upon the same act or omission, . ,'<< Y Y,`. ;''•.r' and in the prosecution of any appeal. 3. As used herein, an action shall be y'; construed to be pending where the action has not been tried, or if tried, the judgment has not become final by reason of the completion of any appellate proceedings. Section 2. Should any section, paragraph, sentence, phrase, clause or other part'or provision of this ordinance be declared by any court to be invalid, the same shall not affect the validity of the ordinance as a whole, or any part thereof, other than the part declared to be invalid. Section 3, All ordinances or parts of ordinances in conflict herewith or inconsistent with the provisions of this ordinance are hereby repealed to the extent of their conflict. Section 4. Notice of the proposed enactment of this ordinance has been properly advertised in a newspaper of general circulation in accordance with Section 166.041, Florida Statutes. Section 5. The provisions of this ordinance shall take effect immediately upon its passage.
