"
WHEREAS, the undertaking of D traffic operations project, hereinafter
refeued to asthe IIProjectU, is necessary for the safe and efficient highway
transportation at the location or locations identified in Exibit "A"; and
. WHEREAS, the Public Body by resolution attached hereto and made a part
hereof, has determined that it is in the public interest for the Public Body
to participate in the cost of said Project to the extent specified 1n the
Department's policy.
NOW, THEREFORE, THIS INDENTURE WITTNESSETH: That in consideration of
the premises and the mutual covenants contained herein to be undertaken by
the respective parties hereto. the parties and each of them mutually agree
and covenant as follows:

The Department shall be responsible fo~ securing necessary
equipment and materials as per Exhibit "Au.
2. The City shall be responsible for the installation of the
equipment' and supervision of the installation. The City may at its
own discretion install the equipment nod materials with its own forces.
or contract with a contractor approved by the Department for the 1n-
,stallation of materials and equipment.

3. The type and mako of equipment or moteriols purchased or installed
will be at tho Dllpartmant ',s diocretion but the DaPll:rtment will provide
equipment and motcriala that are compatible with any other equipment with
which oald equlpment must opernta 8S a system and will insofar 00 practical,
honor requests by the Public Body zelntive to specific types or makes of
equipment or materials.
4. The Department and 'Clty will schedule the Froject for com-
plction at the earliest practical date.
s. The Public Body hereby agrees to indemnify, defend, save and
hold h~ 'mIcas,. the Departme.nt from all claims, demands, liablli ties and suits
of any nature whatsoever arising. out of, because of~ or due to the braach
of this agreement by the Public Body, its agents or employees or due to any
aet, or oecurTence. or omission of commission of the Public Dody~ its agents
or employees. It is spee1.fleally undeutood and agl:ced that this indemnifl-
cation agreement does not cover or indemnify the Department for its own
negligence or breach of contract.
6. It is mutually agreed that the Departments' Dirnctor of
Maintenance shall decide all questions, difficulties and disputes of any nature
whatsoever that may arise under~ or by reason of this agreement~ the
prosecution and fulfillment of the service hereunder and the character.
quality, amount and value thereof. and his decision upon all claims, questions
and disputes shall be final and conclusive upon the parties hOTeto.
