Undorwrlter at the puroha9o price and upon the terms and conditions set forth In the
Controot of Purchll80. Tho Issuer ncknowledlfcs receipt of the information required by
Soctlon 219.385, Florldu Statutos, in conncctlon with negotiated sale of bonds. A copy of
tho Underwriter's letter containing tho required Information is attached to the Contract
of Purchase 08 Exhibit nAil.
SBCTlON 2. DESCRIPTION OF BONDS. The Bonds shall be Issued in
coupon torm, sholl be doted January 1, 1983, Sholl be in the denomination of $5,000 each
and numbered consocmtlvely Crom one upward, shall mature on January 1 in the years and
amounts set forth on Schodule 1 to the Contract of Purchase and sholl bear Interest,
payable on July 1, 1983 and semiannually thereafter on January 1 and July 1 of each year
at tile fates of interest Bol forth on Schedule 1 to the Contract of Purchase.
SBCTION 3. REDEMPTION PROVISIONS. The Bonds shall be subject to
optional and mandatory redemption prior to maturity upon the terms and in the manner
provided in the Omcla! Statement described in Section 4 hereof (the HOtficial State~
ment").
SECTION 4. APPROVAL OF OFFICIAL STATEMENT FOR BONDS. The use
of the Cinal Omclal Statement reIntlng to the Bonds, in the form attached to the
Contract ot Purchase as Schedule 2, and made a part hereof, with such revisions as are
consistent with the Contract of Purchase and as shall hereafter be approved by the
Mayor-Commissioner and City Manager of the Issuer, such approval to be evidenced by
their execution thereof, is hereby authorized and approved in connecUon with marketing
of the Bonds, and tho proper omcers of the Issuer are hereby authorized to execute the
final Omclal Statement and to deliver same to the Underwriter.
SBCl'JON 5. EXECUTION OF CONTRACT OF PURCHASE AND AUTHORl-
ZATION OF ALL OTHER NECESSARY ACTION. The proper officers of the Issuer are
hereby authorized and directed to execute and deliver the Contract of Purchase and to
execute the Bonds when prepared Llnd deliver the same to the Underwriter upon payment
of the purchase price pursuant to the conditions stated in the Contract of Purchase. The
Mayor-Commissioner, Clty Clerk, City Mann~er, and City Attorney for the Issuer are
each designated agents of the Issuer In connection with the issuance and delivery of the
Bonds, and LIre authorized LInd empowered, collectively or individually, to take all action
