A RESOLUTION RATIFYING "THE AMENDMENT TO THE
CHARTER OF THE TAMPA BAY AREA RAPID TRANSIT
AUTHORITY AND DESIGNATING THE CITY'S REPRESENTATIVE
TO THE BOARD OF DIRECTORS.
WHEREAS, the Board of Directors of the Tampa Bay Area Rapid
Transit Authority has approved an amendment to the Authority's Charter;
and
WHEREAS, such an amendment requires ratification by resolution
of each member government after approval by the Board of Directors; and
WHEREAS, the City of Clearwater desires to approve the amendment
and designate its representative to the Board of Directors;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY
COMMISSION OF THE CITY OF CLEARWATER, FLORIDA,
IN SESSION DULY AND REGULARLY ASSEMBLED, AS
FOLLOWS:
1. That the City of Clearwater, Florida, hereby ratifies the
amendment to the Charter of the Tampa Bay Area Rapid Transit Authority
according to the copy attached hereto and by reference incorporated herein,
which amendment has been adopted by the Board of Directors of the Tampa Bay
Area Rapid Transit Authority and which will be filed with the Secretary of States
of the State of Florida upon ratification by member governments.
Z. In accordance with the provisions of the aforesaid amendment,
Commissioner Karleen DeBlaker is designated as a representative to the Board
of Directors of the Tampa Bay Area Rapid Transit Authority for a term as
specified in the Charter and that a second representative may be named by
the City Commission at a later date.
3. That two certified copies of this Resolution shall be forwarded
forthwith to the Tampa Bay Area Rapid Transit Authority.

CHARTER
TA,NPA BAY AREA RAPID TRANSIT AUTHORITY
Section 4 - Nuzber of Representatives Per-Member:
(a-1) Each member shall be eligible for representation on
the Board of Directors of the Authority and-shall have the option
of appointing not less than one, and not more than two, representa-
tive(s) to exercise the powers and rights appurtenant thereto.
(a-2) Each member of the Board of Directors, except those
appointed by the Governor of the State of Florida as provided'for
in paragraph (c) hereof, shall have a weighted vote on actions by
the Board of Directors. The vote of each member government shall be
the same.proportion of the total vote as the member government's
population is to the total population of the region. Population of
each member shall be such as is determined annually pursuant to Law
by the Department of Administration of the State of Florida.
(a-3) The weighted vote of those members having more than one
representative on the Board of Directors shall be equally apportioned
among those representatives of the members present and voting.
(b) In determining county population, the population of each
participating municipality within the county shall be subtracted from
that county's population to arrive at the number of representatives
calculated pursuant' to paragraph (a) hereof.

(c) The Governor of the State of Florida shall have-the
right to exercise two full votes by and through the appoi,ntment,of
two representatives to the Board of Directors.of the Authority,-.which
votes shall be equally apportioned between the 'representatives of,the
Governor present and voting.

Article IV - Meetings_
The regular meetings of the Authority shall be held on the second Wed-
nesday of each month, at such hour as may be specified by the Chairman,
and shall be in the offices of the Authority or at such place as the
Chairman shall designate.
Except where inconsistent with the provisions of the.Charter or these
By-Laws, Robert's Rules of Order, Newly Revised, shall be the Parlia-
mentary Authority of all meetings of the Board. The Authority Legal
Counsel shall act as Parliamentarian.
Special meetings and public hearings may be called by the Chairman,
provided ample notice be given to all members, and to the public and.
the co,-nmunication and news media, as provided in Article VII'of the
Charter.
A quorum shall be required for the conduct of any business.. A quorum
shall be considered to exist when a majority of the entities eligible
to appoint Directors to the Board of the Authority are represented by '
at least one of those Directors so appointed. The entities eligible
to appoint representatives are member governments and the Governor of
the State of Florida.
