WHEREAS, tisc City of Clearwater previously appxaved a new
franchise with Florida Power Corporation and included therein wag the sale
of certain street lighting facilities to the said Florida Power Corporation by
the City; and
WHEREAS, Florida Power Corporation hoe now grepared a B ill of
Sale to cover this transaction and is willing and able to transmit its check for
the purchase of said street lighting facilities; and
