THIS AGREEMENT made this dar o~ 1991, by
and between city of Clearwater. a F orlda Munlclpality ("City
of Clearwater"), Barnett Bank of Pinellas County,
("Barnett"), The Times Publishing Company ("Times"), and
Channel 13, WTVT ("WTVT"), a Florida Corporation.
WIT N E SSE T H:
WHEREAS, City of Clearwater through its Parks &
Recreation Department, Barnett, Times, and WTVT are co-
sponsoring events during the Good Life Celebration November
8-17, 1991 to be held on property owned by City of Clearwater
and using facilities and equipment owned by City of
Clearwater and
WHEREAS, Barnett, Times and WTVT are not willing to
undertake sponsorship and participation in the Good Life
Celebration & Games unless City of Clearwater agrees to
indemnify and hold harmless Barnett, Times and WTVT from and
against any claims arising from the use of property,
facilities and equipment of City of Clearwater:
NOW THEREFORE, in consideration of the sponsorshi~ and
participation of Barnett, Times and WTVT in the Good Llfe
Celebration & Games, City of Clearwater agrees that it will
indemnify and hold harmless Barnett, Times and WTVT from and
against any and all liability, claims, demands, loss,
damages, costs and expenses, including attorneys' fees, which
Barnett and/or Time~ and WTVT may incur, suffer or be
required to pay by reason of any injury, including illness,
death or damage to property, sustained or suffered by any
person as the result of a tortious act or omission of the
City of Clearwater or any of its officers, employees, or
agents in connection with the use of property, facilities and
e9uipment of city of Clearwater in connection with the Good
Llfe Celebration & Games, subject to the defenses and
limitations set forth in Section 768'48, florida Statutes. 11
