INDEMNITY AGREEMENT
THIS AGREEMENT made this 19th day of October , 1989, by and between
City of Clearwater I a Florida Municipality, (IIClearwaterll), Barnett Bank of
Pinellas County, (IIBarnettll) and The Times Publishing Company, C1Timesll), a
Florida Corporation.
WIT N E SSE T H:
WHEREAS, Clearwater through its Parks & Recreation Department, Barnett and
Times are co-sponsoring Good Life Celebration events including the Good Life
Games November 9th-19th, 1989, to be held on property owned by Clearwater and
using facilities and equipment owned by Clearwater and
WHEREAS, Barnett and Times are not willing to undertake sponsorship and
participation in the Good Life Celebration unless Clearwater agrees to indemnify
and hold harmless Barnett and Times from and against any claims arising from the
use of property, facilities and equipment of Clearwater as set forth herein:

NOW rHEREFORE, in consideration of the sponsorship and participation of
Barnett and Times in the Good Life Celebration, Clearwater agrees that it will
indemnify and hold harmless Barnett and Times from and against any and all
liability, claims, demands, loss, damages, costs and expenses, including
attorneys' fees, which Barnett and/or Times may incur, suffer or be required to
pay by reason of any injury, including illness, death or damage to property,
sustained or suffered by any person as the result of a tortious act or omission
of Clearwater or any of its officers, employees, or agents in connection with
the use of property, facilities and equipment of Clearwater in connection with
the Good Life Celebration events, subject to the defenses and limitations set
forth in Section 768.28, Florida Statutes.
