AMENDEMENT TO AGREEMENT FOR RENNOVATION OF OLD MAAS BROTHERS PROPERTY ~ . AMENDMENT TO AGREEMENT This Amendment entered into this /~ay of ~~, 1996, between CITY OF CLEARWATER and BILTMORE CONSTRUCTION 0,; WHEREAS, CITY OF CLEARWATER has entered into an Agreement with BILTMORE CONSTRUCTION CO. on April 7, 1994, for the renovation and remodeling of the Old Maas Brothers Property, Clearwater, Florida (hereinafter referred to as "Harborview"); and WHEREAS, CITY OF CLEARWATER and BILTMORE CONSTRUCTION CO. hereby agree to establish a guaranteed maximum price for all construction work and associated expenses for the completion of the project; NOW, THEREFORE, in consideration of the mutual promises agreed to between the parties: 1. A guaranteed maximum price in the amount of Ten Million Two Hundred Twenty- six Thousand Eight Hundred Ninety-seven Dollars ($10,226,897) is hereby agreed to between the parties, 2, The cost summary attached hereto as Exhibit A, allocates the entire guaranteed maximum price among the various portions of the work completed and work contemplated for final completion of the Harborview project. The cost summary shall not be deemed to constitute a line item guaranteed maximum price, 3. The guaranteed maximum price includes, but is not limited to the cost of all materials, equipment, labor and other fees associated with final completion of the Harborview project as described in the contract between the parties, and all construction change directives as described in Exhibit A and Change Orders as attached. 4, Nothing in this amendment shall affect the certificates of substantial completion or certificates of occupancy previously issued on Phase I of the project or on other portions of the project or revive or extend any warranties for such portion of the project. 5, All other terms and conditions of the contract are herein incorporated by reference and shall be included in the guaranteed maximum price, IN WITNESS WHEREOF, the CITY OF CLEARWATER and BILTMORE CONSTRUCTION CO, have executed this Amendment on the date first above written. 7a,'~ .L: ~ 1 (/ I. i."-- _ ._,./'.. ) ~'7". /,~.
