PROFESSIONAL STREETSCAPE PLANNING AND URBAN DESIGN PROFESSIONAL SERVICES AGREEMENT THIS AGREEMENT is made on I tf{oP., by and between the CITY OF CLEARWATER, FLORIDA, Post Office B 4748, Clearwater, Florida 33758- 4748 (the "City") and the Firm of Bellomo-Herbert and Company, Inc., 100 East Pine Street, Suite 204, Orlando, FL 32801 ("Landscape Architect"). WIT N E SSE T H: WHEREAS, the City wishes to retain Bellomo-Herbert & Company, Inc. to serve as Landscape Architect for Professional Streetscape Planning and Urban Design. NOW, THEREFORE, in consideration of the promises and mutual covenants herein contained, the parties hereto do hereby agree as follows: SECTION 1. AUTHORIZATION TO PROCEED AS LANDSCAPE ARCHITECT. Landscape Architect is hereby authorized to provide services as described in this Agreement and for the professional fees described in this Agreement. SECTION 2. SCOPE OF SERVICES. Landscape Architect hereby agrees to provide its professional services as described in the Scope of Services attached as Exhibit "A." SECTION 3. PROFESSIONAL FEES FOR SERVICES. In exchange for services described herein, the Landscape Architect shall receive a fee of $50,000 described as follows: Part A Streets cape Analysis $ 3,500.00 Part B Prototypical Streeetscape Plans $ 11,200.00 Part C Conceptual Design Plans · Waterfront/Bluff Area · 2 Open Spaces $ 12,100.00 $ 9,800.00 $ 5,800.00 $ 7,600.00 $ 50,000.00 Part D Signage Design Part E Gateway Design TOTAL I. All plans, reports, drawings, photographs, etc. shall be prepared utilizing the following computer software; Microsoft Word, Microsoft Publisher, AutoCAD. Electronic files of the completed documents shall be delivered to the CITY upon completion of the project. Quantities of reports shall be delivered to the CITY per instruction in "Exhibit A." II. Invoices shall be submitted to the CITY from the LANDSCAPE ARCHITECT on a monthly basis and shall be based on a percentage of the work completed for the prior month. III. The City shall retain ten percent of the total contract ($5,000) until all deliverables described above have been received and approved by the City. IV. Reimbursable Expenses - All expenses incurred during the completion of this Task Assignment shall be the responsibility of the LANDSCAPE ARCHITECT. SECTION 4. TERM. The term shall be for such time as City deems necessary for the completion of the services described herein. The City and the Landscape Architect will agree to a schedule, "Exhibit B," defining length of tasks and proposed meeting dates. All work should be completed by April 2003. SECTION 5. COMPENSABLE EXPENSES. All expenses incurred during the completion of these services shall be the responsibility of the Landscape Architect. SECTION 6. INDEMNIFICATION AND INSURANCE. Landscape Architect agrees to protect, defend, indemnify and hold the City and its officers, employees and agents free and harmless from and against any and all losses, penalties, damages, settlements, costs, charges, professional fees or other expenses or liabilities of every kind and character arising out of or due to any negligent act or omission of the Landscape Architect or its employees in connection with or arising directly or indirectly out of this Agreement and/or the performance hereof. Without limiting its liability under this Agreement, Landscape Architect shall procure and maintain during the life of this Agreement professional liability insurance in an amount of $1,000,000. This provision shall survive the termination of this Agreement. SECTION 7. CONFLICT OF INTEREST. It is understood by the City and Landscape Architect that Landscape Architect is not aware of any clients of the firm that currently present any conflict between the interests of the City and other clients of Landscape Architect. If any potential conflict of interest arises during the time Landscape Architect is representing the City, Landscape Architect will promptly inform the City. The City is under no obligation to agree to permit the conflict representation. SECTION 8. ENTIRE AGREEMENT. This agreement and the exhibits to this agreement contain all the representations and the entire agreement between the parties with respect to the subject matter of this agreement. Any prior correspondence, memoranda or agreement are superseded in total by this agreement and the exhibits to this agreement. SECTION 9. CONSTRUCTION AND AMENDMENTS. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Sco\,e of Services 7/24/02 Clearwater Streetscaoe/Signage Planning SCOPE OF SERVICES FOR PROFESSIONAL STREETSCAPE PLANNING AND URBAN DESIGN BETWEEN THE CITY CLEARWATER AND THE FIRM OF BELLOMO-HERBERT AND COMPANY, INC. OF 100 EAST PINE STREET, SUITE 204, ORLANDO, FL 32801 PROJECT: STREETSCAPE, GATEWAY AND SIGNAGE DESIGN FOR DOWNTOWN CLEARWATER, FLORIDA I. PURPOSE The purpose of this Scope of Services is to specify the required services of Bellomo-Herbert & Company, Inc. (the LANDSCAPE ARCHITECT) to provide Landscape Architectural and Graphic/Signage design services to the City of Clearwater, Florida (the CITY) for the Clearwater Downtown Redevelopment Area. II. GENERAL SCOPE OF THE WORK The LANDSCAPE ARCHITECT'S services shall consist of the completion of conceptual design plans for prototypical Downtown Redevelopment Area streets, including streets located within the proposed expanded Redevelopment Area; certain specified public open spaces within the Downtown Redevelopment Area; conceptual Gateway designs; and prototypical sign designs for specified sign types within the Downtown Redevelopment Area. The general project area shall be Clearwater Bay to the west, North Highland Avenue to the east, Drew Street to the north, and Chestnut/Court Streets to the south. The LANDSCAPE ARCHITECT'S services shall include the following specific tasks: A. STREETS CAPE ANALYSIS 1. Data Collection The LANDSCAPE ARCHITECT will review, with the CITY, all of the previously developed plans and information for the project, and will identify additional information necessary to begin the project. Such information may include: a. Aerial photographs b. GIS maps (hard copies and digital format) c. Redevelopment Area street maps (hard copy and digital format) d. Design Guidelines e. Previously completed planning studies f. Urban Design Report to be completed by the Urban Land Institute (UL.I.) 2. UL.1. Design Charrette - The LANDSCAPE ARCHITECT shall attend a Design Charrette to be executed by the Urban Land Institute, scheduled for July 11, 2002. 3. Additionally, the LANDSCAPE ARCHITECT shall review the information provided by the CITY and shall complete site visits in order to understand the current condition of the Page No.1 Bellomo-Herbert & Comoany. As a result of this research, the LANDSCAPE ARCHITECT shall prepare a site analysis that identifies the following: a. Traffic Calming Opportunities b. Prototypical Street Designations (based upon cross section/hierarchy of use) c. Pedestrian Corridors d. Gateway Locations e. Public Facilities f. Public and Private Open Spaces g. Primary Vehicular Corridors h. Proposed Redevelopment Projects/Locations 1. Character Districts J. Key Street Intersections B. PROTOTYPICAL STREETSCAPE PLANS 1. Existing Conditions - For each of the prototypical street types, the LANDSCAPE ARCHITECT shall prepare a plan enlargement of a typical block and a typical cross section indicating existing conditions, i.e. travel lane widths, sidewalk widths, site furniture locations, trees and landscaping, lighting, etc. It is assumed that no less than four and no more than eight prototypical streetscape types will be designed, however the LANDSCAPE ARCHITECT makes no guarantee as to the final number of prototypical streetscape types. 2. Proposed Streetscaoe Plans - Based upon the previously completed site analysis and mapping of existing conditions, the LANDSCAPE ARCHITECT shall complete proposed design plans for each of the Prototypical Street types. Each plan shall consist of an enlargement of a typical one block length of prototypical street, as well as a typical cross section, in order to convey overall design intent. Such plans shall indicate the following proposed features: a. Travel lane width/Traffic Calming opportunities b. Sidewalk width and materials c. Tree locations/Landscaping d. Lighting locations and fixture types e. Site furnishing locations and types f. Signage locations g. Specialty intersection treatments (where appropriate) h. Signalization (where appropriate) 1. On-street parking alternatives 3. Streetscaoe Master Plan - Upon selection of the prototypical street designations described above, the LANDSCAPE ARCHITECT shall prepare an overall Streetscape Master Plan mapping the location of all streets identified within the Downtown Redevelopment Area Page No.2 Bellomo-Herbert & Company. Inc. Scope of Services 7/24/02 Clearwater Streetscape/Signage Planning and proposed expanded Redevelopment Area. This Master Plan shall also identify all Gateway locations as described in II.E (below). 4. Proiect Prioritization - The LANDSCAPE ARCHITECT shall meet with the CITY and shall develop a list of the above referenced streets in chronological order of development priority. C. CONCEPTUAL DESIGN PLANS 1. WaterfrontlBluff Area Redevelopment Plan - The LANDSCAPE ARCHITECT shall prepare a Conceptual Design Plan for the redevelopment of the Waterfront/Bluff Area within the Redevelopment Area. The area is bordered, in general, by Drew Street to the north, Pierce Street to the south, Osceola Avenue to the east, and Clearwater Bay to the west. Such plans will reflect land use issues identified by a study to be prepared by the Urban Land Institute (U.L.I.), which shall be made available to the LANDSCAPE ARCHITECT for the purpose of the design and planning of this area. The plan may indicate such items as the redesign and/or expansion of Coachman Park; development of public open spaces at the location of the new Memorial Causeway Bridge; and the addition of other public uses as may be deemed appropriate by the LANDSCAPE ARCHITECT and the CITY. a. The plans to be completed under this Scope of Services shall include an overall Area Redevelopment Plan, as well as plan enlargement areas, cross sections, and/or perspective sketches in order to convey design intent. 2. Public Open Spaces - The LANDSCAPE ARCHITECT shall prepare Conceptual Design Plans for a maximum of two additional public open spaces within the Redevelopment Area. The selection of these two open spaces shall be at the discretion of the CITY. Such open spaces may include currently vacant property owned by the CITY or property identified by the CITY to be purchased for public use, and may include vest-pocket parks, plazas, or other types of public open spaces. D. SIGNAGE DESIGN 1. The LANDSCAPE ARCHITECT shall prepare conceptual designs of the following sign types to be located within the Redevelopment Area: . Directional Signs . Identification Signs . Signage Location Plan - The LANDSCAPE ARCHITECT shall prepare a Signage Location Plan indicating the proposed locations of the sign types within the Redevelopment Area identified in II.D.l (above). E. GATEWAY DESIGN PLANS 1. Based upon the Gateway locations determined during the Site Analysis Phase of the work, the LANDSCAPE ARCHITECT shall complete Conceptual Gateway Design Plans for each Gateway identified. These designs shall include a plan view of the Gateway area, and elevations, cross sections and/or perspective drawings of the proposed Gateway. Gateway elements may include such features as signage, architectural elements/icons, landscaping and/or lighting. F. COST ESTIMATES 1. The LANDSCAPE ARCHITECT shall prepare Preliminary Estimates of Probable Cost for each of the following elements: a. Prototypical Streetscape Type b. Sign Type c. Gateway d. Waterfront/BluffRedevelopment Area Plan e. Each of the two Public Open Space Plans G. MEETINGS/PRESENTATIONS Page No.4 Inc. a. The LANDSCAPE ARCHITECT shall conduct two project kick-off meetings to be held in Clearwater on the same day. Meeting #1 shall consist of the LANDSCAPE ARCHITECT and the CITY. Meeting #2 shall consist of the LANDSCAPE ARCHITECT, the CITY, any interested public agencies which may include the Chamber of Commerce Central Council, CRA Board and the Downtown Development Board and the general public. The Streetscape Master Plan, the W aterfront!Bluff Area Plan, signage designs and gateway design plans shall be discussed at this meeting. b. Upon completion of the initial Streetscape Master Plan, the Public Open Space Plans, signage designs and the Gateway Plans, the LANDSCAPE ARCHITECT shall present the plans to the CITY staff to receive comment on the design, and shall modify the overall designs based upon comments received by CITY staff. c. Upon completion of these revised plans, the LANDSCAPE ARCHITECT shall present the plans to the general public as well as to the public agencies identified in II.G.a, above. Bel1omo-Herbert & Company. ScoDe of Services Clearwater StreetscaDe/Signage Planning 7/24/02 d. Based upon comments received by the public the LANDSCAPE ARCHITECT shall prepare a Final Streetscape Master Plan, Public Open Spaces Plan, signage designs and Gateway Plans including plan enlargement(s), cross sections and/or perspective sketches. These Final Plans shall be presented to the agencies, public and the Clearwater City Commission for final approval. e. In preparation of the WaterfrontJBluff Area Plans, the LANDSCAPE ARCHITECT shall conduct a series of meetings with the same parties and in the same sequence as described in IT.G.b-d, above. VII. COMPENSATION AND DELIVERABLES 1. The following items shall be considered the project deliverables, and in exchange for the services described herein, the LANDSCAPE ARCHITECT shall receive a lump sum fee of $50,000.00 for those deliverables, further described as follows: Part A Streetscape Analysis $ 3,500.00 Part B Prototypical Streetscape Plans $ 11,200.00 Part C Conceptual Design Plans . Drawings, plans, reports, etc. shall be delivered to the CITY in the following quantities: .
