THIS AGREEMENT, Made and entered into this

party of the first part, hereinafter referred to as the CITY, and ANTHONY S.
BATTAGLIA, Party of the second part, hereinafter referred to as BATTAGLIA;
WITNESSETH:
WHEREAS, BATTAGLIA has agreed to purchas e from Kathryn L.
Barber et aI, the following described property, situate, lying and being in
the County of Pinellas and State of Florida, and more particularly described
as follows, to wit:
Lots 29 and 30 in the Southwest 1/4 of Section 18, Town-
ship 29 South, Range 16 East, according to plat of Pinellas
Groves, as recorded in Plat Book 1, page 55, public
records of Pinellas County, Florida;
and
The Southwest 1/4 of the Southwest 1/4 of Section 18,
Township 29 South, Range 16 East, Pinellas County, Florida;
and
WHEREAS, at the present time, a portion of said property lies
without the boundaries of the CITY;. and
WHEREAS, at the present time, that portion of said property which
lies without the boundaries of the CITY is presently zoned A-2 Agriculture;

and
WHEREAS, at the present time, that portion of said property which
lies within the boundaries of the CITY is presently zoned R-IE;
NOW, THEREFORE, for and in consideration of the sum of One Dollar
and other good and valuable considerations passing by and between the parties,
the receipt and sufficiency whereof is hereby acknowledged, it is hereby
agreed by and between the parties with reference to said properties, as follows:

1. BATTAGLIA agrees to file application for public hearing for a
zone change covering the above described property, a copy of said application
being attached to and made a part hereof by reference marked Exhibit IlA 11.
2. BATTAGLIA agrees to obtain the execution of any and all necessary
papers from the present owners that the CITY may require for purposes of
having that portion of the above described property which lies outside the
municipal corporate limits of the CITY and is presently situated in Pinellas
County annexed into the CITY.
3. The CITY agrees that in consideration of BATTAGLIA agreeing,
through the present owners, to an annexation of said properties, that the
CITY will perform certain services for BA TT AGLIA, and BA TT AGLIA
will perform certain services for the CITY.
4. As the services which the CITY agrees to perform, in the event
the property is rezoned as provided for hereinabove, and annexed to the
CITY, on or before May 1, 1968, the CITY:
{a} Will install, construct and tap in a water line at least six {6} inches
in diameter to East property line of Lot 30, Pinellas Groves, in Southwest
1/4 of Section 18, Township 29 South, Range 16 East, as recorded in Plat
Book 1, page 55, Pinellas County Records. Service to be installed to six
{6} foot eas ement between Lots 112 and 113, The Meadows, First Addition,
as recorded in Plat Book 59, page 65, Pinellas County Records, from the
existing six {6}, inch water line on Chinaberry Road.
BA TT AGLIA agrees to pay for said water pipe.
{b} Will construct, tap, casing, and jacking of casing underneath
Belcher Road for at least a six (6) inch water service to the East right of
way line on Belcher Road in the Southwest 1/4 of Southwest 1/4 of Section 18,
Township 29 South, Range 16 East, Pinellas County, Florida, which is located

six hundred sixty (660) feet North of the Southwest corner of said Section.
BA TT AGLIA agrees to pay for said water pipe.
(c) Will tap and install and construct a water pipe at least six (6)
inches in diameter for water service to 50 feet South of the North line of
the Southwest 1/4 of the Southwest 1/4 of Section 18, Township 29 South,
Range 16 East, Pinellas County, Florida. Said tap and service line to be
located at the Northeast corner of the Southwest 1/4 of Southwest 1/4 of
said Section.
BA TT AGLIA agrees to pay for said water pipe.
(d) Will furnish sanitary sewer service by a gravity line along the
South line of Southwest 1/4 of Southwest 1/4 of Section 18, Township 29
South, Range 16 East, and along the South line of Lots 29 and 30, Pinellas
Groves, in the Southwest 1/4 of Section 18, Township 29 South, Range 16
East, as recorded in Plat Book 1, page 55, Pinellas County Records. Said
line is to be installed from Belcher Road to a point 375 feet East of the
Northwest corner of Lot 25, The Meadows, as recorded in Plat Book 58,
page 81, Pinellas County Records. The invert of the East terminus of said
sanitary sewer line is to be no higher than an elevation of 43. OO~ Said line
shall be sized to adequately serve the proposed apartment development
V" cd' UJ (60 acres, more or less). Sanitary sewer manholes shall be installed at

locations designated by BA TTAGLIA IS Engineer. Said manholes shall not
exceed six (6) in number, which shall include one (1) at Belcher Road.
(e) Will install street lights on the streets which have been dedicated
to the public for ingress and egress, but shall not be responsible for the
installation of street lights on those streets which are dedicated as private
roads.
It is agreed that in the event BA TT AGLIA desires street lighting and
facilities other than those presently provided by the CITY ~ then BA TT AGLIA

agrees that he shall pay to the CITY the difference in the cost of the street
lights and facilities noW being used and installed by the CITY, and the type of
street lighting and facilities so desired by BATTAGLIA.
(f) Will refund to BATTAGLIA the sum of Seventy-five Dollars
($75. 00) for each water meter that is installed by the CITY on the above
described property, provided, however, that BATTAGLIA installs the water
system on the above described property, which water system and layout
shall be first approved by the CITY.
(g) Will pave the full length of the above described property abutting
on Druid Road to a width of twenty-two (22) feet, within six (6) months from
the date of annexation into the CITY of said property, and in consideration for
the CITY constructing this road, BATTAGLIA agrees to deed to the CITY
a fifty (50) foot right of way for the full length of the above described property
on Druid Road extension side and a seventeen {l7) foot right of way on the
Belcher Road side.
5. As to the services which BATTAGLIA agrees to perform, in the
event the property is rezoned as provided for hereinabove, and annexed to the
CITY, on or before May 1, 1968, BATTAGLIA will;
(a) Be responsible for the payment of the water pipe installed and
constructed in the areas as set forth in Paragraph 4, subparagraphs (a),
(b) and (c) hereinabove.
(b) Be responsible for the payment of the difference in the cost of the
street lights and facilities now being used by the CITY, and the type of street
lighting and facilities as desired byBATTAGLIA, in the event BATTAGLIA
desires street lighting and facilities other than those presently provided by
the CITY, as referred to in Paragraph 4, subparagraph (e) hereinabove.

(c) Deed to the CITY a fifty (50) foot right of way for the full length
of the above described property on Druid Road extension side and a seventeen
(17) foot right of way on the Belcher Road side, in consideration of the CITY
paving the full length of the above described property abutting on Druid Road
to a width of twenty-two (22) feet within six (6) months from the date of
annexation into the CITY of said property, as referred to in Paragraph 4,
subparagraph (g) hereinabove.
6. The matters set forth hereinabove which BA TT AGLIA agrees
to do and which the CITY agrees to do, are conditioned upon the above
described property being rezoned as provided for herein and annexed into
the CITY.
7. It is further agreed by the CITY, however, that the rezoning
application shall be placed on the City Commission Agenda prior to those
matters dealing with annexation of the above described property into the CITY.
8. It is further agreed that the CITY, however, will have both the
rezoning application and annexation request for the above described property
on the same agenda and both shall be heard on the same day.
9. It is further agreed by the CITY that in the event the City
Commis sion of the CITY disapproves the rezoning application in whole or in
part, that BA TT AGLIA shall be permitted to withdraw the annexation application
of the above described property.
10. The CITY further agrees to release the annexation documents
with reference to the above described property upon the request of BA TT AGLIA
in the event the rezoning application is denied in whole or in part.
11. It is further agreed by the CITY that the request for the release of
the annexation documents can be made by BA TT AGLIA or his representative
either orally or in writing.

12. The CITY agrees to process the necessary documents through
its various divisions for both the rezoning and annexation with due diligence,
and that in the event the above described property has not been rezoned or
annexed on or before May I, 1968, then BATTAGLIA shall be permitted and
authorized to withdraw all documents from the CITY in connection therewith.
Upon so doing, there will be no further liability to perform the matters set
forth herein by either BATTAGLIA or the CITY.
13. The CITY further agrees to obtain the approval of the full City
Commission in the form of a Resolution authorizing the City Manager and
other proper officials to execute this Agreement.
14. BATTAGLIA and the CITY agree that the various provisions of
this Agreement shall survive and be enforceable against all parties to this
Agreement subsequent to the rezoning and annexation of the above described
property.
15. Time is of the essence.
