Financial Advisor Service Agreement
THIS SECOND ~TENSION TO FINANCIAL ADVISOR SERVICE AGREEMENT
is made this '( day of ~ ' 2002 by and between the City of
Clearwater, P.O. Box 4748, Clearwa er, Florida 33758 ("City"), and Banc of America
Securities LLC, 1640 Gulf to Bay Boulevard, FL2-020-01-04, Clearwater, Florida 33755-6423
("Financial Advisor");
WITNESSETH:
WHEREAS, the City and Financial Advisor have previously entered into a Financial
Advisor Service Agreement dated June 21, 2000, for a one-year period (the "Agreement").
Said Agreement provides for two (2) one year renewals at the City's sole discretion; and
WHEREAS, the City and Financial Advisor have previously entered into a One Year
Extension to Financial Advisor Service Agreement dated April 13, 2001 (the "First
Extension"), which extended the term of the Agreement to June 21, 2002; and
WHEREAS, the City and Financial Advisor wish to extend the term of the
Agreement for the second and final renewal period, which shall extend the term of the
Agreement to June 21,2003; and
NOW THEREFORE, in consideration of the promises and mutual covenants
contained herein and in the Agreement, the parties hereto do hereby agree as follows:
SECTION 1: Financial Advisor is hereby authorized to continue to provide Financial
Advisor services as described in the Agreement and for the professional fees described in the
Agreement.
SECTION 2. The term of the agreement is hereby extended for one year beginning
June 22,2002 and terminating June 21,2003.
SECTION 3. All other terms of the Agreement shall remain in full force and effect.
