AGREEMENT
THIS AGREEMENT made this 30th day of January. 2008, by and between Westfield, LLC, a Delaware limited
liability company ("Licensor") in its capacity as manager for owner of that certain shopping center commonly
known as Westfield Countryside(the "Shopping Center") and the City of Clearwater on behalf of the Clearwater
Police Department("Licensee").
Licensor hereby grants Licensee permission to enter upon the Shopping Center for the sole purpose of conductin!! a
SWAT team drill (after center hours) (the "Permitted Use"),
Licensee agrees to comply in all material respects with all rules, regulations, ordinances, and statues of any
governmental entity or non-governmental entity having jurisdiction over Licensor or Licensee, and to obtain all
necessary permits, licenses, or other approvals that may be required from any entity to conduct the Permitted Use.
Licensee agrees that it will and hereby does indemnify and save harmless Licensor, its employees, parents,
subsidiaries, members, officers, affiliates, predecessors, successors, assigns, and invitees (collectively, "Licensor
Parties"), from and against all claims, demand, cost, loss, damage, expense, attorney's fees and liabilities growing
out of, or arising from, caused, or occasioned by its use of the Shopping Center; except for claims resulting from
the negligence or intentional act of any Licensor Parties. Nothing herein shall be construed to waive or modify the
provisions of Section 768.28, Florida Statutes or the doctrine of sovereign immunity.
Licensee further agrees that its operation will be at its sole risk as against Licensor, and it hereby waives any rights
to seek damages in connection with any injury against any Licensor Parties, or Licensor's tenants, occupants, and
other licensees in connection with its activities or any property damage to the Shopping Center; except for claims
resulting from the negligence or intentional act of any Licensor Parties.
The license shall be fora period commencing on February 27th. 2008 at 6:00pm. local time. and terminating on
February 28th. 2008 at 4:00am. local time, unless sooner terminated by Licensor by reason of Licensee's breach of
the covenants contained herein.
Kindly acknowledge receipt of this license and your acceptance of the terms and conditions herein set forth by
signing and returning this Agreement with the licenses.
