CONSULTING SERVICES FOR NUISANCE AND EXOTIC VEGETATION CONTROL AND MAINTENANCE ON CITY LAKES PONDS AND CHANNELS .~ -::. I I CONTRACT FOR CONSULTING SERVICES cR.. tr: This AGREEMENT made this '.)..f) day of ' , 1999, by and between the City of Clearwater, Florida (City), P. O. Box 4 48, Clearwater Florida 33758, and Armstrong Environmental Services, Inc. (Consultant), a Florida corporation. WHEREAS, City issued Request for Proposals and Quotes No. 55-99 for Nuisance and Exotic Vegetation Control and Maintenance on City Lakes, Ponds and Channels (See Exhibit "A"); and WHEREAS, City selected Consultant to provide nuisance and exotic vegetation control and maintenance services according to Consultant's response to Request for Proposals and Quotes NO.55-99 (See Exhibit "B"); NOW THEREFORE, the City and Consultant do hereby incorporate all terms and conditions in Exhibit "A" and Exhibit "B" and mutually agree as follows: 1. SCOPE OF PROJECT. Consultant agrees to provide nuisance and exotic vegetation control and maintenance services under the terms and conditions described in Exhibit "A". 2. TIME OF PERFORMANCE. Three years from the date of this Contract. 3. REPORTS. Consultant agrees to provide to City reports on the Project as required in Exhibit "A". All reports shall comply with City's recycled and recyclable products code requirements, Clearwater Code Section 2.601. 4. COMPENSATION. The City will pay Consultant a sum not to exceed $86,724.00, inclusive of all reasonable and necessary direct expenses as described in the cost estimate attached as Exhibit "C". The City may, from time to time, require changes in the scope of the project of Consultant to be performed hereunder. Such ... ~:; I I changes, including any increase or decrease in the amount of Consultant's compensation and changes in the terms of this Agreement which are mutually agreed upon by and between City and Consultant shall be effective when incorporated in written amendment to this Agreement. 5. METHOD OF PAYMENT. Consultant shall bill City according to the payment schedule described in Exhibit C. City agrees to pay after approval of the City Project Manager under the terms of the Florida Prompt Payment Act F.S. 218.70. 6. CONTACTS FOR RESPONSIBILITY. Martin S. Armstrong will be designated as Project Director for this project by Consultant to manage and supervise the performance of this Agreement on behalf of Consultant. Associated with the Project Director will be staff members whose experience and qualifications are appropriate for this Project. The City will be represented by Mahshid Arasteh, City Engineer, or his designee for all matters relating to this Agreement. 7. TERMINATION OF CONTRACT. The City at its sole discretion may terminate this contract by giving Consultant ten (10) days written notice of its election to do so and by specifying the effective date of such termination. The Consultant shall be paid for its services through the effective date of such termination. Further, if Consultant shall fail to fulfill any of its obligations hereunder, this contract shall be in default, the City may terminate the contract, and Consultant shall be paid only for work completed. 8. NON-DISCRIMINATION. There shall be no discrimination against any employee who is employed in the work covered by Agreement, or against applicants for such employment, because of race, religion, color, sex, or national origin. This provision shall include, but not be limited to the following: employment, upgrading, demotion, or transfer; recruitment or recruitment advertising; layoff or termination; rate 2 . .. '. I I of payor other forms of compensation; and selection for training, including apprenticeship. 9. INTERESTS OF PARTIES. Consultant covenants that its officers, employees and shareholders have no interest and shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of services required to be performed under this Agreement. 1 o. INDEMNIFICATION AND INSURANCE. Consultant agrees to protect, defend, indemnify and hold the City and its officers, employees and agents free and harmless from and against any and all losses, penalties, damages, settlements, costs, charges, professional fees or other expenses or liabilities of every kind and character arising out of or due to any negligent act or omission of Consultant or its employees in connection with or arising directly or indirectly out of this Agreement and/or the performance hereof. Without limiting its liability under this Agreement, Consultant shall procure and maintain during the life of this Agreement liability insurance coverage as described in Exhibit "A". This provision shall survive the termination of this Agreement. 11. PROPRIETARY MATERIALS. Upon termination of this Agreement, Consultant shall transfer, assign and make available to City or its representatives all property and materials in Consultant's possession belonging to or paid by the City. 12. ATTORNEYS FEES. In the event that either party seeks to enforce this Agreement through attorneys at law, then the parties agree that each party shall bear its own attorney fees and costs, and that jurisdiction for such an action shall be in a court of competent jurisdiction in Pinellas County, Florida. 3 - .' By: #IIIWZT'''/ S~ 4~S~9( h./J. g s:\forms\Consultant Agreement 4 ~ ~ , I EXHIBIT "A" City of Clearwater Florida Public Works Administration/Public Service Request for Proposal & Quotes 55-99 for Nuisance & Exotic Vegetation Control and Maintenance on City Lakes, Ponds & Channels 1.0 Introduction and Purpose This request for proposal is being issued to qualified bidders (company, firm, partnership, individual), for the purpose of controlling nuisance/exotic plant species in lakes, man-made ponds and channel reaches within the City of Clearwater jurisdiction, The City desires to implement an integrated program for the evaluation and treatment of aquatic systems. Lakes, stormwater ponds and associated drainage ways are to be managed from a total habitat perspective to achieve a condition that is acceptable from an aesthetic perspective while continuing to function from a habitat perspective. The City will consider proposals that include a combination of biological, chemical, manual, and mechanical control. The type of control and/or maintenance practices are to be recommended by the contractor. Please state if you have other accounts in Pinellas County and how you would propose to service this contract Project Manager Previous relevant Company experience Personnel qualifications Proof of professional licenses 1 ~ ~ I I 4.0 Information to be Submitted In addition to information requested in 4.0, the Contractor shall submit a proposal outlining the program that they will use to manage and maintain the waterbodies listed in Appendix 1 and located on maps attached as Appendix 2. A cost proposal for each waterbody an annual basis shall be provided in the format provided in Appendix 1. The proposal/bid for this contract should include a total work cost with a 10% contingency; no open contract, and/or hourly wages will be accepted, but can be included for reference. Travel costs are to be included in the cost for each waterbody; no additional reimbursement for mileage will be considered. Provide also an additional fee (Le. cost per acrellineal foot of shoreline) for the maintenance of other areas should it be so requested. 5.0 Delivery RequirementlNumber of Copies Required The delivery of submissions to the City of Clearwater Purchasing Office prior to the specified date and time is solely and strictly the responsibility of the vendor. Proposals received after the above stated date will not be considered, Five (5) copies of submissions of all the information requested in this Request for Proposal and Quotes shall be submitted, clearly marked on the outside "RFP # 55-99 to the attention of the City's Purchasing Manager, George McKibben, City of Clearwater, PO Box 4748, Clearwater, FL 33758-4648 or delivered to 100 S. Myrtle Avenue, Clearwater, FL 33756-5520 prior to 4:00 p.m. on May 14, 1999. 6.0 Inquiries and Addenda Each respondent shall examine all RFP documents and shall judge all matters relating to the adequacy and accuracy of such documents, Any inquiries, suggestions, or requests concerning interpretation, clarification, or additional information pertaining to the RFP shall be made through the city of Clearwater's Purchasing Manager, George McKibben, at P,O. Box 4748, Clearwater, FL 33758-4748; or 100 S. Myrtle Avenue, Clearn Iter FL 33756-5520; or FAX (727) 562-4635. The City shall not be responsible for oral interpretations given by any City employee, representative, or others. The issuance of a written addendum is the only official method whereby interpretation, clarification, or additional information can be given, If any addenda are issued to this RFP, the City will attempt to notify all prospective vendors who have secured same. However, it shall be the responsibility of each vendor, prior to submitting the qualifications package, to contact the City of Clearwater's Purchasing Manager at (727) 562-4630 to determine if addenda were issued and to make such addenda a part of RFP. 7.0 Examination of Documents and Site It is the responsibility of each responder to examine the contract documents thoroughly, visit the site to become familiar with local conditions that may in any manner affect cost, progress, performance or furnishing of the work; consider and abide by all applicable federal, state and local laws, ordinances, rules and regulations Each responder preparing the proposal in response to this 2 ~ " ) I request shall bear all expenses associated with their preparation. The city gives no assurance as to the confidentiality of any portion of any proposal once submitted. 9.4 No Collusion - By offering a submission to the RFP, the responder certifies the responder has not divulged to, discussed or compared his/her competitive proposal with other responder and has not colluded with any other responder or parties to this competitive proposal whatsoever. 9.5 Informality Waiver/Rejection of Bids - The City reserves the right to reject any or all responses and to waive any irregularity, variance or informality whether technical or substantial in nature, in keeping with the best interests of the City. 9.6 Appropriations Clause - The City, as an entity of government, is subject to the appropriation of funds by its performance in accordance with the terms and conditions of this 3 ~ I I remain in effect. Upon notice that sufficient funds are not available in the subsequent fiscal years, the City shall thereafter be released of all terms and other conditions. 10.0 Written Agreement/Contract Any party providing services or products to the City will be expected to enter into a written agreement or contract with the City that incorporates all of the pertinent provisions of this RFP and insurance and insurance requirements contained herein. A failure to do so may, at the sole option of the City, disqualify any bidder or responder or services and/or products. 11.0 Insurance Requirements 11.1 Workers Compensation and Employers Liability - The Contractor shall procure and maintain, for the life of this Agreement, Workers Compensation Insurance covering all employees with limits meeting all applicable State and Federal laws. This coverage shall include Employers Liability with limits meeting all applicable State and Federal laws. 11.2 General Liability - The Contractor shall procure and maintain, for the life of this Agreement, General Liability Insurance. This coverage shall be on an "Occurrence" basis. Coverage shall include Premises and Operations; Independent Contracts; products and Completed Operations and Contractual Liability. Coverage shall be no more restrictive than the latest edition of the Commercial Liability Policies of the Insurance Services Office. 11.2,1 This policy shall provide coverage for death, bodily injury, personal injury or property damage that could arise directly or indirectly from the performance of this Agreement 11.2.2 The minimum limits of coverage shall be $500,000 Per Occurrence Combined Single Limit of Liability and Property Damage Liability. 11.2.3 The City shall be included and identified as an Additional Insured under the policy/certificate of insurance. 11.3 Business Automobile Liability - The Contractor shall procure and maintain, for the life of the Agreement, Business Automobile Liability Insurance. The minimum limits of coverage shall be $500,000 Per Occurrence, Combined Single Limit for Bodily Injury Liability and Property Damage Liability. This coverage shall an "Any Auto" type policy. Coverage shall be no more restrictive than the latest edition of the Business Automobiles Policies of the Insurance Services Office. 11.4 Indemnity - The Contractor shall defend, indemnify, save and hold the City harmless from any and all claims, suits, judgments and liability for death, personal injury or property damage arising directly or indirectly from the performance of this Agreement by its employees, contractors or assigns, including legal fees, court costs, or other legal expenses. 4 ~ I I The Contractor acknowledges that it is solely responsible for complying with the terms of the Agreement 11.5 Supplemental Provision 11.5.1 The insurance coverage's and conditions afforded by this policy shall not be suspended, voided, canceled or modified except after thirty (30) days prior written notice by certified mail return receipt requested has been given to both the City Engineer and the Risk Management Office of the City. 11.5.2 Certificates of Insurance meeting the specific required insurance provisions specified within the Agreement shall be forwarded to both the Public Works Administration and Risk Management Offices of the City and approved prior to the start of any work. After review, the Certificate will be filed with the City Clerk as part of the official contract file. 11.5.3 Receipt and acceptance of the Contractor Certificate oflnsurance, or other similar document, does not constitute acceptance or approval of amounts or types of coverage which may be less than required by this Agreement. 11.5.4 City may at its option require a copy of the Contractor's Insurance Policies. 11.5.5 All insurance policies required with this Agreement shall provide full coverage from the first dollar of exposure unless otherwise stipulated. No deductibles will be accepted without prior approval from the City. 11.6 Safety and Health Requirements 11. 6.1 It is the Contractor's sole duty to provide safe and healthful working conditions to its employees and those of the City on and about the site of Agreement performance. The City assumes no duty for supervision of the Contractor. 11.6.2 The City may order that the work stop if a condition of immediate danger to City employees, equipment or property damage exists. This provision shall not shift responsibility or risk of loss for injuries or damage sustained from the Contractor to the City, and the Contractor shall remain solely responsible for compliance with all safety requirements and for the safety of all persons and property of the site on contractor performance, 11.6.3 The Contractor shall comply with the standards and regulations set forth by the Occupational Safety and Health Administration (OSHA), the Florida Department of Labor and Employment security and all other appropriate Federal, State, and local regulations or City safety and health standards. 5 I I 11.7 Professional Liability, Malpractice, Errors or Omissions - If checked below, the City requires the following terms and types of insurance for professional, malpractice, and errors or omissions liability. The Contractor shall provide proof of Professional Liability (Errors & Omissions) coverage on an occurrence or claims-made form with a retro-activedate inception of contract with City or earlier. The minimum limits of coverage shall be $500,000 per occurrence, with deductible or self-insured retention (S.I.R.) indicated. If a claims made form of coverage is provided, the retroactive date of coverage shall be no later than the inception date of claims made coverage, unless prior policy was extended indefinitely to cover prior acts. Coverage shall be extended beyond the policy year either by a supplemental extended reporting period (ERP) of as great duration as available, and with no less coverage and with reinstated aggregate limits, or by requiring that any new policy provide a retroactive date no later than the inception date of claims made coverage. 6 I I Exhibit 1 Project Scope Nuisance & Exotic Vegetation Control and Maintenance on City Lakes, Ponds & Channels The project is for the purpose of controlling nuisance/exotic plant species in lakes, man-made ponds and channel reaches within the City of Clearwater jurisdiction. Maintenance of these properties shall be done at a minimum four times a year to provide for a well balanced and natural habitat. The terms, conditions, and requirements set forth in this request are "contract conditions" and should be met by the contractor All locations are within City jurisdiction and accessible by vehicle Specific conditions. 1. Maintenance control of vegetation in and adjacent to City owned lakes ponds and channels which impede the natural flow and/or diminish the natural habitat of the water bodies referenced in the following List of Water bodies. 2. Any proposed chemical treatment must adhere to the foHowing best management practices: (a) Follow all specific labeling requirements.. (b) Copper based chemical are not permitted (c) When using herbicides and pesticide that may harm human and/or domestic animals the contractor shall notify in advance all homes affected by the treatment. 3. The contractor shall install turbidity control of the work area in when performing activities that may allow sediment or debris to be discharged downstream, 4. On approval of the of the maintenance program and contract by the City, the contractor shall submit a timeline and work scope detailing the work protocol to be followed for the first year of the program. The time line and work scope shall be submitted within two weeks of the award on contract. 6. The contractor shall keep a monthly maintenance report which shall include the following information: waterbody treated, type of maintenance employed, plant species controlled, ambient weather conditions, and any additional relevant information concerning the program. 7. Two copies of a monthly maintenance report shall be submitted to the City. 8. At the end of each quarter the contractor will conduct a field inspection with a city representative to verify and review the work reported and discuss future activities. 9. The contractor will provide three copies of an "annual report," in tabular form, with photographic documentation, summarizing all activities and proposing a list of recommendations to implemented the following year, 10. RESPONSE TO CITY OF CLEARWATER PUBLIC WORKS ADMINISTRA TIONIPUBLIC SERVICE REQUEST FOR PROPOSAL & QUOTES 55-99 FOR NUISANCE AND EXOTIC VEGETATION CONTROL AND MAINTENANCE ON CITY LAKES, PONDS AND CHANNELS INTRODUCTION The following proposal is based on RFP 55-99 to control nuisance and exotic aquatic plant species in lakes, stormwater ponds, and drainage channels within the jurisdiction of the City of Clearwater. Armstrong Environmental Services, Inc. (AES) has field reviewed the twenty-seven (27) water bodies and has developed the following Scope of Services which will provide a multi- disciplinary, best management approach to controlling the nuisance and exotic species, while utilizing a total wetland habitat perspective. AES proposes to implement an integrated program for the evaluation and treatment of the inclusive aquatic systems while adhering to the following Best Management Practices (BMP's) as stated in the RFP. 1. All specific aquatic herbicide label instructions will be strictly followed. 2. Copper-based herbicides are not permitted, and will not be used. 3. When using a toxic substance that may harm human and/or domestic animals, AES will notify in advance all houses affected by the treatment. TASK 1.0 - INITIAL MAINTENANCE EVENTS FOR SEVERAL AREAS The following sites will require an initial maintenance event in order to reduce the biomass to a manageable state that can then be treated on a monthly basis. AES will chemically treat the nuisance aquatic species and allow the vegetation to die and decompose in situ. Wetland shrubs or trees that occur on the slopes or uplands will be cut at ground level with a hand or chain saw, treated with herbicide and removed offsite. I I TASK 2.0 - MONTHLY NUISANCE AND EXOTIC AQUATIC PLANT CONTROL AES will control the nuisance and exotic aquatic vegetation found in and adjacent to the twenty- seven (27) lakes, stormwater ponds, and drainage channels on a monthly basis (see Table 1 for the proposed list of water bodies). AES will inspect and chemically treat each site on a monthly basis to ensure that any nuisance and exotic aquatic vegetation is controlled. During the initial treatments, (the first four (4) month period (July 1 to October 31, 1999)), woody species such as brazilian pepper and primrose willow and other nuisance species will be removed (where possible) to immediately improve aesthetics and to enhance the habitat of each site. This is especially necessary for the sites that may have been added since the prior awarded bid, and have not been under management. Removal of these species will consist of cutting the shrub or trees at ground level with a hand or chain saw, treating the stumps with the systemic herbicide Garlon-4 or RODEO, and removing the cut material offsite. AES will only utilize aquatic approved herbicides labeled by the US Environmental Protection Agency. These herbicides will be applied under the direct supervision of a Florida Department of Agriculture and Consumer Services certified Aquatic Pesticide Applicator (see attached license for Mr. Neal Thomas, Project Manager). Other nuisance and exotic species including those listed below, will be treated monthly or as necessary to obtain 95% control of all targeted species upon completion of the first year of the contract. AES utilizes boat-mounted spray rigs, A TV mounted spray rigs, and back-pack sprayers for applying aquatic herbicides, depending upon the access. AES currently has three (3) boat mounted spray tanks. We own and operate two Carolina Skiff flat bottom boats equipped with multiple high pressure gas powered spray tanks. We also own and operate a custom made airboat that is also equipped (C:\PRO\COC5599.PR2) 2 Anllstrong Environmental Services, Inc. I I with a 15 gallon diaphram pump spray tank. In addition, our crews operate 4-wheel drive pickup trucks, and a 4x4 A TV to access sites. If this project requires a Florida Department of Environmental Protection Aquatic Plant Management Permit pursuant to Chapter 62C-20, AES will apply for and obtain the appropriate permit(s) for the City of Clearwater. This rule exempts projects less than 10.0 acres in size and those projects that have a single land owner. Upon review, and according to the project scope, no lakes or ponds are greater than 10 acres and are all owned by the City of Clearwater. Therefore, in our opinion AES does not believe any permits will be required. TASK 3.0 - AQUATIC PLANT INSTALLATION AES will provide and install the following wetland species at the unit prices indicated below. These plants will be installed as directed by the City of Clearwater in ponds and lakes for aquascaping and soil stabilization purposes. AES will provide recommendations to the City for areas that could use aquatic plants and provide recommendations on the number and species for each area..
