I am pleased to make the enclosed Offer of a Federal'Grant in the
amount of $4,493,850 to the City of Clearwater for the construction
of the proposed waste treatment facilities.
This Offer is made under the provisions of the Federal Water Pollution
Control Act Amendments of 1972 and represents 75 percent of the EPA
eligible project cost.
This Offer is subject to the assurances and conditions as set forth
in the Grant Agreement, to any other stipulations approved by the
Administrator, and to adjustment in amount as determined by final
inspection and" audit. We suggest you familiarize yourself with the
conditions and enclosed Federal Registers to insure smooth execution
of this project. Do not advertise for bids or award a construction
contract until you have approval from this office.
Please review carefully, Part IV, Standard and Special Conditions of
the Grant prior to signing the Grant Agreement and return by certified
/mail the original and two copies to the Environmental Protection Agency.

accptance of this Offer. The Offer must be accepted within three
weeks from the date of this letter or it becomes invalid unless a

GRANTS FOR CONSTRUCTION OF TREATMENT WORKS
(1) Acceptance of this grant offer by the grantee constttutes a
committment by the grantee to cofnp1y with all provisions of
40 CFR Part 35, Subpart E and ~o CFR Part 30 Subpart C where
applicable. Title VI of the ci/u Rights Act of 1964 and
Executive Order 1124?,9/25/65 (30 F.R. 12319) and to applicable
rules. regulations, and procedures prescribed pursuant thereto.
(2) All measures rp'luired to minimize water pollution to affected
waters shall r undertaken in the planning and construction
processes of ~he facilities. The requirements of'the Federal
Water Pollution Control Act and the approval of this'p1:'oject
for Federal financial assistance does not constitute Federal
sanction or approval of any changes or deviations from established
water quality standards, criteria, or implementat ion dates.. or
from dates established by Applicable Enforcement proceedings.
(3) The grantee will comply wit~ all applicable provisions of the
Uniform Relocation and Real Props~ty Acquisition Policies Act
of 1970 (PL 91-6~6) to provlda for uniform and equitable
treatment of persons displncod from thoir homes, bU3inesses.
or farms by Federal or r&dorally assisted programs and for
equitable land acquisition policies.
(~) The cQntracto~ shall be required to comply with the Department
of Labor Safety and Health RoBUlations for construction pro-
mulgated under the Occupational Safety and Health Act of 1970
(pt 91-956) and under Section 107 of tha Contract Work Hours
and Safety Standards Act (pt 9l-5~).
(5) The grantee will employ an adequate number of qualified operators,
provide an approved Project Operation Manual and will assure that
tne facility will be maintained and operated in accordance with
such requirements as the Administrator may publish from time to
time concerning methods, techniques, and practices for economic,
efficient. and effective operation and maintenance of treatment
works. These requirements are delineated in the Federal Guidelines
Design, Operation and Maintenance of Wa~tewater Treatment Facilities.
(6) All project records shall bo retained for three years following
final payment of the Federal share or such other period as the
Administrator shall pr.scribe.

(H) The Rrantee agre~s to comply with all regulations ani require-
ments of the National Pollutant Discharge Elimination System
(Sec. 402, P.L. 92-500) prescribed in 40 erR Part 125 and 126.
(9) The grantee agrees to acquire and ~aintain any flood insurance .
made available to it under the National Flood Insurance Act of 1968,
as amended, in an amount at least equal to the Total Eligible project
costs or to the maximum limit of coverage made available under the
National Flood Insurance Act of 1968, as amended, whichever is less,
for the entire useful life of the proj~ct. Provided that this
condi tion shall .wt be applicable if, on the date of the Grant Award,
flood insurance las not available pursuant to the Flood Insurance Act
of 1968, as am~nded, for property in the project lo~ation.
(10) All contract or subcontracts related to this grant proj~ct
(including contracts for personal or professional services) must
include a clause which allows access to the records of contractors
and subcontractors by the Comptroller General of the United States
for the purpose of inspection and audit.
(11) Payments will be paid in accordance with the milestone
schedule of payments, subject to Congressional appropriations
and availability of funds.

1. Within 60 days of the completion of the grant agreement, the
grantee will submit the following information regarding the
proposed operation and maintenance program: (1) Proposed
operating staff for treatment facilities; (2) Proposed
budget to cover O&M activities (salaries, chemicals, utilities,
equipment, analytical work, etc.) and (3) Proposed program
for laboratory testing of treatment plant performance.
2. A draft O&M Manual will be submitted before 50 percent payment,
final Manual before 90 percent payment.
3. The grantee's proposed Industrial Waste Cost Recovery System and
User Charge System in compliance with 40 CFR Part 35 (Fed. Reg.
5/22/73 - Vol. 38, No. 98) will be submitted to EPA by the time
the project is 50 percent complete and enacted by the time of
project completion.

4. The grantee hereby agrees that per-treatment of industrial waste-
waters shall be provided as necessary to ensure that the publicly
owned treatment works are protected from: (a) physical damage,
(b) excessive rates of flow and/or pollutant discharge over
relatively short time periods which could cause treatment process
upset, and (c) the presence of pollutants at concentration
levels which could inhibit treatment process efficiency or
adversely affect sludge treatment and disposal.
5. Since this project will be phased, the grantee hereby agrees that
the construction of the design capacity of 10 MGD and the denitri-
fication facilities or alternate means of effluent disposal, should
it prove to be more cost effective, will be under construction
prior to final payment. A cost comparison shakl be prepared for
all the available means of disposal. If deep wells prove to be
cost effective and the other test wells in the area aemonstrate
that the aquifer has the capacity to recieve the waste; a test
well shall be drilled.
6. The grantee hereby agrees that an implementation schedule will
be submitted prior to the final payment showing that the
adequate sludge handling facilities will be available at the
proposed Clearwater NE plant by the time the Marshall St. Plant
reaches its available sludge capacity.
7. Payments will be limited to 80% of the Federal share until the
final industrial cost recovery and user charge systems have been
developed and approved.
