of Clearwater are forwarded for signature by the authorized agent. Please have both
copies signed and return both of them to me for signature by the Office of Tourism, Trade,
and Economic Development. Do not date the first page. I will fill in the date when the
agreement is signed at this end.
We have requested authority from the State Comptroler to advance the grant funds.
When we receive notification that we can make an advance payment, I will request an

THIS GRANT AGREEMENT, entered into this
day of
,1997,
between the State of Florida, Office of Tourism, Trade and Economic Development, hereinafter
referred to as the "Grantor" and the City of Clearwater, Florida, hereinafter referred to as the
"Grantee". This Grant Agreement is entered into under Grant Number OT 98-008
for the purpose of the 1998 Winter Olympics/Sister City Program.
BACKGROUND
The Grantor is empowered by law to make grants of funds in accordance with legislative
appropriations. The Legislature of the State of Florida has made an appropriation for such grant
in item 1649C , section 6 in the 1997-98 General Appropriation Act and Summary Statement of
Intent (a copy of the pertinent portion of such act is incorporated by this reference and
designated as "Exhibit A").
1.0 PARTIES:
The parties and their respective addresses for the purposes of this Agreement are:

1.3 The grant administrator for the State is Chuck Sauls, Telephone 850/487-2568 Fax
850/487-3014. The grant administrator for the Grantee is Jeff Harper, Telephone 813/562-4662
Fax 813/562-4696. All approvals referenced in this Agreement must be obtained in writing from
the parties' grant administrators or their designees.
2.0 TERM:
The term of this Agreement shall commence upon execution and continue until December
31,1998. The Grant period is from execution of this Agreement through June 30,1998.
Extension of this Agreement period between the Grantor and Grantee must be in writing and for a
period not to exceed 12 months and is subject to the same terms and conditions set forth in the
initial Agreement. Only one extension of the Agreement will be accepted, unless failure to
complete the Agreement is due to events beyond the control of the Grantee and subject to
Grantor prior approval. Only project costs incurred on or after the effective date of the
Agreement and on or prior to the termination date of the Agreement are eligible for
reimbursement.
3.0 NOTICES:
All notices between the parties shall be by either confirmed fax or certified mail, return
receipt requested, delivered to the address of the parties as set forth in section 1.0 above.
4.0 SCOPE OF WORK:
The Grantee will expend grant funds in accordance with proviso language and summary
statement of intent language, ifany, attached to item 1649C of "Exhibit A". Funds made
available by the Grantor pursuant to this Grant Agreement shall be expended solely for the
purpose of the project pursuant to the legislatively appropriated purpose and pursuant to a project

description and budget incorporated by this reference and designated as "Exhibit B". "Exhibit B"
shall be submitted by the Grantee and contain a detailed written project description and budget
showing the types and amounts of expenditures to be made pursuant to the legislatively
appropriated purpose and the terms and conditions of this Agreement. The project description and
budget may only be amended by prior approval of the Grantor.
5.0 GRANT REQUIREMENTS:
The Grantee Agrees:
(a) TRANSFER OF FUNDS/BUDGET.
(1) Before any funds are transferred and made available by the Grantor to the
Grantee, pursuant to the terms and conditions of this Grant Agreement, the Grantee shall submit
"Exhibit B" as referred to in paragraph 4.0.
(2) Grantee shall deposit and invest the any funds advanced under this Agreement
in a separate interest bearing account until totally expended for the purposes provided. All
interest income on said account shall be returned to the Grantor, upon expenditure of the principal
funds granted by the Grantor under this grant Agreement or quarterly as determined by the
Comptroller. All refund or interest checks shall be made payable to the State of Florida and
mailed to Administrative Assistant, Executive Office of the Governor, Office of Tourism, Trade
and Economic Development, The Capitol, Tallahassee, Fl 32399-0001, with a statement that
identifies the grant and interest quarter. A copy of this documentation shall be provided to the
Grantor's Administrator listed in paragraph 1.3 at Grantor's address.

(b) PERFORMANCE MEASURES/MEASURABLE OUTCOMES.
Specific performance standards and measurable outcomes are incorporated into and made
part of this agreement as "Exhibit C". The Grantor retains the right of final approval of any
changes to performance standards and measurable outcomes which will be effective the date of
the Grantor's written approval of the revised "Exhibit C"
(c) REPORTS.
(1) Quarterly, beginning with the quarter ending September 30, 1997 and each
subsequent quarter until the end of the grant period, the Grantee shall provide the Grantor with a
report of performance outputs and outcomes in comparison with the approved performance
standards required by paragraph 5.0 (b) and attached in "Exhibit C". A Final Project Performance
Report shall be submitted within three months of the end of the grant period.
(2) Annually, until the transferred funds are totally expended, the Grantee shall
provide the Grantor a written account of actual expenditures in comparison with the proposed
expenditures required by Paragraph 5.0(a)(l). A final written accounting shall be submitted when
grant funds are totally expended. The accounting shall include:
a. The total funds transferred to the Grantee by the Grantor pursuant
to this Grant Agreement;
b. The total income, interest, and other revenues obtained from the
investment of funds;
c. The total project costs paid from funds made available by the
Grantor pursuant to this Grant Agreement.

(3) Audit reports shall be submitted per requirements of paragraph 5.0 (d) (3)
within 120 days after completion of expenditure of grant funds or after the Grantee's fiscal year if
the grant is included in the Grantee's annual fiscal year audit. If the grant term overlaps the
Grantee's fiscal year, the Grantee shall provide the Grantor with audits covering the entire term of
the grant.
(d) AUDIT AND RECORDS.
(I) The Grantee shall retain and maintain all records, including records of all
payments made by Grantee in connection with the Program and make such records available for
financial audit as may be requested. Records shall include books, records, documents, and other
evidence, including, but not limited to, vouchers, bills, invoices, requests for payment and other
supporting documentation, which, according to generally accepted governmental accounting
principles, procedures and practices, sufficiently and properly reflects all program costs expended
in the performance of this Grant Agreement. Such records shall be retained by the grantee for a
minimum period of three years after termination of this Agreement. The records shall be subject
at all times to inspection, review, or audit by State personnel of the Office of the Auditor General,
Office of Comptroller, or other State personnel authorized by the Grantor and copies of the
records shall be delivered to the Grantor upon Division request;
(2) All bills for fees or other compensation for services or expenses shall be
submitted by the Grantee in detail sufficient for a proper preaudit and postaudit.
(3) The Grantee shall Maintain financial records and reports related to funds
paid to any parties for work on the matters which are the subject of this Agreement and submit a

hereby agrees to be responsible for any injury or property damage resulting from any activities
conducted by the Grantee.
(2) The Grantee, other than a grantee which is the State, or agency or subdivision
of the State, agrees to indemnity and hold the Grantor harmless from an agent any and all claims
or demands fqr damages resulting from personal injury, including death or damage to property,
arising out of any activities performed under this Agreement and will investigate all claims at its
own expense.
(3) The Grantee will be responsible for all work performed and all expenses
incurred in connection with the project. The Grantee may subcontract as necessary to perform
the services set forth in this Agreement, including entering into subcontracts with vendors for
services and commodities PROVIDED THAT it is understood by the Grantee that the Grantor
will not be liable to the subcontractor for any expenses or liabilities incurred under the subcontract
and that the Grantee will be solely liable to the subcontractor for all expenses and liabilities
incurred under the subcontract.

TRA VEL.
There shall be no reimbursement for travel expenses exceeding the
all inclusive funds allocated in the Grant Agreement.
(g) NON-ASSIGNMENT
Neither party may assign, sublicense, nor otherwise transfer its rights, duties, or
obligations under this agreement without the prior written consent of the other party which
consent will not be unreasonably withheld. Any sublicense, assignment, or transfer otherwise
occurring will be null and void; provided however, that the Grantor will at all time be entitled to
assign or transfer its right, duties, or obligations under this Agreement to another governmental

agency in the State of Florida, upon giving prior written notice to the Grantee. In the event the
Grantor approves transfer of Grantee's obligations, the Grantee remains responsible for all work
performed and all expense incurred in connection with the Agreement.
(h) TERMINA nON.
(l) Breach. The Grantor may terminate the Agreement due to the failure of the
Grantee to fulfill its obligation under the Agreement in a timely or satisfactory manner.
Satisfaction of obligation by the Grantee will be determined solely by the Grantor. The Grantor
must provide the Grantee a written notice of default letter. The Grantee will have fifteen
calendar days to cure the default, unless it is determined by the Grantor that it is necessary that
the default be cured immediately. If the default is not cured by the Grantee within the stated
period of time, the Grantor has the option to terminate this Agreement. The termination shall be
effective upon no less than 24 hours notice delivered in the manner set forth in Section 3.0. In the
event of termination of this Agreement, the Grantee will be compensated for any work
satisfactorily completed prior to notification of termination. Work Satisfactorily completed shall
be at the sole discretion of the Grantor.
(2) Preservation of Remedies. No delay or omission to exercise any right,
power, or remedy accruing to either party upon breach or default by either party under this
Agreement, will impair any such right, power, or remedy of either party; nor will such delay or
omission be construed as a waiver of any such breach, or default, or any similar breach or default.
(3) Refusal to Grant Public Access. This Agreement may be terminated by the
Grantor for refusal by the Grantee to allow public access to all documents, papers, letters, or

other material subject to the provisions of Chapter 119, Florida Statutes, and made or received by
the Grantee in conjunction with this Agreement.
(4) Unauthorized Aliens. The Grantor will consider the employment by any
grantee of unauthorized aliens a violation of Section 274(e) of the Immigration and Naturalization
Act. Such violation shall be cause for cancellation of the Agreement.
6.0 PAYMENTS:
(a) AMOUNT/SCHEDULE
(1) Funds in the amount of$ 750,000.00 will be made available to the Grantee.
(2) The payment schedule will be determined by the release of funds and advance
authority available to the Grantor subject to paragraph 6.0(b) and upon approval and continued
approval of advance payments pursuant to Section 216.181(14), F.S. The advance payment
schedule is determined under Section 216.181(14), F.S., through consultation between the
Legislature and the State Comptroller. Advance payment of grant funds will be subject to any
special conditions stipulated to by the Office of the Comptroller, State of Florida.
(b) A V AILABILITY OF FUNDS.
The Grantor's performance and obligation to
pay under this Agreement is contingent upon an annual appropriation by the Legislature. In the
event that the state funds on which this Agreement is dependent are withdrawn, this Agreement is
terminated and the Grantor has no further liability to the Grantee beyond that already incurred by
the termination date and within the limits of unpaid grant funds which were not withdrawn. In the
event of a state revenue shortfall, the total grant may be reduced accordingly. The Grantor shall
be the final determiner of the availability of such funds.

7.0
LEGAL REQUIREMENTS:
(a) This Grant Agreement shall be governed by laws of the State of Florida. Any and all
litigation arising under this Grant Agreement shall be brought in the appropriate court in Leon
County, Florida.
(b) No provision for automatic renewal or extension of this Grant Agreement shall be
effective. Any renewal or extension shall be in writing and executed by the parties as set forth in
paragraphs 2.0 and 8.0.
8.0 MODIFICATION: This writing contains the entire Grant Agreement of the parties. No
representations were made or relied upon by either party, other than those that are expressly set
forth. No agent, employee, or other representative of either party is empowered to alter any of
the terms of this Grant Agreement, unless done in writing and signed by an executive officer of
the Grantee and the Director or the Director's designee for the Grantor.
9.0 GENERAL CONDITIONS:
(a) Grantee agrees to comply with all applicable federal, state and local laws related to
the execution of the program described in "Exhibit A", Exhibit B" and "Exhibit C".
(b) Limitations on the recovery of damages which are specifically provided by Florida
Statutes or by rulings of Florida courts shall apply to this Agreement. Such limitations include,
but are not limited to, the following:
(1) As an agency of the government of the State of Florida, the Grantor is
liable for damages only to the extent provided by section 768.28, Florida Statutes, and any other
applicable Florida Statutes.

(2) The Grantor is not bound by any agreements to indemnity, hold harmless,
or for liquidated damages or cancellation charges;
(3) No provision of this Agreement shall be construed as a waiver by the
Grantor of any right, defense, or claim which the Grantor may have in any litigation arising under
the Agreement. Nor shall any Agreement provision be construed as a waiver by the State of
Florida of any right to initiate litigation.
(c) The Grantor is covered by a "General and Federal Civil Rights Liability Coverage"
provided pursuant to Chapter 284, Part II, Section 768.28, Florida Statutes.
(d) Grantee is encouraged to utilize "minority business enterprises", as defined in
Section 288.703, Florida Statutes, as subcontractors or subvendors when possible and report to
the Grantor all such usage of funds from this Agreement
( e) Funds may not be used for the purpose of lobbying the legislature, the judicial
branch, or a state agency pursuant to Section 216.347, Florida Statutes.
(Q Section 287.133(3)(a), F.S., requires that a person or affiliate who has been placed
on the convicted vendor list following a conviction for a public entity crime may not submit a bid
on a contract to provide any goods or services to a public entity for the construction or repair of a
public building or public work, may not submit bids on leases of real property to a public entity,
may not be awarded or perform work as a contractor, supplier, subcontractor or consultant under
a contract with any public entity, and may not transact business with any public entity in excess of
the threshold amount provided in Section 387.017, Florida Statutes, for Category Two for a
period of36 months from the date of being placed on the convicted vendor list.

(g) The Grantee will not discriminate against any employee employed in the
performance of this agreement, or against any applicant for employment because of race, creed,
color, handicap, national origin, or sex. The Grantee shall insert a similar provision in all
subcontracts for services by this Agreement.
(h) If any term or provision of the Agreement is found to be illegal and unenforceable,
the remainder of the Agreement will remain in full force and effect and such term provision will be
deemed stricken.
(i) Unless authorized by law and agreed to in writing by the Grantor, the Grantor will
not be liable to pay attorney fees, interest, or cost of collection.
(k) Duplicate Originals. This Grant Agreement is executed in duplicate originals.

Overview of the Program · StInging tIW worlds together

On January 31,1998, a unique marketing opportunity will become a reality as
the State of Aorida opens the ClearwaterlNagano Hospitality Center in Nagano,
Japan the host city of the 1998 Winter Olympic Games. This opportunity was
made possible due to the long-standing 38 year relationship between the City of
Clearwater and its sister city, Nagano, Japan.
The concept of Clearwater hosting a Hospitality Center has evolved over the last
five years into an exciting marketing and cultural exchange program. The Center
will be operational beginning January 31 - February 22, 1998. The promotion
and advance media announcing the activity at the Hospitafity Center will begin in
November of 1997 through a Florida Department of Citrus grapefruit promotional
campaign to be conducted in and around the Nagano Prefecture.
The 3000 square foot Hospitaflty and Exhibition Center win be located on the
fifth floor of Tokyu Department Store strategically adjacent to the official Olympic
Pavilion housed in a Tokyu Department Store building annex. Tokyu operates
twelve Department Stores throughout Japan and is considered one of the
nation's top retailers with its Nagano store serving .1.1 miDion shoppers per
month. Just one block fNiaY and visible from the Tokyu site is the main train
station. Three story vertical banners on the exterior of the store will advertise the
unique exhibition to Olympic Visitors utilizing this transportation hub. We
anticipate that several thousand visitors will pass through the Hospitality Center
daily.
Florida tourism promotions will also occur daily during the Center's operation as
visitors have the opportunity to register and win Florida destination vacation
packages. Various Convention and Visitors Bureaus around the State of Florida
win be asked to participate in this exciting program. Opening day intemational
media receptions will reveal first-hand the sights, sounds and economic
opportunities available in Florida and for viewing at the Hospitality Center.
As host city to the 1998 Winter Olympic Games, Nagano expects 3000 athletes
from 60 counbies to compete in 87 different events. Approximately, 1.7 miDion
affluent travelers are expected in Nagano. Florida tourism materials will be
distributed at- an available Olympic information booths ttvoughout the city and
when allowed the Olympic venues in order to reach these affluent travelers.
In conclusion, there is no doubt that the alliance between the t'NO cities, and the
State of Florida will be strengthened through this mission of international
friendship and e<xx1OO1ic exchange.

Mission of the Program
The program mission is to promote FIoridaIClearwaterlTampa Bay tourism and economic
development opportunities with the framewor1( of the 1998 ~ Olympic Games;
providing a strong appeal and various promotion Incentives to consider Florida first when
making vacationlbusiness decisions.
The target {TOUPS are:
1. The Olympic family which includes summarily: Athletes, officials, accredited
international media, and international sports organizations
2. International, Domestic and local Media
3. Pacific region-based vacation travelers
4. Japan based companies and vacation travelers
5. Travel Press and Japan travel agents
In support of the program mission, the ClearwaterJNagano Hospitality center's
operational strategy is to provide Florida hospitality, friendship, education and information
through the wann exchange of Florida volunteers greeting our international guests.
Individuals visiting the center win see, feel and sense Florida; and taste Florida products
courtesy of a F10rida Department of Citrus grapefruit juice promotion. In addition, while at
the center, volunteers and self-activated information kiosks will provide Florida factiods
covering lifestyle, vacation destinations and economic development opportunities.
In support of this strategy, the Center's goals are to:
1. Provide visitors the opportunity to experience the natural beauty, serenity and vitality
of Florida.
2. Provide visitors with the waRn exchange of infonnation and friendship through multi-
linqual Florida and Nagano-based International Friendship club volunteers, thus
bridging the gap of distance and communication barriers.
3. Expose the world media at the Games to the opportunity to leam more about the
Stale of Florida; its citizens, economic initiatives and vacation destinations.
4. Create a marteting exposure level that win ina'ease the ClearwaterlTampa

Clearwater/Nagano Hospitality Center Performance Measures
Outcomes
Master Outcomes - Florida no longer competes with other states - it now competes in
the wof1d. The Florida CJearwaterlNagano Hospitality Center at the 1998 Wmter Olympic
Games in Nagano, Japan will allow Florida to showcase its tourism, products and
economic development opportunities. This is to be implemented In the spirit of the
Olympic movement and in the tradition of the Clearwater, Florida and Nagano, Japan
sister city relationship.
Tourism Outcomes:
. Increased awareness of FloridalTampa Bay as a desirable and affordable vacation
destination for the international and Pacific region visitorsttravelers.
. Increased understanding and awareness of the Japan travel industry of the natural
beauty, lifestyle and entertainment values available through the referral and booking
of a Florida vacation package.
. Increased awareness of the wor1d covering the Games of the state of Florida and
Tampa Bay's commitment to international exchange and economic growth through
their involvement in such activities as the Florida ClearwaterlNagano Hospitality
Center.
Florida Products Outcome:
· Increased awareness of the products produced by Florida and the superiority of those
products in the WOI1d mari(et.
Economic Development Outcomes:
· Increased awareness of the economic development opportunities in Florida and the
Tampa Bay, capitafizing on the important industry sectors such as technology, sports,
entertainment and leisure services.
Outcome Documentation:
· The outcomes will be measured through pre and post awareness level studies
conducted Mthin the Nagano Prefecture. These techniques include exit interviews
from the Center, Tokyu Department store consumer sampling surveys conducted
prior to the Center's opening and possibly, FDOC joint survey/consumer sampling
opportunities through their proposed 50 store grapefruit promotions.
. In addition, the Kiosk Information system will provide and measure the type of
requests, volume and the demographic proftIe of our visitors to the Center. SpecifIc
survey questions wiD also be keyed to specific saeen retrieval in the infonnation
kiosks. AddItional measurement techniques may also occur using home fax machine
netwoOOi which is an extensive communication Hnk used in Japan, as well as other
traditional Japanese surveying techniques.

Performance Measures Outputs
1. Fabricate/install 3000 square feet of informational and entertaining exhibitions in the
Tokyu Department Store in Nagano. Japan.
2. The Center will be open for public viewing and enjoyment nine hours a day for the
period of January 31 through February 22, a total of 23 days.
3. The Hospitality Center expects 1,000 visitors per day or 23,000 guests visiting the
Center.
4. Validate/provide daily traffIC counts of visitors to the Center.
5. Operation of at least two interactive information kiosks with infonnation retrieval
available in at least three languages English, French and Japanese in the Center.
6. Provide fulfillment of tourism/economic development infonnation requests received
at the Center within 30 days of receipt.
7. Operate a Hospitality Press Center, for one week prior to and during the Center
operational period.
8. Produce and distribute press materials in five languages for the international media
covering the Games.
9. Measure pre and post awareness levels of Florida and Tampa Bay region attributes
in Nagano.
10. Distribute AoridaIHospitaIity Center items and materials to no less than 25,000
visitors.
11. Host two grand opening events.
12. Host at least two international press conferences.a
13. Produce a Japan television show Ive in the Center.
14. Participate through visitor giveaways and television support promoting the Florida
Department of Citrus grapefruit promotion to be conducted during the Fall of 1997 in
the Nagano Prefecture.
15. Host a special opening recognition activity for the Mayor of Nagano.
16. Implement a USOC athlete welcome promotion.
17. Produce an international Friendship Club Parade promotion.

18. Sponsor a Tampa Bay torch run send-off for volunteers wor1dng at the Games.
19. Recruit and train no less than 30 Hospitality Center volunteers.
20. Develop and produce a Volunteer Operations Manual.
21. Develop and implement Hospitality Center daily operations and contingency
operations plan.
22. Sell Clearwater/Nagano merchandise at the Tokyu Department Store in support of
the entire marketing program.
23. Identify marketing partners who will provide added value through joint promotional
programs. These partners are the Rorida Department of Citrus, Florida Department
of Agriculture, Florida Tourism Industry Marketing Corporation and Enterprise
Florida.
24. Identify other private sponsors and Economic Development Councils/Convention and
VISitors Bureaus to provide funding, promotions and services to the Center to
augment the operation.
25. Coordination of 15 Florida vacation packages sweepstakes promotions during
promotional window of November 1, 1997 - Mardl1, 1998.
