PROFESSIONAL SERVICES AGREEMENT
This is the Third Amendment ("Amendment") to the Professional Services Agreement ("Agreement")
between City of Clearwater ("Client") with offices located at 401 Corbett Street, Suite 401, Clearwater,
Florida 33756 and Evernorth Direct Health, LLC ("Evernorth") with offices located 8888 E. Raintree
Drive, Suite 300, Scottsdale, Arizona 85260 effective October 1, 2023. This Amendment is effective May
1, 2026 ("Amendment Effective Date"). Client and Evernorth are sometimes referred to herein
individually as a "Party" and collectively as the "Parties."
WHEREAS, the Parties wish to amend the Agreement to add one additional Evernorth Personnel as
further described in accordance with the terms stated herein.
NOW, THEREFORE, for valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, as of the Amendment Effective Date, the Agreement is hereby amended as follows:
1. For purposes of this Amendment, capitalized terms used herein shall be as defined in the
Agreement, as amended, or in any of the Schedules or Appendices attached thereto, unless
otherwise specified.
2. Effective October 1, 2026, Subsection 6.1 under Section 6 (Term and Termination) of the Agreement
is hereby amended to renew the Term of the Agreement for a three (3) year Renewal Term from
10/1/2026-9/30/2029.
3. Effective October 1, 2026, Appendix 1 (Operating Budget) of the Agreement, as amended, is
hereby deleted in its entirety and replaced with the Appendix 1 (Operating Budget) attached to
this Amendment for the Operating Budget Renewal Term for three (3) years from 10/1/2026-
9/30/2029.

4. Except as modified by this Amendment, all other terms and provisions of the Agreement, as
amended, and all Schedules and Appendices attached thereto, shall continue in full force and
effect.
IN WITNESS THEREOF, the Parties hereto have caused this Amendment to be executed and signed
by their respective officers duly authorized to do so, on the dates indicated below. Electronic
signatures are acceptable and have the same binding effects as original signatures.

Assumptions
1) The facility is staffed as indicated in the FTE section above
2) Full-time is considered to be 40 hours per week and represented by 1.00 FTE
3) Cost for cash collection at the site are not included
4) Marketing for communications to those eligible for access to the site is planned at $5000 per year
5) Recruitment cost for staff is projected at $5000 per year (Marketing & Recruitment are pass thru expenses, only charged if incurred)
6) External lab vendor will submit a claim_
7) Includes estimated cost of prepackaged medication
8) Temp labor is billed if incurred, the amount provided is an estimate
9) This cost projection may need to be updated if the scope of operations changes
10) There are 27 pay -periods from 10/1/2027 - 9/30/2028
11) The $13,481.42 monthly incentive (1/12th of $161,777) is applicable thru Dec 2027 and afterwards is contingent on retaining Cigna
as the health insurance carver
