BETWEEN THE CITY OF CLEARWATER, FLORIDA AND
SAFETY HARBOR NEIGHBORHOOD FAMILY CENTER, INC. DBA MATTIE WILLIAMS
NEIGHBORHOOD FAMILY CENTER
THIS FRIST AMENDMENT TO CDBG PROGRAM AGREEMENT (this "First Amendment") is
made and entered into by and between the City of Clearwater, Florida, a Florida municipal corporation,
with a principal address of P.O. Box 4748, Clearwater, Florida 33758 (the "City"), and Safety Harbor
Neighborhood Family Center, Inc., a Florida not-for-profit corporation with a principal address of 1003
Dr. Martin Luther King Jr. Street North, Safety Harbor, FL 34695 ("Subrecipient") (the City and
Subrecipient shall be referred to collectively as the "Parties").
WITNESSETH:
WHEREAS, the City administers a Community Development Block Grant ("CDBG") Public
Facilities and Improvements Program, which is funded by the United States Department of Housing and
Urban Development ("HUD"); and
WHEREAS, the City submitted its Annual Action Plan (the "Action Plan") for the fiscal and
program year ending September 30, 2026 (FY2025-2026), as approved by the City of Clearwater City
Council, to HUD.
WHEREAS, the City is an entitlement community that receives CDBG funds awarded under the
Housing and Community Development Act of 1974, in furtherance of its goal of promoting Public Services,
Public Facilities and Improvements, and Housing Initiatives as further detailed in its Consolidated Plan for
Housing and Community Development Programs 2025-2029; and
WHEREAS, Subrecipient is a not-for-profit organization that provides critical services to families,
including Family Support, Youth Education, and Food Pantry programs, helping households break the cycle
of poverty and move towards fmancial independence. The Center also serves as a community resource
during emergencies, including weather events, where uninterrupted services are vital for families and
children; and
WHEREAS, the Parties entered into that certain CDBG Program Agreement dated February 10,
2026 (the "Original Agreement") under which Subrecipient was granted SIXTY-NINE THOUSAND ONE
HUNDRED THIRTY-FOUR DOLLARS AND 00/100 CENTS ($69,134.00) in FY2025-2026 CDBG
funds for a permanent gas -powered generator to ensure continued services during emergencies, including
sever whether events and hurricane aftermath. This system will allow the Center to remain operational,
enabling community members to recharge essential devices such as phones, tablets, and medical
equipment. Additionally, the uninterrupted power supply will preserve the Center's fresh and frozen food
supplies, ensuring that critical resources are available even during power outages; and
WHEREAS, Subrecipient is eligible to undertake a Public Facilities Improvement Project in
accordance with 24 CFR §570.201(c) Public Facilities and Improvements in support of activities benefiting
Low- and Moderate -Income ("LMI") persons, in compliance with a CDBG Program National Objective as
defined in 24 CFR 570.208(a)(2) Low Mod Limited Clientele activities and 24 CFR §570.200(a)(2); and

WHEREAS, Subrecipient has available the necessary qualified personnel, facilities, materials, and
supplies to carry out the proposed improvements. Such improvements are essential to ensure the continued
availability and accessibility of the facility and its services for residents eligible and qualified to receive
such services. Residents shall be within the income limits for low and moderate -income persons as defined
by HUD and adjusted annually, and which current income levels are attached as Exhibit "A" and
incorporated herein by reference; and
WHEREAS, all allowable expenses under this Agreement will be paid from available CDBG
program grant funds on a reimbursement basis; and
WHEREAS, the Parties desire to amend the Agreement to extend the Term of the Agreement until
September 30, 2027.
NOW THEREFORE, in consideration of the mutual covenants and agreements contathed herein,
and for other good and valuable consideration, the sufficiency and receipt whereof being hereby
acknowledged, the City and Subrecipient agree as follows:
1. Recitals. The recitals set forth above are true and correct and are incorporated herein and made a
part of this Agreement.
2. Amendment to Agreement Term. The Agreement and its exhibits are hereby amended to reflect
the extension of the Term through September 30, 2027. -
3. In the event of conflict or ambiguity between the terms and provisions of this First Amendment and
the Agreement, the provisions of this First Amendment shall control to the extent of any such
conflict or ambiguity.
4. All provisions of the Agreement not expressly amended herein shall remain in full force and effect.
