PROGRAM AGREEMENT
BETWEEN THE CITY OF CLEARWATER, FLORIDA AND
HOMELESS EMERGENCY PROJECT, INC.
THIS SECOND AMENDMENT TO CDBG PROGRAM AGREEMENT (this "Second
Amendment") is made and entered into by and between the City of Clearwater, Florida, a Florida
municipal corporation, with a principal address of P.O. Box 4748, Clearwater, Florida 33758 (the "City"),
and Homeless Emergency Project, Inc, a Florida not-for-profit corporation with a principal address of
1120 North Betty Lane, Clearwater, FL 33756 ("HEP" or "Subrecipient") (the City and Subrecipient shall
be referred to collectively as the "Parties").
WITNESSETH:
WHEREAS, the City administers a Community Development Block Grant ("CDBG") Public
Facilities and Improvements Program, which is funded by the United States Department of Housing and
Urban Development ("HUD"); and
WHEREAS, the City is an entitlement community that receives CDBG funds awarded under the
Housing and Community Development Act of 1974, in furtherance of its goal of promoting Public Services,
Public Facilities and Improvements, and Housing Initiatives as further detailed in its Consolidated Plan for
Housing and Community Development Programs 2020/2021-2024/2025; and
WHEREAS, HEP is a private not-for-profit corporation that provides homeless services; and
WHEREAS, the Parties entered into that certain CDBG Program Agreement dated December 2,
2024 (the "Original Agreement") under which Subrecipient was granted ONE HUNDRED THIRTY-
FIVE
HIRTYFIVE THOUSAND FIVE HUNDRED DOLLARS AND 00/100 CENTS ($135,500.00) in FY2024-2025
CDBG funds to rehabilitate the Family Transitional Program (FTP) Efficiency Apartment; and
WHEREAS, the Parties entered into that certain First Amendment to CDBG Program Agreement
dated September 8, 2025 (the "First Amendment" and collectively with the Original Agreement, the
"Agreement") amending the Original Agreement in order to extend the term through September 30, 2026;
and
WHEREAS, Subrecipient is eligible to undertake a Public Facilities Improvement Project in
accordance with 24 CFR § 570.201(c) Public Facilities and Improvements in support of activities benefiting
Low- and Moderate -Income ("LMP') persons, in compliance with a CDBG Program National Objective as
defined in 24 CFR 570.208(a)(2) Low Mod Limited Clientele activities and 24 CFR §570.200(a)(2); and
WHEREAS, Subrecipient has available the necessary qualified personnel, facilities, materials, and
supplies to carry out the proposed improvements. Such improvements are essential to ensure the continued
availability and accessibility of the facility and its services for residents eligible and qualified to receive
such services. Residents shall be within the income limits for low and moderate -income persons as defined
by HUD and adjusted annually, and which current income levels are attached as Exhibit "A" and
incorporated herein by reference; and
WHEREAS, all allowable expenses under this Agreement will be paid from available CDBG
program grant funds on a reimbursement basis; and

WHEREAS, the Parties desire to amend the Agreement to extend the Term of the Agreement until
September 30, 2027.
NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein,
and for other good and valuable consideration, the sufficiency and receipt whereof being hereby
acknowledged, the City and Subrecipient agree as follows:
1. Recitals. The recitals set forth above are true and correct and are incorporated herein and made a
part of this Agreement.
2. Amendment to Agreement Term. The Agreement and its exhibits are hereby amended to reflect
the extension of the Term through September 30, 2027.
3. In the event of conflict or ambiguity between the terms and provisions of this Second Amendment
and the Agreement, the provisions of this Second Amendment shall control to the extent of any
such conflict or ambiguity.
4. All provisions of the Agreement not expressly amended herein shall remain in full force and effect.
