PROGRAM AGREEMENT
BETWEEN THE CITY OF CLEARWATER, FLORIDA AND
SOCIETY OF ST. VINCENT DE PAUL-, COUNCIL OF UPPER PINLLEAS COUNTY, INC. DBA
ST. VINCENT DE PAUL COMMUNITY KITCHEN AND RESOURCE CENTER
THIS FIRST AMENDMENT TO CDBG PROGRAM AGREEMENT (this "First Amendment") is
made and entered into -by and -between -the City of Clearwater, Florida; a Florida municipal corporation,
with a principal address of P.O. Box 4748, Clearwater, Florida 33758 (the "City"), and Society of St.
Vincent de Paul, Council of Upper Pinellas County, Inc. dba St. Vincent de Paul Community Kitchen
and Resource Center, a Florida not-for-profit corporation with a principal address- of 1345 Park Street,
Clearwater, FL 33756 ("Subrecipient") (the City and Subrecipient shall be referred to collectively as the
"Parties").
WITNESSETH:
WHEREAS, the City administers a Community Development Block Grant ("CDBG") -Public
Facilities- and Improvements Program, which- is- funded- by the United States- Department of Housing and -
Urban Development ("HUD"); and
WHEREAS, the City submitted its Annual Action Plan (the "Action Plan") for the fiscal and
program year ending September 30, 2026- (FY2025 2026); as- approved by the City of Clearwater City
Council, to HUD;; and
WHEREAS, the City is an entitlement community that 'receives'CDBG:funds awardedunder the:
Housing and -Community Development Act of 1974, in -furtherance of its -goal of promoting Public Services,
Public. Facilities. andImprovements, and Housing Initiatives as further detailed in its Consolidated Plan for
Housing and. Community Development, Programs 2025-2029; and
WHEREAS, Subrecipient is a not-for-profit organization that provides a wide range of supportive
services and nutritional meals to homeless individuals seven days a week, year-round. Additional services
include postal- address, showers; clothing and- laundry facilities, emergency hygiene, bus& passes; notary
services, and assistance with navigating online applications, phone calls and job interviews; and
WHEREAS, the Parties entered into that certain CDBG Program Agreement dated February 10,
2026 -(the "Original Agreement?') under- which -Subrecipient was -granted ONE -HUNDRED THOUSAND
DOLLARS AND 00/100 CENTS ($100,000.00) in FY2025-2026 CDBG funds for repairing the entrance
parking lot, relocating dry storage to the kitchen property for safety, and replacing two (2) 4 -ton air
conditioning units: These improvements- are essential to- maintain a safe and- accessible environment for
clients, volunteers, and partners, ensuring continued access to nutrition and supportive services for low -and
moderate -income (LMI) homeless persons; and
WHEREAS, Subrecipient is eligible to undertake a Public Facilities Improvement Project in
accordance with 24 CFR §570.201(c) Public Facilities and Improvements in support of activities benefiting
Low- (.'LMI")persons, in compliance with- a CDBG Program National Objective as
defined in 24' CFR 570208(a)(2) Low 'Mod Limited Clientele activities and 24 CFR §570.200(a)(2), and
WHEREAS, Subrecipient has available the necessary qualified personnel; facilities; materials, and
supplies to carry out the proposed -improvements. Such -improvements -are essential -to -ensure the continued -
availability and accessibility of the facility and its services for residents eligible and qualified to receive

such services. Residents shall be within the income limits for low and moderate -income persons as defined
by HUD- and adjusted annually, and- which- current income levels- are attached as- Exhibit "A" and
incorporated herein by reference; and
WHEREAS-, all- allowable expenses- under this- Agreement will be paid from available CIIBG
program grant funds on a reimbursement basis; and
WHEREAS, the Parties desire to-amendthe Agreement to -extend -the Term -of the Agreement until -
September 30, 2027.
NOW THEREFORE, in consideration of the mutual covenants and agreements contained herein,
and- for other good- and- valuable consideration; the sufficiency and- receipt whereof being hereby
acknowledged, the City and Subrecipient agree as follows:
L Recitals. The recitals- set forth -above are true and correct and are incorporatedherein_ and made a
part of this Agreement.
2_ Amendment. to Agreement Term.- The Agreement and itsexhibits are hereby amended to reflect
the extension of the Term through September 30, 2027.
3. In the event of conflict or ambiguity between the terms and provisions of this First Amendment and
the Agreement, the provisions of this. First Amendment shall_ control_ to the extent of any suck
conflict or ambiguity.
4. All provisions of the Agreement not expressly amended herein shall remain in full force and effect.
