PROGRAM AGREEMENT
BY AND BETWEEN THE CITY OF CLEARWATER, FLORIDA AND
UPWARDS CARE, INC.
THIS FIRST AMENDMENT TO CDBG PROGRAM AGREEMENT (this "First
Amendment") is made and entered into by and between the City of Clearwater, Florida, a Florida
municipal corporation, with a principal address of P.O. Box 4748, Clearwater, Florida 33758 (the
"City"), and Upwards Care, Inc., a Delaware corporation, with a principal address of 1521 North
University Drive, Suite 104, Coral Springs, FL, ("Subrecipient") (the City and Subrecipient shall
be referred to collectively as the "Parties").
WITNESSETH:
WHEREAS, the City administers a Community Development Block Grant ("CDBG")
Economic Development Program, which is funded by the United States Department of Housing
and Urban Development ("HUD"); and
WHEREAS, the City submitted its Annual Action Plan (the "Action Plan") for the fiscal and
program year ending September 30, 2026 (FY2025-2026), as approved by the City of Clearwater
City Council, to HUD.
WHEREAS, The City is an entitlement community that receives CDBG funds awarded
under the Housing and Community Development Act of 1974, in furtherance of its goals of
promoting Public Services, Public Facilities and Improvements, and Housing Initiatives as further
detailed in its Consolidated Plan for Housing and Community Development Programs 2025 -2029;
and
WHEREAS, Subrecipient is a for-profit organization that provides services through its
Boost Program, a community -engaged imitative designed to strengthen local economies through
expanded access to quality childcare. Boost supports home-based childcare providers by offering
business coaching, technology tools, and professional training to help them remain operational,
increase capacity, and enhance the quality of care; and
WHEREAS, the Parties entered into that certain CDBG Program Agreement dated May
1, 2026 (the "Agreement") to utilize NINETEEN THOUSAND SIX HUNDRED DOLLARS AND
00/100 cents ($19,600.00) in FY2025-2026 to utilize CDBG funds to support partial salary support
and fringe benefit cost under its Boost Program, which provides assistance to low and moderate
income (LMI) Childcare Microenterprise Business. Eligible CDBG activities under the Boost
Program include technical assistance, personalized coaching, childcare management system,
and curriculum development; and
WHEREAS, these services are an eligible activity under the CDBG program in accordance
with 24 CFR §570.201(o) Supports micro—enterprises (55 employees) and meet a national
objective as required under 24 CFR §570.200(a) and 24 CFR §570.208(a)(2) being that the

services are activities benefiting low -and moderate -income persons as Low Mod Limited
Clientele Activities (LMC); and
WHEREAS, Subrecipient has available the necessary qualified personnel, facilities,
materials, and supplies to perform such services and/or carryout such programs for these people,
who are eligible and qualified to receive said services andare within the income limits for low and
moderate income persons as defined by HUD and adjusted annually, and which current income
levels are attached as Exhibit "A" and incorporated herein by reference; and
WHEREAS, all allowable expenses under the Agreement will be paid from available
CDBG program grant funds on a reimbursement basis; and
WHEREAS, the Parties now wish to amend the Agreement to include fringe benefits for
staff performing CDBG-eligible activities; and
NOW THEREFORE, in consideration of the mutual covenants and agreements contained
herein, and for other good and valuable consideration, the sufficiency and receipt whereof being
hereby acknowledged, the City and Subrecipient agree as follows:
SECTION I: SCOPE OF SERVICES AND USE OF FUNDS
1. Recitals. The recitals set forth above are true and correct and are incorporated herein and
made a part of this First Amendment.
2. Amendment to Statement of Work. Section 1, Paragraph 4 of the Agreement is hereby
amended to read as follows:
"Subrecipient is a for-profit organization that provides services through its Boost Program,
a community -engaged initiative designed to strengthen local economies through expanded
access to quality childcare. Boost supports home-based childcare providers by offering
business coaching, technology tools, and professional training to help them remain
operational, increase capacity, and enhance the quality of care.
Subrecipient will utilize CDBG salary and fringe support for the following positions: Outreach
and engagement, Business Assistance, Technical Assistance & Business Support Tools,
Childcare Manager, Program Strategy & Implementation and Program Director. Boost
Program help childcare providers stabilize and grow their business through three key
supports: personalized coaching, smart technology, and business training (the "Project").
Eligible costs shall include salaries and associated fringe benefits for employees performing
eligible CDBG activities under the Agreement, provided that such fringe benefits are
reasonable, necessary and properly allocated to the CDBG-funded activity. Eligible fringe
benefits, in accordance with program policy to include: sick leave, include vacation leave,
holiday leave employer -paid taxes (e.g. social security) and employer -paid health, dental,
vision, and life insurance contributions.

All salary and fringe costs must be supported by corresponding payroll records and
allocated based on actual hours worked on eligible CDBG activities." The Project will
benefit an estimated 8 low- to moderate -income City of Clearwater business according
to HUD income guidelines attached as Exhibit "A". Additional requirements for the Project
are attached as Exhibit "C" and made a part hereof by this reference. The budget, scope of
work, and milestone for this Project (the "Budget") is attached as Exhibit "D" and made a
part hereof by reference.
> Personalized Coaching - Providers get direct access to Care Specialists who run
childcare businesses themselves. These specialists work side by side with providers to:
o Create custom business strategies to increase revenue and fill open slots.
o Navigate licensing and compliance so providers avoid costly mistakes.
o Offer hiring support to help providers bring on teaching assistants as they grow.
o Assist with budgeting, pricing, and financial planning to ensure long-term stability.
> Childcare Management System (CMS) —Providing access to Upwards' Childcare
Management System (CMS), a digital platform designed to:
o Automate billing, attendance, and enrollment so providers get paid on time and spend
less time on paperwork.
o Simplify curriculum planning with a built-in lesson planner that helps providers create
structured learning environments in less than 45 minutes a week.
o Increase enrollment and engagement by connecting providers with families through
marketing and communication tools.
> Boost Curriculum - Structured curriculum:
o Set prices, manage finances, and access subsidies to ensure financial stability.
o Market their business effectively to attract and retain families.
o Hire, train, and manage staff so they can expand without burning out.
o Improve parent communication and engagement to build long-term relationships."
3. Exhibit Amendment. Exhibit "D" of the Agreement is hereby amended to read as follows:

4. In the event of conflict or ambiguity between the terms and provision of this First
Amendment and the Agreement, the term and provisions of the First Amendment shall
control to the extent of any such conflict or ambiguity.
5. All sections of the Agreement not expressly amended herein shall remain in full force and
effect.
