AGREEMENT BETWEEN THE CITY OF CLEARWATER, FLORIDA AND
LEARNING INDEPENDENCE FOR TOMORROW, INC. DBA L.I.F.T.
THIS SECOND AMENDMENT TO CDBG PROGRAM AGREEMENT (this "Second
Amendment") is made and entered into by and between the CITY OF CLEARWATER,
FLORIDA, a Florida municipal corporation, with a principal address of P.O. Box 4748,
Clearwater, Florida 33758, (the "City"), and LEARNING INDEPENDENCE FOR TOMORROW,
INC. dba L.I.F.T., a Florida not-for-profit corporation, with a principal address of 1005 South
Highland Avenue, Clearwater, FL 33756 ("LiFT" or"Subrecipient") (the City and Subrecipient
shall be referred to collectively as the "Parties").
WITNESSETH:
WHEREAS, the Community Development Block Grant Program ("CDBG") is
administered by the United States Department of Housing and Urban Development("HUD");
and
WHEREAS, the City is an entitlement community that receives CDBG funds awarded
under the Housing and Community Development Act of 1974, in furtherance of its goal of
promoting community development and improvement of public facilities, as further detailed
in the Consolidated Plan for Housing and Community Development Programs 2020/2021-
2024/2025; and
WHEREAS, LiFT is a private non-profit corporation that provides education,
inspiration, and empowerment to people with neurodiversity to team, thrive, and succeed;
and
WHEREAS, LiFT submitted a proposal to utilize $110,330.00 in FY 2024-2025 CDBG
funds to enable LIFT to install a playground on the campus of LiFT to serve the K-6 student
population, living with neurodiversity; and
WHEREAS, these services are an eligible activity under the CDBG program in
accordance with 24 CFR §570.201(e). It is a limited clientele activity and meets a national
objective as required under 24 CFR §570.200(a)(2) and 24 CFR §570.208(a)(2); and
WHEREAS, LIFT has available the necessary qualified personnel, facilities, materials,
and supplies to perform such services and/or carry out such programs for these residents,

who are eligible and qualified to receive said services and are within the income limits for
low- and moderate -income persons as defined by HUD and adjusted annually, and which
current income levels are attached as Exhibit "A" and incorporated herein by reference; and
WHEREAS, the Parties entered into that certain CDBG Program Agreement dated
February 3, 2026, which was amended by that certain First Amendment to CDBG Program
Agreement dated September 23, 2025 (collectively, the "Agreement") for utilization of
$105,330.00 in CDBG Funds towards LiFT's project; and
WHEREAS, the Parties now wish to amend the Agreement to make certain changes
to Exhibit "D" of the Agreement.
NOW THEREFORE, in consideration of the mutual covenants contained herein, and
for other good and valuable consideration, the sufficiency and receipt whereof being hereby
acknowledged, the Parties agree as follows:
1. Recitals. The recitals set forth above are true and correct and are incorporated
herein and made a part of this Second Amendment.
2. Amendment to Exhibit "D" Budget. Exhibit "D" of the Agreement is hereby
amended and replaced with the Amended Exhibit "D" attached to this Second
Amendment.
3. In the event of conflict of ambiguity between the terms and provisions of this
Second Amendment and the Agreement, this Second Amendment shall control
to the extent of any such conflict or ambiguity.
4. All sections of the Agreement not expressly amended herein shall remain in full
force and effect.

Public Facilities
Funds provided for installation of a playground on the campus of Learning
Independence for Tomorrow (LIFT), a Clearwater based school that serves
children (ages 5+) and adults living with neurodiversity. Founded in 2013,
LiFT currently serves approximately 170 children and young adults dealing
with autism, Down syndrome, ADHD, dyslexia, Tourette syndrome, OCD,
learning disabilities, processing disorders, and other developmental delays.
Installing a playground to serve the K-6 student population will meet
essential needs of the young student population and mark a key step in the
school's continued development as a resource to the local population of
families with neurodivergent children. To that end, LIFT has developed plans
and identified essential equipment to be included in the outfitting of the
playground with stimulating, safe, and inclusive opportunities for play at
recess. The scope of work for this project includes: (1) Playground
equipment; (2) Playground shade structure(s); and (3) Playground rules and
safety signs made of high-quality aluminum.
Benefit -100 Persons
Beneficiaries assisted must reside within City of Clearwater limits
(Tax District CW, CWD, or CWDO) and household income must be
at or below 80% AMI based on the CDBG income limits in effect at the time
assistance is provided.

The requirement to provide the City with the address of each client served, and the
supporting documentation from Pinellas County Property Appraiser's office (pcpao.gov)
showing the CW, CWD, or CWDO tax district for each address, is waived for this activity. This
is a one-time exception for Activity I.D. 16160 only.
